In New York, an Affidavit of Publication is the notarized proof, prepared by a newspaper, that a required legal notice actually ran. For LLCs and similar entities, you must publish notice in two newspapers designated by the county clerk for six consecutive weeks, then file both affidavits with a Certificate of Publication and a $50 fee at the Department of State within 120 days of formation. Miss the window and your business authority is automatically suspended until you complete the filing.
Who Has to Publish
The requirement applies to nearly every entity formed or authorized to do business in New York. Domestic LLCs fall under Section 206 of the Limited Liability Company Law.1New York State Senate. Other entities carry the same obligation:

Publication rules also govern court-ordered name changes and foreclosure sales, but those affidavits are filed with the court, not the Department of State, and follow different schedules. The rest of this article focuses on business entities.
The 120-Day Timeline
The notice must appear once per week for six consecutive weeks in each of the two designated newspapers.1New York State Senate. New York Code LLC 206 – Affidavits of Publication Everything, from the first insertion through the Department of State’s receipt of your completed filing, has to happen inside 120 days of formation or authorization.
That window is tighter than it looks. Six weeks of publication alone consumes 42 days. Newspapers need lead time to schedule the first run, then a few more days after the last insertion to draft and notarize the affidavit. Add mailing time to Albany, and there is very little room for delay. Start the process as soon as your entity is formed rather than waiting.
Choosing the Right Newspapers
You cannot pick your own paper. The county clerk of the county listed as the entity’s office in your formation documents designates two newspapers for legal notices, one daily and one weekly.1New York State Senate. New York Code LLC 206 – Affidavits of Publication Notices placed in a paper that is not on the clerk’s designated list do not count, and you will have to run them again in the correct publications.
Call or check the website of the county clerk where your business office is located before paying anyone. Designations can change, and some counties with large non-English-speaking populations designate foreign-language papers as one of the two.
What the Affidavit Must Contain
Each designated newspaper prepares its own Affidavit of Publication after the six-week run ends. Papers that handle legal notices produce these routinely, but the details are your responsibility to verify. Every affidavit must include:
- The name of the newspaper
- The specific dates on which the notice appeared
- A copy of the notice as published
- A sworn, notarized statement from a representative of the paper confirming the notice ran as required
The entity name on the affidavit must match the Department of State’s records exactly.6Department of State. Certificate of Publication for Domestic Limited Liability Company A misspelling, a stray comma, or the wrong abbreviation, such as “L.L.C.” instead of “LLC,” is enough to trigger rejection. Confirm the exact legal name against the Department of State’s business entity database before the newspaper sets the notice. Fixing a typo later means a corrected affidavit and, in some cases, restarting the publication cycle.
Filing With the Department of State
The two affidavits alone do not satisfy the requirement. You also have to complete a Certificate of Publication, attach both affidavits to it, and submit the package with a $50 filing fee to the New York Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231.6Department of State. Payment can be made by check or money order made payable to the “Department of State,” or by Mastercard, Visa, or American Express. You can file by mail or in person at the Albany office. If the 120-day clock is close to running out, a third-party filing service can move the paperwork faster for an additional fee.
What Publication Actually Costs
Newspaper charges vary widely because each designated paper sets its own rate. A standard six-week LLC notice typically runs from around $200 in less expensive upstate counties to more than $1,900 in Manhattan. Brooklyn generally costs $1,250 to $1,600, Queens $1,150 to $1,500, and the Bronx $1,050 to $1,400. Westchester and Nassau tend to fall between $450 and $1,350. Because the county listed in your articles of organization determines which papers you have to use, the address you file with at formation controls your publication bill. Once the entity is on file with a New York City address, you are locked into that borough’s designated papers.
What Happens If You Miss the Deadline
If proof of publication is not filed within 120 days, the LLC’s authority to carry on business in New York is automatically suspended.1New York State Senate. New York Code LLC 206 – Affidavits of Publication2New York State Senate. New York Limited Liability Company Law 802 Suspension is not dissolution. The company continues to exist, but it cannot bring lawsuits or special proceedings in New York courts, and banks or lenders may decline to deal with a suspended entity.
Suspension does not undo contracts the LLC has already signed. Other parties can still enforce their rights against the LLC, and the LLC keeps the right to defend itself in any case brought against it.2New York State Senate. How to Cure a Suspension
A publication suspension can be lifted at any time. Run the notice for the full six weeks, collect the two affidavits, and file the Certificate of Publication with the $50 fee. Once the Department of State accepts the filing, the suspension is annulled.7FindLaw. New York Consolidated Laws, Limited Liability Company Law – LLC 206 – Affidavits of Publication The statute imposes no late fees or penalties beyond the standard $50. After annulment, the LLC recovers its full ability to bring legal proceedings, including on contracts formed while it was suspended.
Pending Legislation
Assembly Bill A3546, introduced in the 2025–2026 session, would repeal Section 206 and replace newspaper publication with electronic notice through the Department of State’s website.8New York State Senate.
