Alabama Business License Cost: State, County, and City Fees

The cost to license a business in Alabama typically runs from a few hundred dollars for a single-location sole proprietorship to several thousand for an entity operating across multiple cities. The largest variable by far is the municipal license, which most Alabama cities calculate as a percentage of your gross receipts. State and county fees are comparatively predictable; your city fee is the one that scales with your revenue and can outweigh everything else combined.

One-Time Formation Filing

If you’re forming an LLC or a corporation, the Alabama Secretary of State charges $200 to file the Certificate of Formation or Certificate of Incorporation.1Alabama Secretary of State. Fee Schedule Sole proprietors and general partnerships skip this because there’s no entity to register, but they still need every license below.

Corporations also owe a $10 annual report fee, collected by the Alabama Department of Revenue with the Business Privilege Tax return.1Alabama Secretary of State. Fee Schedule The report is rejected if it arrives without the tax return, so treat the two as one filing.

Annual Business Privilege Tax

Every corporation, LLC, and disregarded entity doing business in Alabama or organized under Alabama law owes an annual Business Privilege Tax.2Alabama Administrative Code.   • Less than $1 taxable income: $0.25 per $1,000 of net worth
  • $1 to $199,999: $1.00 per $1,000
  • $200,000 to $499,999: $1.25 per $1,000
  • $500,000 to $2,499,999: $1.50 per $1,000
  • $2,500,000 and above: $1.75 per $1,000

The minimum tax is $50 for taxable years beginning after December 31, 2022, down from the earlier $100 floor. The maximum is $15,000.4Alabama Department of Revenue. Business Privilege Tax Most new LLCs and small corporations pay the $50 minimum for the first year or two. Newly formed entities also file a one-time Initial Business Privilege Tax Return in addition to the annual return.

State Business Privilege License

Separate from the tax, Alabama requires a Business Privilege License for anyone in a business, occupation, or profession covered by Title 40, Chapter 12.5Alabama Department of Revenue. The license year runs October 1 through September 30, renewals happen in October, and the license goes delinquent November 1.6Alabama Department of Revenue. When Is the License Due?

Fees are set by category in Chapter 12 and are generally modest. If a single business falls under more than one classification, more than one license may be required.

County Occupational License

Each of Alabama’s 67 counties requires an occupational license for businesses operating inside county lines. It’s usually issued by the same office that handles the state privilege license, so the two are typically bought in one visit.5Alabama Department of Revenue. County licenses run on the same October cycle and go delinquent November 1, with penalties and interest accruing after that.

Municipal Business License

This is where most Alabama businesses spend the bulk of their licensing money. Alabama law gives every municipality broad authority to license any trade, business, or occupation inside city limits and to set the fee at the council’s discretion.7Alabama Legislature. Because each city writes its own schedule, the same restaurant grossing $500,000 might pay a few hundred dollars in one town and well over a thousand in the next. Only Alabama receipts count. Many cities use tiered rates that step down as receipts climb, so the effective percentage often falls at higher revenue levels. To get your actual number, call the city clerk or revenue office in each municipality where you operate. Most municipal licenses run on a calendar year with renewals due by January 1.

Operating in More Than One City

A business with locations in multiple municipalities needs a license from each. Alabama law does let you allocate gross receipts so that revenue from a qualifying branch office is taxed only by that branch’s city, not also by the city where your principal office sits.7Alabama Legislature. Alabama Code 11-51-90 – Municipal Business Licenses; Branch Offices; Application To qualify, a branch needs a real physical facility with employees or contractors, separate books showing segregated receipts, a separate phone listing or signage, and billing handled through that office. A P.O. box does not qualify.

Cities that had a police jurisdiction licensing ordinance in effect on January 1, 2021, can also license businesses located outside the corporate limits but inside the police jurisdiction. The police jurisdiction fee cannot exceed half the rate charged inside city limits.9Alabama Legislature. Alabama Code 11-51-91 – Licenses for Business, Etc If your location falls inside two overlapping police jurisdictions, you pay only the city whose boundary is physically closer.

Professional and Trade Board Fees

Regulated professions carry an extra layer. A general contractor pays an annual renewal fee of $200 for a prime contractor license or $100 for a subcontractor license to the Alabama Licensing Board for General Contractors. Similar boards regulate other trades and professions with their own fee schedules. If you’re in a regulated field, you’ll need to show proof of your state board license when you buy your municipal license.

Late Payment Penalties

Missing a municipal license deadline triggers a 15 percent penalty on the license tax owed. If payment is still outstanding 30 days later, that jumps to 30 percent. The two rates are not cumulative; the 30 percent replaces the 15 percent rather than stacking on it.10Alabama Legislature. The state and county privilege licenses go delinquent November 1, and counties apply their own penalty rules on top of that.6Alabama Department of Revenue. When Is the License Due?

Who Doesn’t Pay

Several categories are exempt from the municipal license, though the Business Privilege Tax and county requirements have narrower exemption rules of their own.

  • Farmers selling products they personally produced cannot be charged a municipal license for that activity.
  • Credit unions are exempt from taxation other than ad valorem property taxes, and the Attorney General has ruled this covers municipal business licenses.
  • State-licensed auctioneers are exempt from municipal licensing for auction work.
  • Federal and state government operations are generally exempt.
  • Blind persons who file a certificate with the probate judge get an exemption from the first $75 of any municipal license fee.
  • Disabled veterans with a qualifying disability, operating a business in their own name with no more than one employee, are exempt from the first $25 of the municipal license fee.

Federal Costs That Stack On Top

A federal Employer Identification Number is required for any business with employees and for every corporation, partnership, and multi-member LLC.
