The Alabama business privilege license is the permission slip almost every business in the state needs before opening its doors. It comes in two parts bought together: a state license and a county license, both issued by the county Probate Judge or License Commissioner in each county where you operate. Who Needs One
Section 40-12-40 casts a wide net. Every person, firm, company, corporation, association, receiver, or trustee doing business in Alabama has to buy a state privilege license and a county license before starting operations. A few practical points follow from that rule. You need a license in every county where you maintain a fixed place of business, not just your home county. If your operation covers several distinct licensed activities, you need a license for each one; a restaurant that serves alcohol and sells retail goods, for example, can end up holding a restaurant license, a beverage license, and a store license at the same time.3Alabama Department of Revenue. How the Fee Is Calculated
There is no single formula. Article 2 contains hundreds of code sections, each covering a specific business type with its own schedule. Your state fee might be flat, or it might scale on gross receipts, employee count, city population, or contract volume. The county side is more predictable. Under Section 40-12-2, the county license is 50 percent of the state license amount unless the section for your specific business type overrides that default. The way individual schedules work varies widely. Real estate brokers pay a state fee tiered by city population under Section 40-12-149. Construction contractors under Section 40-12-84 pay on the gross value of contracts accepted during the year, from $10 for totals between $5,000 and $10,000 up to $250 above $200,000; if you accept enough new work to cross into a higher tier mid-year, you have to pay the difference before taking on more.5Alabama Legislature. Not the Same as the Business Privilege Tax
The names cause constant confusion. The privilege license discussed here lives in Title 40, Chapter 12, and you buy it at the county Probate Judge or License Commissioner’s office. The business privilege tax lives in Title 40, Chapter 14A, is administered by the Alabama Department of Revenue, and is calculated on your net worth or Alabama property value. Most Alabama businesses owe both, with a minimum privilege tax of $50 per year.7Alabama Department of Revenue. Business Privilege Tax Paying one does not satisfy the other.
When to Buy and When to Renew
The license year runs October 1 through September 30. Licenses are due October 1 and become delinquent November 1, giving you a one-month grace period to renew without penalty.8Alabama Legislature. You handle everything through the county Probate Judge or License Commissioner where your business is located.1Alabama Department of Revenue. Business Privilege License Some counties send courtesy renewal reminders. The legal duty to renew on time is yours regardless.
Starting a new business partway through the year? Section 40-12-102 lets you pay half the annual fee if you begin operating after April 1, but only if the business was not already operating during the previous license year.9Alabama Department of Revenue. Who Qualifies for an Exemption
A narrow set of applicants can reduce or eliminate their fees.
- Governmental subdivisions are excluded from the licensing requirement entirely under Section 40-12-40.2Alabama Legislature. Alabama Code 40-12-40 – Who Must Procure State and County Licenses
- Legally blind Alabama residents who have lived in the state for at least two consecutive years can claim up to $75 toward the state license and $75 toward county or municipal licenses per year, on filing a vision certificate from a licensed physician with the county licensing office.10Alabama Legislature. - Qualified disabled veterans of World War I, World War II, and later conflicts can receive exemptions from state, county, and municipal license fees under Sections 40-12-340 through 40-12-373, provided the business is operated through the veteran’s personal efforts and the veteran’s total property is valued below $5,000.
The blind and veteran exemptions are personal to the license holder. Letting someone else run a business under your exempt license is a misdemeanor.10Alabama Legislature. Alabama Code 40-12-330 – Exemptions for Blind Persons
What Late Renewal Costs
Two charges apply automatically once you cross the November 1 delinquency date. First, a flat 15 percent penalty on the license amount. Second, interest at 6 percent per year, running from the date of delinquency.11Alabama Legislature. Criminal Consequences of Operating Without a License
Late fees are the mild version. Operating a business that needs a privilege license without one is a criminal offense. A conviction carries a fine of at least the full amount of all unpaid state and county license fees, plus an additional fine of up to $100, and the court can add up to six months of hard labor for the county.12Alabama Legislature. Filing a false affidavit or certificate to qualify for a lower fee is a separate misdemeanor, with a fine of $100 to $1,000 and up to six months of hard labor.13Alabama Legislature. Alabama Code 40-12-8 – False Affidavits or Certificates This charge tends to surface when a business understates gross receipts or contract totals to slot into a cheaper tier.
