Arkansas Business License Requirements and Permits: Steps to Apply

Arkansas has no single statewide business license, so meeting Arkansas business license requirements means stacking several separate registrations: an entity filing with the Secretary of State, a sales tax permit from the Department of Finance and Administration, a local privilege license from your city or county, and any professional or employer accounts that fit what you do. Skip one and you can face penalties, back taxes, or a shutdown.

Form Your Business Entity First

Nothing else works until your business legally exists. For an LLC, you file a Certificate of Organization (Form LL-01) with the Arkansas Secretary of State for $45 online or $50 on paper.1Arkansas Secretary of State. LLC Forms/Fees/Record Requests For a corporation, you file Articles of Incorporation for $50.2Arkansas Secretary of State. Corporation Filing Fees

Your name has to be distinguishable from any other business already on file. You can reserve one in advance for $22.50 online or $25 on paper. The filing itself asks for your business name, a registered agent with a physical Arkansas address, and the names of the organizers or incorporators.

Planning to operate under a different name? File a fictitious name application with the Secretary of State. Fees run from $15 to $25 depending on entity type.3Arkansas Secretary of State. Application for Fictitious Name Sole proprietors and partnerships using any name other than the owner’s real name file a certificate with the county clerk in each county where they do business.4Justia Law. Get a Sales Tax Permit Before You Sell Anything

Any business making taxable sales in Arkansas has to get a gross receipts tax permit from the Department of Finance and Administration before its first transaction. State law makes it illegal to conduct business without one, and each business location needs its own permit.5FindLaw. Arkansas Code Title 26 Taxation 26-52-201 The state rate is 6.5%, with local rates added on top.

Applications go through the Arkansas Taxpayer Access Point (ATAP), the state’s online tax portal.6Arkansas.gov. Arkansas Taxpayer Access Point (ATAP) The registration fee is $50, paid electronically.7Arkansas Department of Finance and Administration. Register for a Tax Account Before you start, get a Federal Employer Identification Number (EIN) from the IRS. It’s free and takes minutes online.

ATAP will ask for your business location (no P.O. boxes), your planned start date, and your estimated monthly sales tax liability, which determines whether you file monthly or quarterly. If you’re buying an existing business, have the signed bill of sale ready. If you’re leasing space, have the signed lease.7Arkansas Department of Finance and Administration. Register for a Tax Account Any outstanding state tax liability you owe has to be cleared before a new permit is issued, which trips up buyers who inherit a prior owner’s unpaid obligations.

Once approved, your physical permit arrives by mail and must be displayed at your business. Operating without one, or continuing after a suspension, triggers penalties under the Arkansas Tax Procedure Act.5FindLaw. Arkansas Code Title 26 Taxation 26-52-201

Get Your Local Privilege License

Because Arkansas has no general statewide business license, the city or county where you operate is where you’ll get what most people picture when they hear “business license.” Most cities require a privilege license, which is essentially a local permit to do business inside their limits. In unincorporated areas, the county may have its own rules. Call the City Clerk or County Tax Collector at your business address to find out what applies.

Local applications usually require zoning clearance confirming your type of business is allowed at that specific address. If you serve food or have public access, expect the local health department to run its own approval. Fees vary: some jurisdictions charge a flat annual rate, others base it on employees or square footage.

If your location doesn’t fit the current zoning, you can request a variance from the local zoning board, or ask for a conditional use permit that lets you operate on a limited basis so the community can see the real impact.

Add Employer Registrations if You Hire

Hiring even one employee triggers additional accounts that have nothing to do with your sales tax permit. Each is separate, and gaps create liability fast.

State Withholding and Unemployment

You register for an Arkansas withholding tax account through ATAP to remit state income tax withheld from paychecks. Same portal as sales tax, separate registration. You also register for state unemployment insurance through the Arkansas Division of Workforce Services. On the federal side, employers meeting the wage or employee thresholds must pay federal unemployment tax and file Form 940.8Internal Revenue Service. Topic No. 759, Form 940 – Employers Annual Federal Unemployment (FUTA) Tax Return

Workers’ Compensation

Arkansas requires most employers with three or more employees to carry workers’ compensation insurance. Businesses with two or fewer may be exempt. The law also excludes agricultural farm labor, domestic help, employees of nonprofit religious and charitable organizations, and workers covered exclusively by federal law such as railroad and maritime workers.9Arkansas Department of Labor and Licensing. Form I-9

Every U.S. employer completes a Form I-9 for each hire to verify work authorization. Keep each form for three years after the hire date or one year after employment ends, whichever is later.10U.S. Citizenship and Immigration Services. 10.0 Retaining Form I-9 Paper or electronic storage is fine, but the forms need to be available for inspection.

Check Whether Your Trade Needs a Professional License

Some industries require a state-issued license on top of entity formation and tax permits. Oversight boards, costs, and requirements vary.

Commercial Contractors

The Arkansas Contractors Licensing Board oversees commercial construction. Contractors on any commercial project where total labor and materials reach $50,000 or more must hold a license; single-family residences are specifically excluded from that threshold.11Arkansas Department of Labor and Licensing. Arkansas State Licensing Law for Commercial Contractors Applicants submit a CPA-reviewed financial statement, proof of workers’ comp coverage, and pass the board’s trade exam.

Residential Contractors

Residential work falls under the Residential Contractors Committee. Residential building contractors and home improvement contractors must be licensed, with one exception: projects under $2,000 total cost.12Justia Law. Arkansas Code 17-25-513 – Exemptions The statute closes the obvious loophole of splitting a bigger job into sub-$2,000 pieces. Operating without a required residential contractor license is a Class A misdemeanor, with each day of violation counting as a separate offense.13Justia Law. Arkansas Code 17-25-505 – License from Committee Required

Other Regulated Professions

Dozens of other professions license through their own state boards. Medical professionals apply through the Arkansas State Medical Board with transcripts and residency verification. Beauty salons, architecture firms, and childcare centers each face their own certification process, often with background checks and professional liability insurance. Contact the relevant board early, since some applications take months.

If You’re Running the Business from Home

Arkansas has a notably business-friendly statute on home-based operations that limits what local governments can do.14Justia Law. Arkansas Code 14-1-106 – Home-Based Businesses Cities and counties can enforce health, fire, and safety codes, restrict signage, regulate parking and traffic, and address nuisances like excessive noise or odor. They cannot broadly prohibit home-based businesses or add requirements outside those categories. If a local government tries to enforce an ordinance against your home-based business, the burden sits with the government to prove the ordinance fits within what’s allowed.

This doesn’t excuse you from the other registrations. Entity formation, sales tax permit, and any professional licenses still apply. The zoning hurdle that stops home businesses in a lot of other states is just much lower here.

Keeping It Active: Renewals and Ongoing Compliance

Initial registration is only half the work. Several obligations repeat, and skipping them can cost you your good standing or your right to operate.

Every Arkansas LLC files an annual franchise tax report and pays $150 by May 1.15Arkansas Secretary of State. Annual LLC Franchise Tax Report Corporations have their own franchise tax. Miss the filing and you lose good standing, and eventually the state can administratively dissolve the entity.

Local privilege licenses typically renew at the start of each calendar year through the city or county collector’s office. Your sales tax permit stays active as long as you file returns and pay on time, but you have to notify the Department of Finance and Administration if you change your location, add a new one, or close. Each location needs its own permit, so a second storefront means a separate registration and another $50.7Arkansas Department of Finance and Administration. Register for a Tax Account

Professional licenses have renewal cycles set by the issuing board, and most require continuing education between renewals. Keep a file with every registration, permit, and renewal confirmation. Reconstructing this paperwork during an audit or inspection is much harder than keeping it organized as you go.
