If your company was formed in another state and you want to legally operate in New York, you need authority to do business in New York State. That means filing an Application for Authority with the New York Department of State’s Division of Corporations in Albany, submitting a recent Certificate of Good Standing from your home state, and paying a filing fee of $225 for a corporation or $250 for an LLC. Foreign LLCs then have one more step: publishing notice in two newspapers within 120 days.
Do You Actually Need to Register?
New York law does not list every activity that triggers registration. Courts look at whether your company engages in regular, ongoing activity in the state. A physical office, employees working there, inventory stored in the state, or a steady stream of contracts with New York customers all point toward the kind of sustained presence that requires authority. Buying or leasing real estate in New York as a main business activity qualifies on its own.
The Business Corporation Law carves out a few things that, by themselves, do not count as doing business. These include defending or settling a New York lawsuit, holding board or shareholder meetings in the state, and maintaining New York bank accounts or securities-related offices.1New York State Senate. New York Business Corporation Law BSC 1301 – Authorization of Foreign Corporations A single contract or an occasional sale generally will not trigger registration either. The hard cases live between occasional contact and regular presence, and the answer turns on your specific facts.
One warning worth flagging: even a single employee working remotely from a New York home office can create a business presence for tax purposes, bringing franchise tax, payroll withholding, and unemployment insurance obligations along with it. Registration and tax nexus are separate inquiries, but facts that trigger one usually trigger the other.
What to Gather Before You File
You will need a Certificate of Existence (also called a Certificate of Good Standing) from the state that originally formed your business, dated within one year of your New York filing.2New York Department of State. Application for Authority Foreign Business Corporation Most home states issue these through the Secretary of State for a fee of roughly $5 to $25.
The Application for Authority itself asks for your company’s legal name, the state and date of formation, the New York county where you will keep an office, a description of your business purpose, and a mailing address where the Secretary of State should forward legal papers served on your behalf.3New York State Senate. Filing the application automatically designates the New York Secretary of State as your agent for service of process. Lawsuits against your company can be served on that office, which then forwards the papers to the address you listed.5New York State Senate. New York Business Corporation Law BSC 306 – Service of Process You can also name a separate registered agent with a physical New York address to receive those documents.
If Your Company Name Is Taken
Your legal name has to be available in New York. If another business already uses it, a corporation must designate a fictitious name on the application to use while operating in the state, and that fictitious name cannot contain a corporate indicator like “Inc.” or “Corp.”2New York Department of State. If You Were Already Doing Business in New York
Many companies realize they need authority only after they have been operating for a while. If that describes you, the Department of State will not accept your Application for Authority until the New York State Department of Taxation and Finance consents.3New York State Senate. New York Business Corporation Law BSC 1304 – Application for Authority Contents Consent arrives only after you have filed every outstanding tax return and paid every fee, tax, penalty, and interest charge the state is owed.8Legal Information Institute. The Publication Step for Foreign LLCs
Foreign LLCs have an extra requirement that corporations do not. Within 120 days after the Department of State files your Application for Authority, you must publish a copy of the application or a summary notice once a week for six consecutive weeks in two newspapers in the county of your New York office. The county clerk designates which newspapers you can use (one daily, one weekly).4New York State Senate. New York Limited Liability Company Law 802 – Application for Authority If the clerk has not designated qualifying newspapers in your county, you can publish in a neighboring county instead.
Once the six weeks are done, collect an affidavit of publication from each newspaper and submit them to the Department of State with a Certificate of Publication.9New York Department of State. Certificate of Publication for Domestic Limited Liability Company Costs vary a lot by county. New York City publication, which follows the rules for judicial proceeding notices, runs considerably higher than publication in rural counties.
Miss the 120-day deadline and your LLC’s authority to do business in New York is automatically suspended. Suspension does not void contracts you already signed and does not strip members or managers of their liability protection, but you cannot conduct new business in the state until you complete publication and file the proof.10New York State Senate. New York LLC Law 802 This is the step that trips up the most foreign LLCs, usually because the filing receipt feels like the finish line.
What Happens If You Operate Without Authority
The sharpest consequence is that your company cannot sue in any New York court. Both foreign corporations and foreign LLCs are barred from bringing or maintaining a lawsuit in the state until they get authority and pay every outstanding tax, fee, penalty, and interest charge owed to New York.11New York State Senate. New York Business Corporation Law BSC 1312 – Actions or Special Proceedings by Unauthorized Foreign Corporations12New York State Senate. New York Limited Liability Company Law 808 – Doing Business Without Certificate of Authority You cannot enforce a contract, collect a debt, or pursue any claim in a New York courtroom. You can still defend yourself if someone sues you; the bar only blocks offensive litigation.
The Attorney General has independent authority under the Business Corporation Law to sue to stop an unauthorized foreign corporation from doing business in the state, and can seek to annul the authority of a company that obtained it by fraud or that has been dissolved at home.13New York State Senate. New York Code BSC 1303
One thing registration failure does not do: void your contracts. The other side keeps every right under the agreement and can still sue you on it. The invalidity runs one direction only.11New York State Senate. New York Business Corporation Law BSC 1312 – Actions or Special Proceedings by Unauthorized Foreign Corporations For foreign LLCs, the statute spells out that members and managers do not become personally liable for company debts just because the LLC skipped registration.12New York State Senate. Keeping Your Authority Current
Biennial Statement
Every authorized foreign corporation and LLC must file a Biennial Statement with the Department of State once every two years. The fee is $9. Corporations report the CEO’s name and address, the principal office address, the forwarding address for service of process, and the number of directors (including how many are women). LLCs only need to confirm the address where the Secretary of State should mail process.14New York Department of State. Biennial Statements for Business Corporations and Limited Liability Companies
Do not file early; the statement cannot go in before the calendar month it is due. Miss it and the Department of State marks you “past due,” a status that shows up on any Certificate of Status pulled on your company and can slow business transactions or raise concerns with lenders and partners.14New York Department of State. Sales Tax Certificate of Authority
If you will make taxable sales in New York — selling tangible goods, providing taxable services, charging admission, renting hotel rooms, or catering — you must separately register with the Department of Taxation and Finance for a sales tax Certificate of Authority. This is a different document from the Application for Authority filed with the Department of State. Apply at least 20 days before your first taxable sale, and do not collect sales tax until the certificate arrives.15New York State Department of Taxation and Finance. Instructions for Form DTF-17 Application to Register for a Sales Tax Certificate of Authority
Corporate Franchise Tax
Registering generally brings your company within New York’s corporate franchise tax. Companies that never register can still incur franchise tax obligations if they exceed certain economic activity thresholds with New York customers. The Department of State filing and the tax obligations run on separate tracks, so handling one does not resolve the other. If your company has meaningful New York revenue, talk to a tax professional about franchise tax filings before or right after you register.
