Under California Code of Civil Procedure Section 395, a civil lawsuit generally must be filed in the superior court of the county where the defendant lives at the time the suit is brought. That is the default. The statute then branches into separate rules for contract disputes, consumer transactions, and personal injury claims, and a companion statute, CCP 395.5, sets venue for cases against corporations and associations.1California Legislative Information. The Default Rule: Defendant’s County of Residence
CCP 395(a) sets the baseline. The proper court is the superior court in the county where the defendant lives when the lawsuit is filed. If there are several defendants living in different counties, the plaintiff can pick any county where at least one of them resides.1California Legislative Information. California Code CCP 395 – Place of Trial
Residence means the county where a person actually dwells and intends to remain. A vacation home or a workplace in another county does not establish residence for this purpose.
The statute also blocks a common tactic. If a plaintiff names someone as a defendant only to anchor venue in a favored county rather than because of a real claim, the court will disregard that defendant’s residence when deciding whether venue is proper.1California Legislative Information. California Code CCP 395 – Place of Trial A defendant who suspects sham joinder can raise it on a motion to transfer.
Venue in Contract Cases
When the suit is based on a contractual obligation against an individual, CCP 395(a) gives the plaintiff three choices of county:1California Legislative Information. California Code CCP 395 – Place of Trial
- Where the defendant lives when the suit is filed.
- Where the contract was entered into.
- Where the obligation was to be performed.
One presumption shapes those options. The statute treats the county where the obligation was created as the same county where performance is due, unless the contract specifies a different place of performance in writing. So if you signed a service agreement in Sacramento and the written contract is silent on where the work will be done, Sacramento counts as both the place of formation and the place of performance.1California Legislative Information. California Code CCP 395 – Place of Trial
Note what is not on the list. Against an individual defendant, you cannot file in the county where the breach happened unless performance was due there. The broader “place of breach” option exists only when the defendant is a corporation or association, under CCP 395.5.
Consumer Cases Under Section 395(b)
CCP 395(b) carves out a protective rule for consumer transactions, and it overrides the ordinary contract venue options. When a lawsuit arises from goods, services, loans, or credit extended primarily for personal, family, or household use, venue is tied to the buyer or borrower, not to the seller or lender.1California Legislative Information. California Code CCP 395 – Place of Trial
The proper county is one of these:
- Where the buyer or borrower actually signed the contract.
- Where the buyer or borrower lived when the contract was entered into.
- Where the buyer or borrower lives when the lawsuit is filed.
The same rule applies to transactions resulting from unsolicited sales calls, or from a buyer responding to a seller’s solicitation by phone or electronic message.1California Legislative Information. California Code CCP 395 – Place of Trial
The practical effect matters. A debt collector or retail creditor suing a consumer cannot drag the case to a distant county where the company is based. If you are a consumer sued far from where you live or where you signed, subsection (b) is your strongest argument for moving the case.
Personal Injury and Property Damage
For personal injury, damage to personal property, or death caused by negligence or a wrongful act, CCP 395(a) gives the plaintiff two choices:1California Legislative Information. California Code CCP 395 – Place of Trial
- The county where the defendant (or any defendant) lives when the case is filed.
- The county where the injury or damage actually occurred.
That flexibility can shape strategy. A collision on a Los Angeles freeway involving a San Diego driver can be filed in either county. Plaintiffs often pick the county of the incident because witnesses, evidence, and the scene are local.
Corporations and Associations: CCP 395.5
If the defendant is a corporation or unincorporated association, venue is governed by a separate statute, CCP 395.5, which gives plaintiffs broader options than CCP 395(a) does against individuals. A corporation or association may be sued in:2California Legislative Information. California Code of Civil Procedure 395.5
- The county of its principal place of business, as designated with the California Secretary of State. This functions as the entity’s residence.
- The county where the contract was made or is to be performed.
- The county where the obligation or liability arose, or where the breach occurred.
That third option is the key difference. Against a corporation, you can file where the breach or wrongful conduct took place, even if no contract performance was due there. An unincorporated association that has filed a statement of principal office with the Secretary of State is treated the same way under this statute.2California Legislative Information. When Section 395 Does Not Control
CCP 395 is a default. Several categories of cases have mandatory venue rules that override it, which is why the statute opens with “except as otherwise provided by law.”1California Legislative Information. California Code CCP 395 – Place of Trial
The most common override is CCP 392 for real property. Actions to recover real property, determine an interest in real property, foreclose a lien or mortgage, or address injury to real property must be filed in the county where the property is located, regardless of where the defendant lives or where any contract was signed.3California Legislative Information. California Code CCP 392 – Subject of Action Unlawful detainer (eviction) cases must also be filed at the court location nearest the property. Probate proceedings, dissolution of marriage, and certain actions against public entities have their own mandatory venue statutes as well. Check for a case-specific statute before relying on CCP 395.
Forum Selection Clauses in the Contract
A contract can override CCP 395 by specifying where disputes must be litigated. California courts treat forum selection clauses as presumptively enforceable. In a 2025 decision, the California Supreme Court reaffirmed that forum selection clauses “serve vital commercial purposes and should generally be enforced,” even when the designated forum would deprive a party of certain procedural rights like a jury trial.
A court may refuse to enforce such a clause in limited circumstances, such as when the clause resulted from fraud or overreaching, or when enforcement would violate a strong public policy reflected in a statute with an antiwaiver provision. The bar is high. If you signed a contract designating a specific county, expect to litigate there absent genuinely exceptional circumstances.
One caution for consumers: a forum selection clause in a contract for personal, family, or household use can collide with the protections in CCP 395(b), and courts scrutinize these clauses more carefully when they would force a consumer to litigate far from home.
Challenging Venue If You Are Sued in the Wrong County
A defendant who believes the case was filed in the wrong county moves to transfer venue under CCP 396b. Timing is everything. The motion must be filed at or before the time the defendant files the first response to the complaint, whether that is an answer, a demurrer, or a motion to strike, or within the time otherwise allowed to respond if the motion is filed before responding on the merits.4California Legislative Information. California Code of Civil Procedure 396b
If the court agrees that venue is improper, it orders the case transferred to the correct county. If the defendant has already answered, the court has discretion to keep the case where it is when doing so better serves the convenience of witnesses or the ends of justice. The court can also award reasonable expenses and attorney’s fees to the prevailing side on the motion, weighing whether the losing party made a reasonable offer to stipulate to a change and whether the venue choice or the motion was made in good faith.4California Legislative Information. California Code of Civil Procedure 396b
How the Right to Challenge Venue Is Lost
A venue objection not raised on time is gone. Under CCP 396b, the case may be “tried in the court where commenced” if the defendant does not file the transfer motion with the first responsive pleading or within the response deadline.4California Legislative Information. California Code of Civil Procedure 396b There is no later fix. An answer filed without a simultaneous venue challenge is effectively consent to litigate wherever the plaintiff chose. If you think the county is wrong, make the venue motion the first thing you do.
