Can an LLC Be a Nonprofit in Louisiana? Filing and 501(c)(3) Rules

An LLC can be a nonprofit in Louisiana, but only in narrow circumstances, and it is rarely the right choice for someone starting a charitable mission from scratch. Louisiana law lets you organize an LLC for any lawful purpose, including charitable, educational, or religious work.1Justia Law. Louisiana Revised Statutes 12:1305 – Articles of Organization The problem is federal: the IRS will only recognize a limited liability company as a 501(c)(3) if every member of the LLC is itself a tax-exempt organization or a governmental unit.2Internal Revenue Service. Notice 2021-56 – Standards for Section 501(c)(3) Status of Limited Liability Companies Individuals cannot be members. That single rule determines whether this structure fits what you’re trying to do.

Why an Individual Founder Cannot Form a 501(c)(3) LLC

IRS Notice 2021-56 formalized the agency’s long-standing position: a 501(c)(3) determination letter will issue to an LLC only if both the articles of organization and the operating agreement require that every member be an organization already recognized under Section 501(c)(3) or a governmental unit described in Section 170(c)(1).2Internal Revenue Service. Notice 2021-56 – Standards for Section 501(c)(3) Status of Limited Liability Companies A natural person cannot sit on the member list.

If you are an individual with a charitable idea and no existing nonprofit behind you, the workaround is to first create a nonprofit corporation, obtain 501(c)(3) recognition for that corporation, and then have the corporation form an LLC as its sole member. That extra layer is the main reason most people building a new organization from the ground up skip the LLC and go directly to a Louisiana nonprofit corporation.

When a Nonprofit LLC Actually Fits

Given the member restriction, the nonprofit LLC usually appears in three situations:

  • Joint ventures where two or more existing 501(c)(3) organizations collaborate on a shared project and want each member organization to have a defined governance role through an operating agreement.
  • Subsidiary operations where an existing nonprofit corporation isolates a particular program or activity in a single-member LLC to separate liability and finances.
  • Situations where the parties want more flexible governance than a corporation offers, with no mandatory board of directors, no required officers, and fewer formalities around meetings and minutes.

There are real tradeoffs. Many grant-making foundations and government agencies are less familiar with LLCs in the nonprofit world and may hesitate to fund them. Individual donors can also be uncertain about the deductibility of their contributions. If the organization will depend on grants or small-donor fundraising, a nonprofit corporation is the more comfortable structure for the people writing the checks.

Filing the Articles of Organization in Louisiana

Formation and tax exemption are separate steps handled by different agencies. Filing with the Louisiana Secretary of State creates the legal entity; it has nothing to say about your federal tax status.3Louisiana Secretary of State. File Business Documents

Louisiana Revised Statutes Section 12:1305 requires the articles to include the LLC’s name, the purposes for which it is formed, and whether it is a low-profit limited liability company.1Justia Law. Louisiana Revised Statutes 12:1305 – Articles of Organization For an LLC planning to pursue 501(c)(3) status, the stated purpose should explicitly describe the exempt charitable, educational, religious, or other qualifying activity. The filing fee is $100.4Louisiana Secretary of State. Get Forms and Fee Schedule

Beyond the statutory minimums, Notice 2021-56 requires the articles themselves to contain a provision limiting membership to 501(c)(3) organizations and governmental units.2Internal Revenue Service. Notice 2021-56 – Standards for Section 501(c)(3) Status of Limited Liability Companies Filing without that language forces an amendment later, with another fee and more delay. Build it in up front.

Organizations formed after October 9, 1969 generally must notify the IRS and apply for recognition of 501(c)(3) status; without that step, the organization is not treated as tax-exempt no matter how charitable its purpose.5Office of the Law Revision Counsel. 26 USC 508 – Special Rules With Respect to Section 501(c)(3) Organizations The only statutory exceptions are churches and very small organizations with gross receipts normally at or below $5,000 per year.

What the Operating Agreement Must Say

The operating agreement is the LLC equivalent of corporate bylaws, and the IRS reads it closely during the exemption review. For a nonprofit LLC, it must contain four categories of provisions:6Internal Revenue Service. Exempt Organization Sample Questions – Limited Liability Company

  • A member-restriction clause requiring that each member be a 501(c)(3) organization or a governmental unit.
  • A statement of the LLC’s charitable purpose, together with a dissolution clause directing that any remaining assets go to another qualified tax-exempt organization or governmental unit.
  • If the LLC will be classified as a private foundation, the compliance provisions described in Section 508(e)(1) of the Internal Revenue Code.
  • A contingency plan describing what happens if a member loses its 501(c)(3) status or ceases to be a governmental unit.

The agreement should also prohibit private inurement, meaning no part of the LLC’s net earnings may benefit a private individual. That mirrors the statutory requirement applied to every 501(c)(3) organization.7Office of the Law Revision Counsel. 26 USC 501 – Exemption From Tax on Corporations, Certain Trusts, Etc.

Getting an EIN and Applying for 501(c)(3) Recognition

Once the Secretary of State has accepted the filing, the LLC needs an Employer Identification Number. You can apply online, by fax, or by mail using Form SS-4. Wait until the LLC is legally formed to request the EIN. The IRS treats the EIN application date as the start of the three-year clock for annual returns, and missing three consecutive filings triggers automatic revocation of tax-exempt status.8Internal Revenue Service. Obtaining an Employer Identification Number for an Exempt Organization

With the EIN in hand, file IRS Form 1023 to apply for recognition under Section 501(c)(3). The application goes through Pay.gov with a $600 user fee and must include the articles of organization, the operating agreement, financial data, and a narrative of planned activities.9Internal Revenue Service. Form 1023 and 1023-EZ Amount of User Fee10Internal Revenue Service. Instructions for Form 1023

Smaller organizations may qualify for the streamlined Form 1023-EZ, which costs $275. To be eligible, the LLC must have gross receipts of $50,000 or less in each of the past three years and in each of the next three projected years, and total assets of $250,000 or less.11Internal Revenue Service. Instructions for Form 1023-EZ The instructions include an eligibility worksheet; a “yes” on any question disqualifies you from the streamlined form.

To qualify under 501(c)(3), the LLC must be organized and operated exclusively for exempt purposes such as charitable, educational, religious, or scientific activities. It cannot participate in political campaigns for or against any candidate, and no substantial part of its activities may involve lobbying.7Office of the Law Revision Counsel. 26 USC 501 – Exemption From Tax on Corporations, Certain Trusts, Etc.

Louisiana State Tax Treatment

Federal recognition does not carry over automatically to Louisiana taxes. For sales tax, a nonprofit can apply for an exemption from collecting state sales tax at fundraising events by filing Form R-1048 with the Louisiana Department of Revenue at least 30 days before the event.12Louisiana Department of Revenue. Nonprofit R-1048 This is an annual exemption tied to fundraising activities, not a blanket exemption on everything the organization buys.

Louisiana also imposes a corporate income tax and corporate franchise tax. Qualifying 501(c)(3) organizations are generally exempt from state income tax, but the exemption is not triggered by state formation alone. Contact the Louisiana Department of Revenue after receiving the federal determination letter to confirm the organization’s specific obligations.

Keeping the LLC and Its Exemption in Good Standing

Two separate filing calendars run alongside each other once the LLC is operating. Miss either long enough and the structure collapses.

Louisiana Annual Report

Every Louisiana LLC must file an annual report with the Secretary of State by the anniversary date of its formation. The filing fee is $30, with an additional $5 statutory convenience fee for credit card payments.4Louisiana Secretary of State. Federal Form 990

The IRS requires most tax-exempt organizations to file an annual information return. The form depends on financial activity:13Internal Revenue Service. Form 990 Series Which Forms Do Exempt Organizations File Filing Phase In

  • Gross receipts normally $50,000 or less: Form 990-N (the electronic postcard).
  • Gross receipts under $200,000 and total assets under $500,000: Form 990-EZ or the full Form 990.
  • Gross receipts of $200,000 or more, or total assets of $500,000 or more: the full Form 990.

Returns are due by the 15th day of the fifth month after the end of the organization’s fiscal year, which is May 15 for calendar-year filers. If the LLC fails to file for three consecutive years, the IRS automatically revokes tax-exempt status under Section 6033(j).14Internal Revenue Service. Automatic Revocation of Exemption There is no warning and no grace period; revocation takes effect on the filing due date of the third missed return.

Conflict of Interest Policy and Public Disclosure

Form 1023 asks about a conflict of interest policy, and the instructions provide a sample in Appendix A.15Internal Revenue Service. Instructions for Form 1023 A workable policy requires anyone with a financial interest in a transaction to disclose it, step out of the vote, and let disinterested members decide whether to proceed. Annual acknowledgments from officers and directors complete the framework.

Tax-exempt organizations must also make certain records available on request: the three most recently filed Form 990 returns and the original exemption application, including related IRS correspondence. These documents are available through the IRS website as well.
