Can I Be My Own Registered Agent in Maryland? Rules & Risks

Yes, you can be your own registered agent in Maryland as long as you are at least 18 years old and reside in the state.1Maryland General Assembly. Maryland Code Corporations and Associations – Full Text Maryland calls the role a “resident agent” rather than a registered agent, and appointing yourself costs nothing beyond the standard $100 formation filing fee. The savings are real, but so are the obligations: you are agreeing to sit at a physical Maryland address during business hours, accept lawsuits on behalf of your company, and keep that address on the public record for as long as the business exists.

Who Qualifies

Maryland’s Corporations and Associations Code sets a short list of requirements for an individual resident agent. Under ยง 1-207, you must be at least 18 and a Maryland resident. U.S. citizenship is not required. If you live in Maryland full-time and are old enough to sign a contract, you meet the baseline.

Every Maryland corporation and LLC must maintain a resident agent at all times.2Maryland General Assembly. Maryland Code Corporations and Associations 2-108 The address you list must be a physical location in Maryland, with a complete street address including any suite or apartment number. SDAT’s formation forms require a street address because the point of the role is to give process servers a place to actually hand you papers.3Maryland Department of Assessments and Taxation. Articles of Organization That address can be your home or a business office, but it cannot be a P.O. Box.

If you move out of Maryland, you lose the residency qualification immediately and the business needs a new agent.

How to Appoint Yourself

You name yourself as resident agent on the formation document you file with the Maryland Department of Assessments and Taxation (SDAT). For an LLC, that is the Articles of Organization. For a corporation, the Articles of Incorporation. For a limited partnership, the Certificate of Limited Partnership.

Enter your full legal name as it appears on your government ID and your Maryland street address. Sign the document to consent to the role. SDAT will reject filings where the designated agent has not signed. The $100 formation filing fee covers the appointment; there is no separate charge for naming yourself.4State Department of Assessments and Taxation. SDAT Corporate Charter Fee Schedule

If your business already exists and you want to switch to serving as your own agent, you can file a board resolution (for corporations) or an equivalent change document with SDAT.2Maryland General Assembly. Maryland Code Corporations and Associations 2-108

What You Are Agreeing To

Appointing yourself is not a one-time task. You take on duties that run for the life of the business.

Being There During Business Hours

You must be reachable at your registered address during normal business hours to accept service of process: lawsuits, subpoenas, court orders, and government notices. When legal papers arrive, you forward them to the appropriate person in the business right away. Maryland typically requires a response to a lawsuit within 30 days of service, so even a short delay in handling delivered documents can create serious problems.

Keeping Your Address Current

If your address changes, you file a Resident Agent’s Notice of Change of Address with SDAT.5State Department of Assessments and Taxation. Accepting a Permanent Public Listing

Maryland’s business entity database is freely searchable, so the address you list becomes part of the public record. Anyone can look it up: customers, competitors, data brokers, solicitors. If you work from home, your home address is now tied to your business filings. Even if you later switch to a commercial agent, cached copies of older filings tend to live on third-party business directories that scrape state databases. Process servers will show up at whatever address is on file, which for many solo owners means the front door.

What Goes Wrong If You Miss Something

The consequences of being unreachable escalate quickly.

If a process server tries to deliver a complaint at your registered address and cannot find you, Maryland court rules allow substitute service through SDAT after two failed attempts on separate days. SDAT can also be served directly if your business has no resident agent on file or if the agent listed is no longer at the address. Once SDAT is served on your behalf, the clock on your response starts running whether or not you learn about the case.

Miss the response window and the court can enter a default judgment, accepting the plaintiff’s claims as true and awarding damages without hearing your side. Depending on the case, that can mean monetary awards and permanent injunctions.

A business without an active resident agent also falls out of good standing with Maryland. If good standing is not restored, SDAT will forfeit the entity and it can no longer legally operate in the state.7Maryland Business Express. When Hiring Someone Else Makes More Sense

Serving as your own agent works well if you keep regular hours at a consistent Maryland location and are comfortable with your address being public. A few situations tilt the other way:

  • You travel frequently and will not reliably be at the address during business hours.
  • You work from home and want your home address kept off public filings.
  • You own multiple entities, which multiplies the administrative work and the $25-per-entity address-change fees.
  • You live near a state border and might move out of Maryland, since losing residency disqualifies you immediately.

Professional registered agent services typically run between $100 and $200 per year, with budget options starting around $49 and premium services charging over $400 annually. Most offer same-day scanning and electronic notification when documents arrive.

Backing Out Later

If you decide the role is not for you, Maryland lets you resign. File a signed resignation with SDAT; there is no fee.8Maryland State Department of Assessments and Taxation. Changing the Principal Office or Resident Agent If a successor has already been appointed, your resignation takes effect when SDAT accepts the filing. If no successor is named, it takes effect ten days after acceptance, giving the business a short window to put someone new in place.2Maryland General Assembly.
