Can I Use a PO Box for My LLC in Georgia? Registered Office vs. Principal Office

You can use a PO box for a Georgia LLC’s principal office mailing address, but not for its registered office. Georgia law treats these as two separate address fields on your Articles of Organization, and the registered office has to be a physical street address inside the state where a person can be handed legal papers. The principal office mailing address, which the Secretary of State uses for correspondence, can be a PO box.1Georgia Secretary of State. Filing Procedures for Forming a Georgia Corporation

Mix the two up and your filing gets rejected. Leave the registered office non-compliant for long enough and the state can dissolve your LLC.

Why the Registered Office Can’t Be a PO Box

Under O.C.G.A. § 14-11-209, every Georgia LLC must maintain a registered office in the state.2Justia Law. Georgia Code 14-11-209 – Registered Office and Registered Agent This is the place a process server goes when someone sues your business, and the address a state agency uses for formal notices. Someone has to be physically there during business hours to accept the documents.

Georgia’s Corporations Division regulation is explicit: the registered office address “may not be a post office box, post office drawer, mail drop, or rural route, unless the address is also accompanied by a physical address of the exact location of the registered office where the registered agent can be personally served with process.”3Legal Information Institute. Georgia Comp. R. and Regs. R. 590-7-19-.11 – Registered Office and Registered Agent The Secretary of State’s FAQ says the same thing in shorter form: a PO box or mail drop may not be used as the registered agent address.4Georgia Secretary of State. Business Division FAQ – Section: What Is the Registered Agent of an Entity

List a PO box in the registered office field and the filing will come back rejected. The registered office doesn’t have to be where you actually run the business or where you live. It just has to be a real, staffed Georgia street address.

Where a PO Box Works: The Principal Office Mailing Address

The principal office mailing address is a different field on the same form, and the rules are different too. Georgia’s own filing instructions say so directly: “The principal office address may be a post office box, unlike the registered office.”1Georgia Secretary of State. Filing Procedures for Forming a Georgia Corporation In the online filing system, the field is labeled “Mailing address of the principal office.”5Georgia Secretary of State. How to Guide – Register a Domestic Entity

This address exists so the Corporations Division has somewhere to send annual registration reminders and general notices. It isn’t a legal-service address, which is why the PO box prohibition doesn’t apply. If you work from home and don’t want state mail landing in your residential mailbox, routing the principal office correspondence to a PO box is a simple fix. It only covers what the Secretary of State sends you, though. The registered office still has to be a compliant street address.

Keeping Your Home Address Off the Public Record

Every address you file with the Secretary of State is public. Anyone can pull up your LLC on the Corporations Division’s online search and see the registered office, the registered agent’s name, and the principal office mailing address. There is no option to redact them.

A PO box on the principal office line helps with the correspondence side but does nothing for the registered office, which is the field most likely to leak your home address if you’ve used it there. Two setups solve the whole problem.

Hire a Professional Registered Agent

A registered agent service provides a compliant Georgia street address staffed during business hours. The service’s address goes on your Articles of Organization as the registered office, and its staff accepts legal documents and forwards them to you. This is the cleanest way to satisfy O.C.G.A. § 14-11-209 without putting a personal address on the public filing.2Justia Law. Georgia Code 14-11-209 – Registered Office and Registered Agent Pricing usually runs $100 to $300 a year, with budget providers starting around $50.

Use a Commercial Mail Receiving Agency for Mail Only

A Commercial Mail Receiving Agency gives you a physical street address with a suite number instead of a PO box number. A basic CMRA mailbox isn’t enough to satisfy the registered office rule on its own, because no one is standing by to accept service of process on your behalf. Some CMRAs pair the mailbox with registered agent services, and that combination can work. Mailbox-only CMRA pricing typically runs $10 to $40 a month.

Many Georgia LLC owners end up with a two-address setup: a professional registered agent for the registered office, and a PO box or CMRA for the principal office mailing address. The home address stays off the public filing entirely.

What Happens If Your Address Falls Out of Compliance

A bad address isn’t just a paperwork issue. Under O.C.G.A. § 14-11-603, the Secretary of State can start administrative dissolution if your LLC goes 60 days or more without a registered agent or registered office, or if you don’t notify the state within 60 days that your registered agent has resigned or your registered office has changed.6Justia Law. Georgia Code 14-11-603 – Judicial and Administrative Dissolution Missing your annual registration by more than 60 days triggers the same risk.

Administrative dissolution strips your LLC of the authority to operate. Keep doing business without knowing the entity has been dissolved and you can end up personally liable for debts and contracts entered during that period. Georgia allows reinstatement within five years of dissolution for a $260 fee, and reinstatement generally relates back to the dissolution date as though it never happened.7Georgia Secretary of State. How to Guide – Reinstate an Entity That retroactive fix isn’t a guaranteed shield against personal liability in every case, especially if a court concludes you were effectively operating as a sole proprietor during the gap.

The IRS and Your Bank Have Their Own Rules

Georgia’s rules only cover your state filing. When you apply for an EIN on Form SS-4, the street address field on lines 5a–5b will not accept a PO box; the instructions state, “Don’t enter a P.O. box number here.”8Internal Revenue Service. Instructions for Form SS-4 (12/2025) The separate mailing address field on the same form does accept a PO box. If your LLC later changes addresses, you report it to the IRS on Form 8822-B, and changes to the responsible party have to be reported within 60 days.9Internal Revenue Service. About Form 8822-B, Change of Address or Responsible Party – Business This is a separate filing from updating your address with Georgia, and it’s easy to forget the second step.

Banks add another layer. Under federal Know Your Customer rules, most banks want documentation tied to a real operating location before opening a business account. Some payment platforms are stricter and refuse registered agent addresses, mailbox services, and virtual addresses outright. If your only physical address is a registered agent’s office and your mailing address is a PO box, expect to be asked for a lease, a utility bill, or similar proof of a physical location when you open accounts.
