An LLC’s core benefit is shielding members from personal liability for business debts. You’ll file online through the Secretary of State’s business portal. Delinquent Five Years or Longer
Once the delinquency has run five years or more, you need extras alongside the Statement Curing Delinquency: an affidavit confirming the signer has authority to act on behalf of the LLC, plus a copy of that person’s government-issued photo ID.9Justia. If You Don’t Cure It
Delinquency isn’t the end. Dissolution is. The Secretary of State can dissolve a delinquent LLC by sending notice, and if the delinquency isn’t cured within 60 days of that notice, the LLC is dissolved.13Justia. Some LLCs sit in delinquent status for years before dissolution starts. Banking on that is a gamble.
There’s also a separate path once an LLC has been delinquent for three years or more: any manager can trigger dissolution by filing a Statement of Dissolution of Delinquent Entity, after giving at least 30 days’ written notice to all owners and others with authority over dissolution. Reinstatement After Dissolution
If the LLC has already been dissolved, curing delinquency is no longer available. Instead, you file Articles of Reinstatement listing the LLC’s name, date of formation, date of dissolution, principal office address, and registered agent information.14Justia. Reinstatement is a heavier lift than curing delinquency, and the risk that your original name has already been claimed is higher the longer you wait.
