Do I Need a Business License in Arizona? State, City, and Industry Rules

Do you need a business license in Arizona? In most cases, yes — but not a single one. Arizona does not issue a general statewide business license. Instead, almost every business needs some combination of a state tax license, a city license, and in some fields a professional or industry permit before it can legally open.1Arizona Commerce Authority. Business Licensing Which pieces apply depends on what you sell, where you work, and whether you hire anyone.

There Is No Single Arizona Business License

A common assumption is that one state office issues one license that lets you run any kind of business. That is not how Arizona works. There is no blanket license and no central office that handles every type of permit.1Arizona Commerce Authority. Business Licensing You assemble the registrations that fit your situation: a tax license from the Department of Revenue, an entity filing with the Corporation Commission if you form an LLC or corporation, a credential from a state board if your trade is regulated, and a local license from your city or town.

Most owners end up dealing with at least two of those layers. A retail shop in Phoenix needs the state tax license and a city license. A contractor needs a state contractor license, a state tax license, and sometimes a city license on top. A sole proprietor consultant working from home may need only a city license, depending on the town and the type of work.

The State Transaction Privilege Tax License

If your business sells products, leases property, or provides certain taxable services, you need a Transaction Privilege Tax (TPT) license from the Arizona Department of Revenue before you start operating. State law is explicit: you cannot engage in business until you hold a valid TPT license.2Arizona Legislature. Arizona Revised Statutes Title 42-5005 – Transaction Privilege Tax and Municipal Privilege Tax Licenses, Fees, Renewal, Revocation, Violation, Classification The state fee is $12 per year, regardless of how many locations you run.

People often call this a sales tax license, but the TPT works differently from the sales taxes charged in most other states. The tax is levied on the business for the privilege of doing taxable business in Arizona, not on the buyer at the register. The practical effect is similar, since most businesses pass the cost through, but the legal distinction shapes how you report and remit.3Town of Gilbert. If your business is purely service-based and the service is not taxable under the TPT, you may not need this license. A consultant working out of a home office in Tucson, for instance, still needs a city business license even if none of the work is taxable at the state level.4City of Tucson. Your City Likely Requires Its Own License

Most Arizona cities and towns issue a separate local license. Chandler, Gilbert, Glendale, Mesa, Scottsdale, Tucson, and others all require some form of registration before you operate within their boundaries.5City of Mesa. Mesa General Business License Fees vary widely, typically ranging from free to around $175 for initial and annual renewals.

Cities also charge their own TPT license fees on top of the $12 state fee. In Phoenix, the annual city renewal fee is $50 for most non-rental business activities.6City of Phoenix. Transaction Privilege (Sales) and Use Tax License Fees A contractor doing work in a city where they are not based still needs a TPT license to report taxes there, even if that city does not require a separate business license.3Town of Gilbert. Home-Based Businesses Are Not Exempt

Running your business from home does not take you out of local licensing. In Mesa, both internet-based sellers and off-site service providers still need a city business license, because the home counts as the headquarters.5City of Mesa. Mesa General Business License Cities also apply zoning rules to home operations — Phoenix, for example, caps business use at 25% of the home’s area under roof, limits operating hours to 7:00 a.m. through 10:00 p.m., bars outside employees, and prohibits certain uses outright, including barbershops, restaurants, veterinary offices, and commercial kennels.7City of Phoenix Planning and Development Department. Licenses Tied to Your Profession or Industry

Some fields require a credential from a specialized state board on top of your tax and city registrations. These are more involved than a tax license, usually requiring proof of education, exams, background checks, and sometimes surety bonds.

Construction, remodeling, and repair work require a license from the Arizona Registrar of Contractors. Operating without one is a Class 1 misdemeanor, with a minimum fine of $1,000 for a first offense and $2,000 for later offenses.8Arizona Registrar of Contractors. If You Hire Employees

Hiring changes your obligations immediately. The moment you bring on even one employee, Arizona law requires you to carry workers’ compensation insurance. There is no minimum headcount — the mandate applies whether the employee is part-time, full-time, a minor, or a family member.12Industrial Commission of Arizona. Workers’ Compensation Insurance Employers’ Frequently Asked Questions A sole proprietor working alone does not need to insure themselves, but an LLC with even one employee must obtain coverage. Skipping this is not a paperwork technicality: under A.R.S. § 23-932, violations of the workers’ compensation chapter where no other penalty applies are classified as a Class 6 felony.13Arizona Legislature. Arizona Revised Statutes Title 23-932 – Violations, Classification

You also need to register with the Arizona Department of Economic Security (DES) for unemployment insurance. That registration happens through the same Joint Tax Application (Form JT-1) used for your TPT license. DES uses the information to determine whether you owe unemployment insurance tax and will mail you a liability determination with your rate, coverage start date, and employer account number.14Arizona Department of Economic Security. If You Form an LLC or Corporation

Operating as an LLC, corporation, or partnership means filing formation documents with the Arizona Corporation Commission (ACC) before you register for tax licenses or local permits. For an LLC, that means Articles of Organization along with a member or manager structure attachment, a statutory agent acceptance form, and a $50 filing fee.15Arizona Corporation Commission. Fee Schedule – LLCs

Every LLC must keep a statutory agent — the person or company designated to receive legal documents — with a valid address on file at all times. Let it lapse and the ACC can administratively dissolve your LLC.16Arizona Corporation Commission. L010I Instructions – Articles of Organization

Sole proprietors do not need to file with the ACC and can operate under their own legal name without any entity filing. If you want to use a business name that differs from your personal name, you can register a trade name (sometimes called a DBA) with the Arizona Secretary of State for a $10 standard fee. Arizona does not legally require trade name registration, though it is a widely accepted practice that helps protect the name.17Arizona Secretary of State. Renewing and Keeping the License Active

Your TPT license must be renewed every year by January 1. The Department of Revenue mails renewal notices in November, but a missing notice does not move the deadline. The state renewal stays at $12, with city renewal fees added separately. In Phoenix, city renewal for most activities is $50, due by the last business day of January.6City of Phoenix. Once licensed, the Department of Revenue assigns a filing frequency based on your taxable gross income — annually at the low end, quarterly in the middle, and monthly at $50,000 or more. All new accounts file monthly for the first six months before they can request a less frequent schedule.21City of Phoenix. What Is Transaction Privilege and Use Tax?

What Happens If You Skip a Required License

Penalties scale with the license you lack, and they are not equal.

Operating as a contractor without a Registrar of Contractors license is a Class 1 misdemeanor, the most serious misdemeanor classification in Arizona. The minimum fine is $1,000 for a first offense and $2,000 for each subsequent offense, and courts can add further penalties on top of those floors.8Arizona Registrar of Contractors. Arizona Revised Statutes and Rules – Section 32-1164

Conducting taxable activity without a TPT license violates A.R.S. § 42-5005, which flatly prohibits engaging in business until you hold the license.2Arizona Legislature. Arizona Revised Statutes Title 42-5005 – Transaction Privilege Tax and Municipal Privilege Tax Licenses, Fees, Renewal, Revocation, Violation, Classification At the city level, operating unlicensed can produce back fees for every year of operation plus relicensing penalties.

Employers who fail to carry mandatory workers’ compensation insurance face felony exposure. Under A.R.S. § 23-932, violations of the workers’ compensation chapter are classified as a Class 6 felony where no other specific penalty applies.13Arizona Legislature. Arizona Revised Statutes Title 23-932 – Violations, Classification The distance between a $12 state tax license and a felony conviction is a useful reminder: licensing lapses that touch employee safety carry the heaviest consequences.
