You do not need a single, all-purpose business license in Colorado, because the state does not issue one. What you need instead is a mix of registrations and permits that depends on what you sell, where you operate, whether you have employees, and what profession you’re in. For most businesses, that mix includes a Colorado Sales Tax License, an entity registration with the Secretary of State, and at least one local permit from the city or county where you work. Some professions add a personal credential on top. Getting the combination right from the start is cheaper than untangling it after a fine or a shutdown order.
What the State Actually Requires
Two state-level items apply to the broadest swath of Colorado businesses: the Sales Tax License and, if you’re using a formal entity, Secretary of State registration.
The Colorado Sales Tax License
If you sell tangible products at retail, you must have a Colorado Sales Tax License before your first sale. State law makes it unlawful to sell at retail without one.1Justia. Colorado Code Title 39 Article 26 Part 1 Section 39-26-103 – Licenses – Fee – Revocation – Definition This is the registration people most often overlook when they start selling online or at farmers’ markets, and it functions as the closest thing Colorado has to a general license for retailers.
Licenses run on a two-year cycle that expires on December 31 of odd-numbered years. The current period runs from January 1, 2026, through December 31, 2027. Fees scale down as the cycle progresses: $16 if you apply in the first half of 2026, $12 in the second half, and lower still in 2027. New accounts also owe a one-time $50 deposit, which the state refunds automatically once you’ve collected and remitted $50 in state sales tax.2Department of Revenue – Taxation. Standard Retail License – Section: Sales Tax Deposit
You apply using Form CR 0100. The form captures your business address, your expected first sale date, and your filing frequency. Businesses expecting $600 or more in monthly sales tax file monthly; under $600 is quarterly; $15 or less (or wholesale-only) is annual.3Department of Revenue – Taxation. CR 0100 – Colorado Sales Tax and Withholding Account Application If you operate from more than one physical location, each needs its own application.
Secretary of State Entity Registration
If you’re forming an LLC, corporation, or nonprofit, you file formation documents with the Secretary of State. The online filing fee is $50.4Colorado Secretary of State. Business Organizations Fee Schedule Sole proprietors and general partnerships do not file formation documents, though they may still need a trade name filing.
After your entity is active, you owe a periodic report every year. The fee is $25.5Colorado Secretary of State. Periodic Report Filing Fee to Increase July 1 Miss it and your status drops to “Noncompliant,” then “Delinquent,” and eventually the state can dissolve the entity. That creates real problems for any contract, bank account, or license tied to the entity name.6Colorado Secretary of State. Business FAQs – Delinquency
When Your City or County Requires Its Own License
Colorado’s constitution grants home rule authority to cities and towns of at least 2,000 residents, giving them broad power to run their own licensing, tax, and regulatory systems.7FindLaw. Colorado Constitution Art XX Section 6 – Home Rule for Cities and Towns Your state registrations are only half the picture. Many municipalities require their own general business license, their own sales tax account, or both. Rules vary sharply between jurisdictions, and a business operating across city lines may need separate licenses in each one.
Zoning usually comes up first. Your location has to be permitted for your activity under the local zoning code. Home-based businesses have an extra layer: most Colorado municipalities require a home occupation permit and limit signage, employee count, client visits, and hours. Some cities bar certain activities from residential zones outright, including retail sales and on-site food preparation.
Liquor and marijuana businesses face a more demanding local gate. Colorado uses dual licensing for liquor retailers, so the local government has to approve you before the state will issue its license. Local approval typically involves a background investigation covering criminal history, tax compliance, and ownership in other liquor businesses, and new applicants often have to show neighborhood need and desire through a public hearing.8Department of Revenue – Specialized Business Group. Apply for a License or Permit – Liquor Enforcement Division For marijuana, each municipality decides whether to allow retail or medical operations at all, and many cap the number of licenses issued.
When Your Profession Requires a Personal License
Certain professions require individual credentials from the Colorado Department of Regulatory Agencies (DORA) under Title 12 of the Colorado Revised Statutes. These licenses attach to the person, not the business, so you need one even if you’re a sole proprietor or independent contractor. The list is long: healthcare providers, accountants, engineers, architects, barbers, real estate agents, and many more. Each has its own mix of education, exam, and experience requirements.
Working in a regulated profession without the credential is a class 2 misdemeanor, carrying up to 120 days in jail and a fine of up to $750. Fraudulently claiming to be licensed in professions like medicine, nursing, pharmacy, engineering, or architecture is a class 6 felony, with 12 to 18 months of potential prison time and fines up to $100,000.9Justia. What Hiring Employees Adds
Hiring your first employee triggers two mandatory registrations that have nothing to do with sales tax.
You must register for an unemployment insurance account with the Colorado Department of Labor and Employment once you cross either threshold: $1,500 or more in wages during any calendar quarter in the current or prior year, or at least one person employed for any part of a day in 20 different calendar weeks of the current or prior year. The weeks don’t need to be consecutive, and it doesn’t need to be the same person each week.10Department of Labor & Employment. Employer Liability Chart
Workers’ compensation insurance is separate. If you have even one employee in Colorado, part-time, full-time, or a family member, you must carry coverage and keep it in force. The penalty for going uninsured is up to $500 for every day without coverage, plus the state can shut your business down, and you become personally liable for any workplace injury claim with a 25% penalty added to the injured worker’s benefits.11Department of Labor & Employment. Workers’ Compensation Insurance Requirements Limited carve-outs exist for certain casual and agricultural labor, but the default rule covers nearly every employer.
Trade Names if You’re Operating Under a Different Name
If you plan to do business under any name other than your legal name (as a sole proprietor) or your entity’s registered name (as an LLC or corporation), Colorado requires a Statement of Trade Name filing with the Secretary of State. This is the “DBA” or “doing business as” filing.12Colorado Secretary of State. Business FAQs – Trade Names
One thing worth knowing: trade names are not unique. Multiple businesses can file the same one, and the filing doesn’t reserve or protect the name. If you want exclusive rights, that’s trademark territory, which is a separate process. A trade name filing is purely public disclosure of who’s behind the name.
How to Apply
MyBizColorado is the state’s centralized portal for registering and managing a business. You can file formation documents with the Secretary of State, open a sales tax account, and handle other state registrations in one place.13colorado.gov. MyBizColorado For the sales tax license, Form CR 0100 can also be mailed with a check or money order and a copy of your photo ID to the Department of Revenue in Denver.
Most Colorado businesses will also need a Federal Employer Identification Number (EIN) from the IRS. The online application is free and issues your number immediately.14Internal Revenue Service. Employer Identification Number If you’re forming an entity, register with the Secretary of State first, then apply for the EIN.
Have the following ready before you start:
- EIN or Social Security number for the business.
- Legal entity name exactly as it appears on file with the Secretary of State.
- Physical business address. A P.O. Box alone won’t work for most filings.
- NAICS code, the six-digit industry classification for your primary activity.
- First sale date, which sets your filing obligations.
A new state sales tax account filed through MyBizColorado produces a confirmation number right away; the physical license usually arrives in two to four weeks. Local municipal licenses run on their own clocks, so build extra lead time into your launch if you need both.
What It Costs to Skip Any of This
Penalties vary by license, and some hit much harder than others.
Selling at retail without a Colorado Sales Tax License is a petty offense, with a civil penalty of $50 for each day you operate without the license, up to a $1,000 maximum. You’re also still on the hook for all uncollected sales tax plus interest, and the state can require you to stop operating until you’re compliant.1Justia. Colorado Code Title 39 Article 26 Part 1 Section 39-26-103 – Licenses – Fee – Revocation – Definition
DORA professions carry the criminal exposure described above. And missing workers’ comp coverage can cost up to $500 per day, making it one of the most expensive compliance failures a small employer can walk into.11Department of Labor & Employment. Workers’ Compensation Insurance Requirements Local violations usually bring citations and fines set by municipal ordinance, and repeat violations can block future renewals. The dollar figures vary by city, but losing or being denied a license is often the bigger cost.
Renewals to Keep on Your Calendar
Missing a renewal is one of the easier ways to slip out of compliance.
- Sales Tax License: every two years, expiring December 31 of odd-numbered years. The current cycle runs through December 31, 2027. If you didn’t renew before January 1, 2026, your license is already expired.15Department of Revenue – Taxation. Renew Your Sales Tax License
- Secretary of State Periodic Report: annually, in the month your entity was formed. For an entity with a January report month, for example, the report is due by March 31, with a late window through May 31 before status flips to delinquent.6Colorado Secretary of State. Business FAQs – Delinquency
- Professional Licenses: cycles vary by profession and are set by DORA. Most are annual or biennial. Check your specific board.
- Local Business Licenses: typically annual, though some cities run on different schedules. Your local clerk’s office has the exact dates.
Setting a reminder 60 days before each deadline gives enough runway to handle paperwork without a lapse. A lapsed license isn’t just a fine; it can void insurance coverage, breach lease terms, and give clients grounds to dispute contracts.
