Yes. If you own a Pennsylvania LLC, you have to renew it every year by filing an annual report with the Department of State. The deadline is September 30, the fee is $7, and the requirement took effect in 2025 under Act 122 of 2022. Miss it long enough and the state can administratively dissolve your LLC and release your business name to anyone who wants it.1Department of State | Commonwealth of Pennsylvania. When the Annual Report Is Due
Domestic and foreign LLCs can file any time between January 1 and September 30 each year.1Department of State | Commonwealth of Pennsylvania. Annual Reports in Pennsylvania That September 30 date is specific to LLCs; other entity types operate on different windows.
If your LLC was formed or registered during 2025, your first report is not due until 2026. The Department sends reminders by email when it has an address on file and by postcard before your deadline.2Commonwealth of Pennsylvania. What You File and What It Costs
The report is form DSCB:15-146. Online filing through file.dos.pa.gov prepopulates most fields from your existing record, and you confirm or update a short list of details:1Department of State | Commonwealth of Pennsylvania. Annual Reports in Pennsylvania
- Your LLC’s exact registered business name
- The entity number assigned by the Department of State
- Registered office address (a Pennsylvania street address or rural route box, not a PO box alone)
- Principal office address, meaning where the LLC actually conducts business
- At least one governor — for an LLC, that is a manager if the company is manager-managed, or a managing member if it is member-managed
If your LLC has no physical Pennsylvania location, you can list a Commercial Registered Office Provider in place of a registered office address. Make sure you have a contract with the provider before using their address; filing without one can trigger civil or criminal penalties.3Commonwealth of Pennsylvania. The filing fee is $7, payable by credit card online or by check or money order with a paper submission to the Bureau of Corporations and Charitable Organizations in Harrisburg. Paper filings are date-stamped on receipt and returned by mail after processing. You can also use the annual report to update your registered office at no extra charge; a standalone address change filed outside the annual cycle costs $5.
What Happens If You Miss the Deadline
Pennsylvania does not charge a separate late fee between your missed deadline and dissolution. What it does instead is more serious. The Department of State can begin administratively dissolving your LLC for failure to file, after giving at least 60 days’ notice.4Pennsylvania General Assembly. Pennsylvania Code Title 15 – Section 381 – Grounds for Administrative Dissolution or Cancellation
Enforcement is phased in. The Department has said it will start acting on missed reports beginning with those due in 2027, so an LLC that fails to file its 2027 report and doesn’t correct the problem during that year could face dissolution in 2028.1Department of State | Commonwealth of Pennsylvania. Administrative dissolution strips the LLC of its authorization to do business in Pennsylvania. Legal standing and the liability shield that comes with the LLC form are suspended. The state also releases your business name. If another entity claims it while you are dissolved, you cannot get it back and will need a new name when you reinstate.
How to Reinstate a Dissolved LLC
A domestic Pennsylvania LLC that was administratively dissolved for missing an annual report can be reinstated at any time — there is no deadline for applying. Three things are required:1Department of State | Commonwealth of Pennsylvania. Annual Reports in Pennsylvania
- A reinstatement application fee of $35 online or $40 on paper5Commonwealth of Pennsylvania Department of State. Fees and Payments
- Current annual report information, the same details you’d give in a routine filing
- $15 for each delinquent annual report you did not previously pay for5Commonwealth of Pennsylvania Department of State. Fees and Payments
Once reinstated, a domestic LLC is treated as though the dissolution never happened. The effect reaches back to the dissolution date, and the company keeps its original entity number. Two things don’t come back: a name another entity has claimed in the meantime, and the position of anyone who reasonably relied on the dissolution.
Foreign LLCs Reinstate Differently
If your LLC was formed in another state and registered to do business in Pennsylvania, the retroactive reinstatement rule does not apply. A foreign LLC whose registration was terminated for failure to file must submit a new Foreign Registration Statement and will receive a new entity number. Activities conducted between the termination and the new registration are not validated after the fact.1Department of State | Commonwealth of Pennsylvania. Annual Reports in Pennsylvania
