Financial Advisor License Requirements in California

To work as a financial advisor in California, you have to meet the state’s investment adviser license requirements: pass a qualifying examination (or hold a recognized professional designation), register your advisory firm with the Department of Financial Protection and Innovation (DFPI), file your individual paperwork through the national electronic system, and keep up with annual renewal fees and 12 credits of continuing education each year. The path below walks through each step in the order you’ll actually take it.

Which License You Actually Need

California regulates investment advisers and broker-dealers as two separate categories under the Corporate Securities Law of 1968, and the license you need depends on what you plan to do.1Department of Financial Protection and Innovation. Broker-Dealers and Investment Advisers An investment adviser gives ongoing advice about securities for compensation and owes a fiduciary duty to clients. A broker-dealer executes securities transactions, buying and selling for customers or the firm’s own account.2Justia. California Code Corporations Code 25000-25023 – Definitions

If you work for an investment adviser firm, your title is investment adviser representative (IAR). If you work for a broker-dealer, you’re an agent. Most people searching for how to get a “financial advisor license” in California are on the investment adviser path, and that’s what this guide covers. If you plan to execute trades as well as advise, you’ll see that reflected in the exam section below.

One more sorting question before you start: firms with less than $100 million in assets under management register with the DFPI as state-licensed investment advisers.3Department of Financial Protection and Innovation. State Licensed Investment Adviser Firms at or above $100 million register with the SEC. Either way, if you want to advise California clients as an individual, you must meet California’s qualification and registration rules.

Step 1: Pass a Qualifying Exam (Or Use a Designation Waiver)

Before you can register as an IAR, you need to pass a qualifying exam within the two years before you apply.4Legal Information Institute. California Code of Regulations Title 10 Section 260.236 – Qualifications of Investment Advisers and Investment Adviser Representatives There are two exam routes.

The Series 65

The most direct route is the Series 65, formally the Uniform Investment Adviser Law Examination. It’s the standard exam for people who plan to work only as investment advisers, covering securities law, ethics, and investment strategies. The test has 130 scored questions plus 10 unscored pretest questions, and you have 180 minutes. You need 92 correct out of 130 scored questions to pass, roughly 71%.5FINRA. Series 65 – Uniform Investment Adviser Law Exam

The Series 7 Plus Series 66

If you also want to execute securities transactions as a broker-dealer agent, you can qualify by passing both the Series 7 (General Securities Representative Examination) and the Series 66 (Uniform Combined State Law Examination). The Series 7 has 125 scored questions plus 5 pretest questions, with 3 hours and 45 minutes to complete. The Series 66 has 100 scored questions plus 10 pretest questions, 150 minutes, and requires 73 correct answers to pass.6NASAA. Series 66 Exam Content Outline The Series 7 requires sponsorship from a FINRA member firm, so you need a job offer from a broker-dealer before you can sit for it.

If You Fail

After your first or second failed attempt at any of these exams, you must wait 30 days to retake. After a third failure, the waiting period becomes 180 days, and stays at 180 days for every attempt after that.7FINRA. SIE Exam and Exam Restructuring Frequently Asked Questions

Designation Waivers

California waives the exam requirement entirely if you currently hold one of five professional designations:4Legal Information Institute. California Code of Regulations Title 10 Section 260.236 – Qualifications of Investment Advisers and Investment Adviser Representatives

  • Chartered Financial Analyst (CFA), granted by the CFA Institute
  • Certified Financial Planner (CFP), issued by the CFP Board of Standards
  • Chartered Financial Consultant (ChFC), awarded by The American College
  • Chartered Investment Counselor (CIC), granted by the Investment Adviser Association
  • Personal Financial Specialist (PFS), administered by the American Institute of Certified Public Accountants

The designation has to be current. A lapsed credential will not qualify you. You don’t need a special petition; you indicate the designation during registration.

Step 2: Register the Firm

The firm you work for must be registered with the DFPI before any individual representative can file under it. All firm registration goes through the Investment Adviser Registration Depository (IARD) system.

Form ADV and Form CRS

The firm files Form ADV, the uniform registration application used by both state and SEC-registered advisers.8Investor.gov. Form ADV Part 1 covers ownership, business operations, and regulatory history, and state-registered firms also complete Part 1B for state-specific items.9U.S. Securities and Exchange Commission. Form ADV Instructions Part 2 is the plain-English client brochure describing services, fees, and conflicts of interest, and it must be delivered to every advisory client.

Firms with retail investors also prepare Form CRS, a brief relationship summary. It cannot exceed two pages in paper format, or four pages for firms that are both a broker-dealer and an investment adviser.10U.S. Securities and Exchange Commission. Form CRS Relationship Summary Instructions Firms with only institutional clients and no retail investors do not have to prepare one.

Firm Fees

The DFPI charges a $125 application fee for the initial investment adviser certificate, and annual renewal is also $125.11Department of Financial Protection and Innovation. Index of Fees, Fines and Penalties Fees are paid through IARD. Once the DFPI issues the certificate, it stays in effect until the firm surrenders it or the commissioner suspends or revokes it. California law makes it illegal to operate as an investment adviser without that certificate or an exemption.12California Legislative Information. California Corporations Code Section 25230

Minimum Net Worth

California requires advisory firms to maintain minimum net worth based on how much control they have over client assets:13Department of Financial Protection and Innovation. Investment Adviser Minimum Financial and Reporting Requirements

  • Firms with custody of client funds or securities must maintain at least $35,000 in net worth at all times.
  • Firms with discretionary authority but no custody must maintain at least $10,000 in net worth at all times.
  • Firms that accept more than $500 per client in fees paid six or more months in advance must maintain positive net worth at all times.

The thresholds come from California Code of Regulations Section 260.237.2.14Legal Information Institute. California Code of Regulations Title 10 Section 260.237.2 – Minimum Financial Requirements for Investment Advisers The custody figure matters most for new firms. $35,000 has to be maintained continuously, not just on filing day, and a firm that falls below the threshold may need to post a surety bond to cover the shortfall.

Step 3: Register Yourself as an IAR

Once the firm is registered and you’ve passed your exam or qualified through a designation, the firm initiates your individual registration by filing Form U4 electronically through IARD.15FINRA. Form U4 You cannot file Form U4 on your own; the firm has to do it.

Form U4 asks for a complete five-year residential history and a ten-year employment history.16FINRA. Form U4 – Uniform Application for Securities Industry Registration or Transfer It also requires detailed disclosures about criminal charges or convictions, regulatory actions, civil lawsuits, customer complaints, and financial events like bankruptcies or unpaid judgments. Employment gaps and undisclosed items are common reasons applications get delayed, so take time to get these right.

You’ll consent to a background check and submit fingerprints as part of the process. The DFPI reviews everything before granting approval. As of July 1, 2025, the California filing fee for each IAR is $50, which covers both the initial filing and annual renewal.3Department of Financial Protection and Innovation. Keeping the License: Renewal and Continuing Education

The annual renewal cycle begins each November, with payment due through IARD in early December.3Department of Financial Protection and Innovation. State Licensed Investment Adviser The firm submits an annual updating amendment to Form ADV at the same time. Missing the December deadline can let your registration lapse, which means you cannot legally advise clients until you resolve it.

California also requires continuing education, effective May 1, 2024. Every registered IAR has to complete 12 credits per year, split into two categories:17Department of Financial Protection and Innovation. Investment Adviser Representative Continuing Education

  • Six credits of Ethics and Professional Responsibility, with at least three of those on ethics specifically
  • Six credits of Products and Practice

Courses have to come from an authorized provider. Extra credits don’t carry forward; if you complete 15, the three above the requirement are lost.4Legal Information Institute. A Note on SEC-Registered Firms

If your firm is federally registered with the SEC rather than California, the firm still has to make a notice filing with the DFPI to operate in the state. This applies to any SEC-registered adviser doing business with more than five California clients, and the notice is filed through IARD on Form ADV within 30 days of starting business here. The initial notice fee is $125, the notice expires on December 31 unless renewed at the same $125 annual rate, and the firm must file an annual updating amendment to Form ADV within 90 days of its fiscal year end plus any amendment within 30 days of information becoming inaccurate.18Department of Financial Protection and Innovation.
