Florida Sales Tax Rules for Startup Ecommerce Businesses

Florida sales tax for ecommerce kicks in once your online store has either a physical connection to the state or crosses $100,000 in annual sales to Florida buyers. At that point you must register with the Florida Department of Revenue, collect 6% state sales tax plus the delivery county’s discretionary surtax on taxable goods, and file returns on the schedule the Department assigns you. Below is what each of those pieces looks like in practice, and where remote sellers most often slip up.

When You Have To Start Collecting

Florida recognizes two ways an out-of-state seller gets pulled into its sales tax system: a physical tie, or enough sales volume on its own.

Physical Nexus

You have physical nexus if you maintain an office, warehouse, or employees in Florida, lease property there, use independent contractors to make sales, or deliver goods with your own vehicles.1Florida Department of Revenue. Information for Out-of-State Businesses The one that catches ecommerce sellers off guard is inventory held by a third-party fulfillment service. If your goods sit in a Florida warehouse, that inventory is a physical presence, even if you’ve never set foot in the state.

Economic Nexus

With no physical tie at all, you still have to register once your taxable remote sales to Florida customers exceed $100,000 in a calendar year. The threshold looks only at the sum of sales prices; transaction count doesn’t matter.2The Florida Legislature. Florida Code 212.0596 – Taxation of Remote Sales Crossing the line makes you a “dealer” under Florida law, and your collection duty attaches to every sale into the state after that. Track Florida-bound revenue through the year so the threshold doesn’t pass you by.

What Marketplaces Collect For You

If you sell through Amazon, eBay, Etsy, Walmart Marketplace, or similar platforms, those sales are generally not your problem to collect on. A marketplace provider with physical presence in Florida or substantial remote sales is itself classified as a dealer and must certify to its sellers that it will collect and remit tax on marketplace transactions.3Florida Senate. Florida Code 212.05965 – Taxation of Sales Through Marketplace Providers

You should not also collect on those same transactions, and you exclude them from your own Florida return.3Florida Senate. Florida Code 212.05965 – Taxation of Sales Through Marketplace Providers But anything you sell outside the marketplace stays on you: your own Shopify or WooCommerce store, trade show sales, a physical storefront.4Legal Information Institute. Registering With the Florida Department of Revenue

You cannot legally collect tax until you register. The form is DR-1, the Florida Business Tax Application, filed online through the Department’s registration portal or on paper.5Florida Department of Revenue. Account Management and Registration Before you start, pull together:

  • Your federal EIN (sole proprietors with no employees can use an SSN instead)
  • Your legal business name as filed with the Florida Department of State, if you’ve registered an entity
  • Your NAICS code (most online retailers fall under 454110, electronic shopping)
  • Officer, partner, or member names, plus both a physical and a mailing address

Once the Department approves you, you receive a Certificate of Registration (Form DR-11) with your sales tax account number and an Annual Resale Certificate (Form DR-13) that lets you buy inventory tax-free.6Florida Department of Revenue. What To Charge

The base rate on tangible personal property is 6%.7Florida Department of Revenue. Florida Sales and Use Tax On top of that, most counties add a discretionary surtax between 0.5% and 1.5%, though a few charge none.8Florida Department of Revenue. Discretionary Sales Surtax For remote sellers, the surtax follows the delivery address, not your business location.9Florida Department of Revenue. Florida Administrative Code 12A-15 – Discretionary Sales Surtax The surtax applies only to the first $5,000 of any single item’s price, so a high-value product gets a partial break on the local portion.10The Florida Legislature. Florida Code 212.054 – Discretionary Sales Surtax

Common Exemptions

Groceries intended for home consumption are exempt, though prepared food sold for immediate consumption is taxable.11The Florida Legislature. Florida Code 212.08 – Sales, Rental, Use, Consumption, Distribution, and Storage Tax – Specified Exemptions Prescription medicines and most medical devices prescribed by a licensed practitioner are also exempt.12Florida Department of Revenue. Nontaxable Medical Items and General Grocery List Pure professional services, with no physical product changing hands, generally fall outside sales tax altogether.

Digital Products and SaaS

Because Florida’s tax applies to tangible personal property, remotely delivered Software as a Service is generally not subject to Florida sales tax. Electronically delivered downloads such as music, ebooks, and streaming video also typically fall outside the tax base when no physical medium is involved. If your product has any physical component or ships on tangible media, look at it carefully before assuming it’s exempt.

Shipping and Handling

Shipping is not taxable when the charge is stated separately on the invoice and the customer has an option to avoid it, for example by picking the item up. If shipping is baked into the product price, or the customer has no way to opt out, it becomes part of the taxable sales price.13Legal Information Institute. Florida Administrative Code Annotated Rule 12A-1.045 – Transportation Charges Most ecommerce platforms let you configure shipping as a separate line item; set that up correctly from day one.

Buying Inventory Tax-Free, and the Use Tax Catch

Your Annual Resale Certificate (Form DR-13) lets you buy or rent items tax-free when they’re destined for resale. You present it to your supplier and they skip the tax. The certificate expires December 31, and the Department issues the next year’s version in November. No signature is required; presenting the certificate itself is the certification.14Florida Department of Revenue. Annual Resale Certificate for Sales Tax

What you can’t do is use the certificate for things the business consumes internally. Office supplies, computers, furniture, packaging the customer doesn’t receive: those are taxable purchases. If you buy something tax-free for resale and then use it in your business, you owe use tax on it.

Use tax is also what you owe when you buy taxable goods from an out-of-state vendor who doesn’t charge Florida tax. The rate is the same 6% plus the county surtax, and if the other state’s vendor charged tax at a lower rate, you owe the difference.7Florida Department of Revenue. Florida Sales and Use Tax This hits ecommerce startups constantly: equipment, packaging materials, and software bought from out-of-state suppliers all count. You report use tax on your regular Sales and Use Tax Return (Form DR-15), with no separate filing. Patterns of untaxed out-of-state purchases are a common audit trigger.

Filing Schedule and Deadlines

The Department assigns your filing frequency based on how much tax you remitted over the prior four quarters:

  • Annual filing if total tax remitted was $100 or less
  • Semiannual filing if it was $500 or less
  • Quarterly filing if it was $1,000 or less
  • Monthly filing if it exceeded $1,000

15The Florida Legislature. Florida Code 212.11 – Tax Returns and Regulations New businesses typically start on a monthly schedule. Returns are due by the 1st and must be filed and paid by the 20th of the following month. If the 20th lands on a weekend or holiday, the deadline moves to the next business day. If you paid $5,000 or more in sales and use tax during Florida’s prior fiscal year (July 1 through June 30), electronic filing and payment are required.7Florida Department of Revenue. File every period, even the zero ones. Skipping a zero return triggers a minimum $50 penalty.

The Collection Allowance

File electronically and pay on time, and you keep 2.5% of the tax you collected, capped at $1,200 per reporting period. Anything above that cap goes to the state in full.16The Florida Legislature. Florida Code 212.12 – Dealer’s Credit for Collecting Tax and Penalties The allowance disappears the moment you file late.

What Happens if You Don’t Comply

Florida treats collected sales tax as state money you’re holding temporarily. Keeping it is theft of state funds, and the charges scale with the amount:17The Florida Legislature. Florida Code 212.15 – Taxes Declared State Funds

  • Under $1,000: second-degree misdemeanor on a first offense, escalating to a third-degree felony on a third or subsequent conviction
  • $1,000 to under $20,000: third-degree felony, up to five years in prison
  • $20,000 to under $100,000: second-degree felony, up to 15 years in prison
  • $100,000 or more: first-degree felony, up to 30 years in prison

Late payments also accrue interest and administrative penalties on top of any criminal exposure. The practical defense is simple: file every return on time, including zero returns, and keep collected tax out of the operating account. That last habit is where small sellers get into real trouble, because the money sits with everything else and it’s easy to spend.
