Foreign qualification in Illinois is the process an out-of-state corporation or LLC uses to get legal authority to do business in the state. You file an Application for Authority (corporations) or Application for Admission (LLCs) with the Illinois Secretary of State, pay a $150 filing fee, and include a current certificate of good standing from your home state along with the name and Illinois street address of a registered agent. Without that authority on file, your company can’t bring a lawsuit in Illinois courts and will owe back fees and penalties for every month it operated in the state.
When You Actually Need to Register
Illinois requires registration when your company is “transacting business” in the state. The clearest triggers are a physical office or warehouse in Illinois, employees based in Illinois, real estate owned for business use, and regularly fulfilling customer contracts from inside the state. A single remote employee working from home in Chicago creates the same nexus as leasing office space. If you have anyone on Illinois payroll, treat registration as required rather than optional.
Both the Business Corporation Act and the Limited Liability Company Act carve out activities that don’t count. Holding board or shareholder meetings, maintaining a bank account, owning property passively, selling through independent contractors, taking mail orders that are accepted outside Illinois, defending a lawsuit, and completing an isolated transaction that wraps up within 120 days are all safe harbors.1Illinois General Assembly. Illinois Code 805 ILCS 5/13.75 – Activities That Do Not Constitute Transacting Business The LLC Act contains a nearly identical list.2Illinois General Assembly. Illinois Code 805 ILCS 180 – Limited Liability Company Act – Activities That Do Not Constitute Transacting Business The 120-day window for an isolated transaction is often misread as something shorter; you have a full four months to finish a one-off deal.

Name Check and Assumed Name
Your name has to be distinguishable from every entity already on file.6Illinois General Assembly. Illinois Registered Agent
You have to appoint a registered agent with a physical street address in Illinois. It can be an individual who lives in the state or a corporation authorized to do business there, but not a P.O. Box, because the agent has to be available in person to accept service of process during business hours. Commercial registered agent services generally charge between $50 and $300 a year.
Fees and How to Submit
The filing fee is $150 for both foreign corporations and foreign LLCs.3Illinois Secretary of State. Application for Authority to Transact Business in Illinois Illinois has eliminated its franchise tax, with no franchise tax payments due on or after January 1, 2026, so the initial franchise tax that used to sit on top of the filing fee no longer applies.
Send the duplicate forms to the Department of Business Services at the Secretary of State’s office in Springfield. Standard processing runs several weeks depending on volume. Expedited processing is available for an additional $100 fee on corporation filings.8Illinois Secretary of State. Expedited Service Form Once approved, you’ll get a Certificate of Authority (corporations) or Certificate of Admission (LLCs) as proof of registration.
What It Costs to Skip Registration
An unregistered foreign company can’t file or maintain a lawsuit in any Illinois court until it gets authority.9Illinois General Assembly. Illinois Code 805 ILCS 5/13.70 – Transacting Business Without Authority That matters more than it sounds. A suit filed while unregistered can be treated as a nullity, which means the statute of limitations keeps running; by the time you register and refile, the claim may be gone.
You can still defend yourself in court, and your contracts stay valid. But you’ll owe every fee and tax you would have paid had you registered on time, plus a penalty. If you miss the 60-day window after starting business in Illinois, the penalty is 10% of the fees you should have paid, or $200 plus $5 for every month of unauthorized operation, whichever is greater.9Illinois General Assembly. Illinois Code 805 ILCS 5/13.70 – Transacting Business Without Authority For a company that has been operating for several years, the monthly charges compound into a serious bill.
Tax Registration Is Separate
Qualifying with the Secretary of State handles your corporate authority. It does not register you for taxes. If you have Illinois employees, make sales subject to Illinois sales tax, or earn income sourced to the state, you have to register separately with the Illinois Department of Revenue.10Illinois Department of Revenue. Business Registration The Secretary of State’s office won’t flag this for you, and the revenue-side penalties for failing to register for withholding or sales tax are separate from anything that happens on the qualification side.
Staying in Good Standing After You File
Every foreign corporation and LLC has to file an annual report with the Secretary of State. The fee is $75, and it’s due by the last day of the month before your registration anniversary month. A certificate issued on March 15 gives you an annual report deadline of February 28 each year, and you can file as early as 60 days before the start of your anniversary month.
Missing the annual report can get your authority revoked, which puts you right back where an unregistered company sits: no access to Illinois courts and penalties piling up. Keep your registered agent information current, and if your company changes its name, merges, or amends its formation documents at home, file an amended application in Illinois to match.
When You Leave Illinois
If you stop doing business in the state, formally withdraw rather than letting the registration lapse. Annual report obligations keep accruing until you file withdrawal paperwork.
Corporations file Form BCA 13.45, Application for Withdrawal and Final Report, with a $25 fee.11Illinois Secretary of State. Application for Withdrawal and Final Report LLCs file Form LLC 45.40, Application for Withdrawal, with a $5 fee.12Illinois Secretary of State. Application for Withdrawal Both go in duplicate. Once withdrawal is processed, your registered agent’s authority ends and the Secretary of State takes over as agent for service of process on claims that arose while you were registered, so plaintiffs can still reach you for Illinois-era liabilities after you’ve gone.
