Form LLC-2: Amending Your California LLC Articles, Filing, and Fees

California Form LLC-2 is the Amendment to Articles of Organization that a California LLC files with the Secretary of State to change the foundational details in its original formation document. The filing fee is $30, and you can submit it online through bizfile Online, by mail, or in person in Sacramento. The form handles a narrow set of changes, so the first thing to confirm is whether your change actually belongs on this form at all.

What LLC-2 Can and Can’t Change

Use Form LLC-2 to change your LLC’s legal name, switch between member-managed and manager-managed structures, or add, remove, or revise other provisions that appeared in your original Articles of Organization.

California Corporations Code Section 17702.02 requires any member of a member-managed LLC, or any manager of a manager-managed LLC, who learns that filed information has become inaccurate to promptly file an amendment.1California Legislative Information. What LLC-2 does not cover trips up a lot of filers. You cannot use it to update your principal office address, your mailing address, your agent for service of process, or your agent’s address. Those changes go on a Statement of Information, not an amendment.1California Legislative Information. How to Complete the Form

You can download the form from the Secretary of State’s website or complete it directly on bizfile Online. Before you start, have two things ready: your LLC’s exact current legal name as it appears in state records, and your 12-digit entity file number.2Secretary of State. Enter the current name and entity number at the top. If you’re changing the name, write the full new name exactly as you want it recorded. If you’re changing management structure, pick one of three options: one manager, more than one manager, or all LLC members.2Secretary of State. The signature block needs at least one manager’s signature for a manager-managed LLC, or at least one member’s signature for a member-managed one, along with the signer’s printed name, title, and the date. Rules for a Name Change

A new LLC name must include “Limited Liability Company” or an approved abbreviation such as “LLC,” “L.L.C.,” or “Ltd. Liability Co.”3California Legislative Information. California Corporations Code 17701.08 The name also has to be distinguishable from every other business entity name already on file.

Check availability before you file. The search tool at bizfileonline.sos.ca.gov shows what’s already registered. Small differences like capitalization, punctuation, or leading with “the” typically won’t be enough to make a name distinguishable, and a rejected name costs you the $30 fee and forces you to start over.

A Secretary of State name change only updates the state registration. If your LLC operates under a fictitious business name, California law requires a new FBN statement with the county when the underlying facts change. You’ll also need to update the IRS, your bank, and any licenses or permits tied to the old name.

How to File and What It Costs

You have three submission methods:

  • Online through bizfile Online at bizfileonline.sos.ca.gov, with digital payment. This is usually the fastest standard option.
  • By mail to Secretary of State, P.O. Box 944260, Sacramento, CA 94244-2600.
  • In person at 1500 11th Street, Sacramento, CA 95814. Drop-offs carry an added $15 special handling fee.

Mail and in-person payments must be by check or money order payable to the Secretary of State. The fee is non-refundable, including on a rejected filing.

  • 24-hour service, $350, online or Sacramento drop-off. Response guaranteed within 24 hours, excluding weekends and holidays.
  • Same-day service, $750, online or drop-off. Document must reach the Secretary of State by 9:30 a.m.; response by 4:00 p.m.
  • 4-hour service, $500, drop-off only. Requires preclearance and approval before the filing qualifies.

Those fees generally only make sense against a hard deadline like a closing or a contract that requires proof of the change by a set date.

After the Amendment Is Approved

Once processed, you receive a file-stamped copy, and the change appears on the state’s public business search. Several follow-up steps still fall to you.

Tell the IRS

For a name change, if you’ve already filed your current-year return, send written notice to the IRS office where you filed, signed by the business owner or an authorized representative.5Internal Revenue Service. If the amendment shifts who qualifies as the LLC’s “responsible party” for IRS purposes, file Form 8822-B within 60 days.7Internal Revenue Service. Update Your Operating Agreement

The operating agreement is the internal contract that governs how the LLC actually runs. When the Articles of Organization change, the operating agreement should be conformed to match. A mismatch, for example articles that now say manager-managed while the operating agreement still describes member-management, creates problems during disputes, bank transactions, and financing. Draft a written amendment, get all members to sign it, and keep it with your company records.

Update External Records

Banks, lenders, insurers, and licensing agencies still hold your old information. Bring the file-stamped LLC-2 to your bank to update accounts, and contact any agency that issued permits or licenses under the prior name or structure. If your LLC uses a fictitious business name in a California county, a name change causes the existing statement to expire within 40 days, and you’ll need to file a new one.
