NYC Form 3L, formally the NYC-3L General Corporation Tax Return, is the annual New York City tax return filed by S corporations and qualified subchapter S subsidiaries that do business in the five boroughs. The tax is calculated four different ways on the same return, and the corporation pays whichever calculation produces the highest amount.1New York City Department of Finance. Who Has to File Form NYC-3L
Since January 1, 2015, the General Corporation Tax applies only to S corporations and qualified subchapter S subsidiaries doing business, employing capital, owning or leasing property, or maintaining an office in New York City.2NYC.gov. Not every S corporation needs the full NYC-3L. The 2025 instructions require Form NYC-3L when the corporation carries on business both inside and outside the city, has subsidiary or investment capital, claims certain credits or modifications, or is included in a combined return on Form NYC-3A.4NYC Department of Finance. Instructions for Form NYC-3L General Corporation Tax Return Simpler S corporations operating entirely within the city can often use the shorter Form NYC-4S or NYC-4SEZ instead. Federally tax-exempt 501(c)(3) organizations are generally not subject to the GCT at all.
How the Tax Is Calculated
The defining feature of Form NYC-3L is that you run four separate calculations and pay the highest.5American Legal Publishing. NYC Administrative Code – Section 11-604 Computation of Tax Skipping one and assuming another will be higher is a common way to underpay.
Entire Net Income Base
The primary computation applies 8.85% to the corporation’s entire net income, or the portion allocated to New York City.1New York City Department of Finance. General Corporation Tax Rates The starting point is federal taxable income, adjusted for NYC-specific modifications, then allocated to the city based on property, payroll, and receipts factors.
Business and Investment Capital Base
This method taxes 0.15% of the corporation’s total business and investment capital allocated to New York City. Cooperative housing corporations pay 0.04%. For tax years beginning in 2009 or later, the capital base tax is capped at $1,000,000.1New York City Department of Finance. Alternative Tax Base
The alternative base applies 8.85% to 15% of net income plus all salaries and compensation paid to officers and to any stockholder who owned more than 5% of issued stock at any point during the tax year.1New York City Department of Finance. General Corporation Tax Rates This base is designed to catch corporations that zero out taxable income by paying most earnings as compensation. Officer compensation records need to be accurate, because an error here can change which base produces the highest tax.
Fixed Dollar Minimum Tax

- $100,000 or less: $25
- Over $100,000 to $250,000: $75
- Over $250,000 to $500,000: $175
- Over $500,000 to $1,000,000: $500
- Over $1,000,000 to $5,000,000: $1,500
- Over $5,000,000 to $25,000,000: $3,500
- Over $25,000,000: $5,000

Filing Deadline and Extensions
Calendar-year S corporations must file Form NYC-3L and pay any tax owed by March 15 of the following year. Fiscal-year filers have until the 15th day of the third month after their year-end.2NYC.gov. Business General Corporation Tax – GCT
Filing Form NYC-EXT by the due date automatically grants a six-month extension of time to file. To qualify, the corporation must properly estimate its tax, meaning the estimate must equal at least 90% of the tax finally determined, or at least 100% of the prior year’s tax if that year was a full 12 months. Any balance due must accompany the extension.6NYC Department of Finance. Estimated Tax Payments
A GCT taxpayer whose estimated tax for the current year can reasonably be expected to exceed $1,000 must file Form NYC-400 and make quarterly estimated payments.7NYC.gov. Estimated Tax by Business Corporations and Subchapter S General Corporations The requirement applies in a corporation’s first NYC year, and it applies even when the prior year’s liability was only the minimum tax. The first installment equals 25% of the prior year’s tax. Form NYC-400 and the current NYC-3L instructions list the specific installment dates for each year.
How to File Form NYC-3L
Electronic filing is the standard method. The Department of Finance mandates e-filing for tax preparers and businesses that submit 100 or more NYC returns per year, and Form NYC-3L is on the mandatory e-file list.8NYC Department of Finance. Business Tax e-File Returns must go through a certified software vendor listed on the Department of Finance website.
Paper filers send the return to the NYC Department of Finance at P.O. Box 5564, Binghamton, NY 13902-5564. Refund returns go to P.O. Box 5563 at the same Binghamton address. Payments submitted with Form NYC-200V go to a separate P.O. Box in New York City. Check the current year’s instructions before mailing, since these addresses have changed in the past.
Before starting the return, pull the federal S corporation return, the corporation’s EIN, and records of gross receipts, business capital, investment capital, and officer compensation. Federal taxable income is the starting point for the net income base, with NYC add-backs and subtractions applied on top. Allocation schedules for property, payroll, and receipts inside versus outside the city complete the core of the form.
What Late Filing Costs
Missing the deadline triggers a late-filing penalty of 5% of unpaid tax per month or partial month, capped at 25%. If the return is more than 60 days late, the minimum is $100 or the full tax due, whichever is less. A separate late-payment penalty of 0.5% per month, capped at 25% over 50 months, runs on top of that.9NYC.gov. Interest accrues daily on unpaid tax at rates the Department of Finance sets quarterly. The first-quarter 2026 underpayment rate is 11%, and the second-quarter rate is 10%.10NYC.gov.
