When Your Renewal Is Due
Illinois does not use a single statewide due date. Your deadline is tied to the month your LLC was originally formed. The Limited Liability Company Act requires the annual report to be delivered “within 60 days immediately preceding the first day of the anniversary month.”1Illinois General Assembly. 805 ILCS 180/50-1 – Annual Reports
If your LLC was organized on March 15, your anniversary month is March. Your window opens around January 1 and closes on February 28 (or February 29 in a leap year). Both the report and the fee must reach the Secretary of State before March 1. This window stays the same every year for the life of the company.
File early in the window rather than in the last few days. What It Costs
The base annual report fee is $75. A series LLC pays $75 plus $50 for each individual series in the organization, so a series LLC with three child series owes $225.2Illinois Secretary of State. Annual Reports
All fees are non-refundable. File late and a $100 penalty is added on top of the base fee, turning a $75 obligation into $175.2Illinois Secretary of State. Annual Reports Credit card payments carry a small convenience fee.
Information to Gather First
Before you open Form LLC-50.1, have this ready:
- The exact legal name of your LLC as it appears on your original articles of organization. Small discrepancies cause rejections.
- Your eight-digit Illinois file number. If you don’t have it, look it up in the Secretary of State’s business entity search.
- The principal office address where your business conducts its main operations.
- Names and business addresses of the managers (if manager-managed) or members (if member-managed) who have authority over the company.

Check your registered agent details against the Secretary of State’s records before submitting. If your agent has changed and you haven’t already updated it separately, you can note the new agent on the annual report itself. A wrong agent is one of the most common reasons reports get returned.

Online
The fastest route is the Secretary of State’s online business services portal. Enter your file number, confirm or update the required information, and pay by Visa, MasterCard, Discover, or American Express. By Mail
You can print Form LLC-50.1 and mail it to the Department of Business Services in Springfield at the address in the form’s instructions. Include a check or money order payable to the Secretary of State for the exact fee. Sending the wrong amount will delay processing or get the form returned.2Illinois Secretary of State. If you mail close to the deadline, the statute provides a safeguard. Proof that you deposited the envelope in the U.S. mail before the first day of your anniversary month, properly addressed with postage prepaid, counts as timely compliance.1Illinois General Assembly. 805 ILCS 180/50-1 – Annual Reports Relying on a postmark defense is still a gamble most owners should avoid.
Once processed, you get a file-stamped copy of the annual report as proof of compliance. Keep it with your business records.
If You Miss the Deadline
Missing the window does not immediately kill your LLC, but the consequences build. The $100 late penalty is added to the $75 fee right away. If you still don’t file, the Secretary of State eventually issues a notice of administrative dissolution and your LLC loses its status as an active legal entity.
A dissolved LLC can only continue operating for the purpose of winding up its business, not for taking on new work or entering contracts.4Illinois General Assembly. Illinois Limited Liability Company Act You lose the ability to file lawsuits in the LLC’s name, enforce contracts, and do business under the LLC’s identity until you reinstate. A manager or member who takes on new liabilities knowing the company is dissolved becomes personally liable to the company for the resulting damage.
Reinstating an Administratively Dissolved LLC
Reinstatement is possible but costly. Under 805 ILCS 180/35-40, you must file an application for reinstatement, file every past-due annual report the company missed, and pay all back fees and penalties that accumulated during the lapse.5Illinois General Assembly. 805 ILCS 180/35-40 – Reinstatement Following Administrative Dissolution For an LLC that has been dissolved three years, that means three years of $75 fees plus a late penalty for each missed filing.
Once you file the reinstatement, members, managers, and officers are not held personally liable for debts the company incurred during the period of dissolution solely because the LLC was dissolved at the time.4Illinois General Assembly. Banks, courts, and business partners treat a dissolved LLC very differently from an active one, regardless of what the statute allows after the fact.
Federal BOI Reporting Is Not Part of Renewal
The federal Beneficial Ownership Information report under the Corporate Transparency Act is separate from your Illinois annual report, and for most Illinois LLCs it no longer applies. As of March 2025, the Financial Crimes Enforcement Network issued a rule exempting all U.S.-formed companies from BOI reporting. Only entities formed under foreign law and registered to do business in a U.S. state must file.6FinCEN.gov.
