Filing Speed and What Each Tier Costs

Three expedited options sit on top of the base fee:4California Secretary of State. Service Options
- Same-day service costs $750. Your filing must reach the Secretary of State by 9:30 a.m., and you get a response by 4:00 p.m. that day. Available online or by drop-off in Sacramento.
- 24-hour service costs $350. The state responds within 24 hours of submission, excluding weekends and holidays. Available online or by drop-off.
- 4-hour service costs $500 and is drop-off only in Sacramento. The document must be precleared and pre-approved before it qualifies, so it works only if your filing has already been confirmed error-free.
Same-day is the fastest option for anyone filing remotely. If you’re near Sacramento and your paperwork is precleared, the 4-hour tier gets you there sooner. If you’re not under a hard deadline, standard processing saves hundreds of dollars and still finishes within a few business days.
What Has to Be Ready Before You File

The Management Structure

What Comes Due After the LLC Exists
Formation is the legal starting point, not the finish line. Three things follow quickly.
Your Employer Identification Number comes from the IRS and is needed to open a bank account, hire, and file taxes. The Statement of Information (Form LLC-12) is due within 90 days of your Articles of Organization filing, and then every two years. It lists your current agent, manager or member information, and principal address. The fee is $20.9California Legislative Information. California Code Corporations Code 17702.09 Missing the 90-day window doesn’t dissolve your LLC, but it can bring penalties and eventually affect your standing with the state.
The $800 annual franchise tax is the cost that catches many new owners off guard. California imposes it on every LLC organized or doing business in the state, whether or not the LLC earned any revenue. A first-year exemption for LLCs formed between January 1, 2021, and December 31, 2023, has expired, so LLCs formed in 2026 owe the full $800 in year one.
