Forming an LLC in Wyoming takes minutes if you file online and up to about three to four weeks if you file on paper. Online submissions through the Secretary of State’s WyoBiz portal make your LLC active the moment you finish the submission. Paper filings take up to 15 business days after they arrive at the office, plus mail time in each direction.1Wyoming Secretary of State. How to Create a Wyoming Company There is no expedited option for paper submissions.
State processing is rarely the slow part. What usually stretches a Wyoming LLC formation out is the work you do before you file and the follow-up steps after approval.
Online Filing vs. Paper Filing
File at 2 p.m. on a Tuesday through WyoBiz and you have a functioning LLC by 2:15. The state treats the entity as active as soon as you complete the online submission. You pay the $100 filing fee plus a 2.4% credit card processing fee.2Wyoming Secretary of State. Business Division Filing Fee Schedule3Wyoming Secretary of State. Mailed Articles of Organization sit in the queue and are processed in the order received, with a window of up to 15 business days once they land at the Secretary of State’s office. Add transit time both ways and the realistic end-to-end wait is three to four weeks. Paper filings cannot be rushed.
What to Have Ready Before You File
If you walk up to the filing with everything already decided, you can get through the preparation in an afternoon. If you’re still debating a name or hunting for a registered agent, this phase can stretch across weeks. Two things drive it.
A Name That Will Clear
Your LLC name must include “limited liability company” or an accepted abbreviation such as “LLC” or “L.L.C.”4Justia. Wyoming Code 17-29-108 – Name It also has to be distinguishable from other names already on file. You can search the register through the WyoBiz portal at no cost.
If you want to hold a name before you’re ready to file, Wyoming offers a 120-day reservation for $60.5Wyoming Secretary of State. Limited Liability Company Application for Reservation of Name A reservation isn’t necessary if you’re filing right away; the name is claimed when the Articles are accepted.
A Registered Agent With a Wyoming Street Address
Every Wyoming LLC must have a registered agent with a physical street address in the state.6Justia. Wyoming Code 17-28-101 – Registered Office and Registered Agent The agent can be an individual who is at least 18 and resides in Wyoming, or a business entity authorized to operate there. A P.O. box doesn’t satisfy the requirement; someone has to be physically present at the listed address during business hours to accept legal documents.
If you live in Wyoming, you can serve as your own agent at no cost and no delay. If you don’t, you’ll need to engage a commercial registered agent, typically $50 to $300 per year, before you file.
What the Articles of Organization Ask For
The Articles of Organization is the single document that creates your LLC. The form collects:7Wyoming Secretary of State. LLC Articles of Organization
- The LLC name
- The registered agent’s name and Wyoming street address
- The LLC’s mailing address
- The principal office address
- The organizer’s signature and contact information
- An email address for filing confirmations and official notices
With these fields filled in and the fee paid, an online submission completes in a single sitting.
What Still Has to Happen After Approval
Legal formation is one thing. Being able to transact as the LLC is another. A few follow-up steps determine whether you’re actually open for business the same day or still wrapping up loose ends weeks later.
Get an EIN
Most LLCs need an Employer Identification Number from the IRS to open a bank account, hire employees, or file federal taxes as a multi-member entity. The IRS issues EINs online immediately during business hours. Fax applications take about a week; mailed applications take roughly four weeks.8Office of the Law Revision Counsel. 26 U.S. Code 6109 – Identifying Numbers Use the online option unless something unusual rules it out.
Put an Operating Agreement in Place
Wyoming doesn’t explicitly require an operating agreement, but the statute makes it the document that governs how the LLC runs: member voting, profit distributions, management structure, and what happens when a member leaves.9Justia. Wyoming Code 17-29-110 – Operating Agreement; Scope, Function and Limitations Without one, Wyoming’s statutory defaults fill the gaps, and those defaults may not match what you want. A single-member LLC can draft a basic version in an afternoon. Multi-member LLCs with uneven ownership or different management roles should budget more time, and this is a step where paying a lawyer tends to earn its keep.
Open a Business Bank Account
Keeping a separate bank account is what preserves the liability protection the LLC exists for. Banks generally want to see your approved Articles of Organization, your EIN, and a government-issued ID. Some banks can open the account on the spot; others take a few business days.
Watch the Tax Election Deadline
By default, the IRS treats a single-member LLC as a disregarded entity and a multi-member LLC as a partnership. If you want to be taxed as an S-corp or C-corp instead, you file IRS Form 8832 or Form 2553. Form 8832 has to be filed within 75 days of the date you want the new classification to take effect. Miss that window and you may have to wait until the following tax year or request retroactive treatment with a reasonable-cause explanation.
What You Don’t Have to Do
If you’re forming a Wyoming LLC as a domestic entity, you don’t need to file a Beneficial Ownership Information report with FinCEN. Under FinCEN’s March 2025 interim final rule, all entities formed in the United States are exempt from BOI reporting, and FinCEN will not enforce penalties against domestic companies or their beneficial owners.10FinCEN. Beneficial Ownership Information Reporting The reporting obligation now applies only to foreign entities registered to do business in the U.S.
A Realistic Timeline
If you file online with your name chosen, your registered agent lined up, and your EIN pulled the same day, you can be a legally formed Wyoming LLC with a federal tax ID within an hour. Add a bank visit the next morning and the operating agreement over the weekend, and you’re genuinely operational in a few days. Choose paper filing or spend time deliberating on the front end, and the same process can run a month or more.
