A Certificate of Authority in New York takes several weeks through standard mail processing, but the Department of State offers three paid expedited tiers that shorten the wait to 24 hours, the same day, or as little as two hours. Which timeline you actually get depends on the tier you pay for, whether your paperwork is complete, and how heavy the Division of Corporations’ filing volume is when your application lands.
Standard and Expedited Processing Times
The Department of State does not publish a guaranteed turnaround for standard-priority filings. Mailed applications are handled in the order received, and wait times move with volume.

- 24-hour processing for $25. Turnaround is within one business day, excluding weekends and holidays.
- Same-day processing for $75. The request must be submitted by noon on a business day.

One payment detail catches filers off guard. The expedited fee has to be paid separately from the filing fee, either by its own check or money order or indicated on a credit card authorization form. What Delays a Filing
Paying for expedited handling only helps if the application clears review. A rejected filing goes back into the queue on resubmission, so the fastest way to compress your timeline is to submit something that will not bounce. The common failure points:
- Name conflicts. Your company’s legal name must be distinguishable from names already on file with the Department of State. If it isn’t, and you didn’t designate a fictitious name on the form, the application is rejected. - An expired Certificate of Existence. The certificate you attach from your home jurisdiction has to be dated within one year of when you file. - Missing Tax Commission consent. If your company was already doing business in New York before filing, you need consent from the New York State Tax Commission attached to the application. - Incomplete or mismatched fields. Blank required entries, or information on the application that does not match your Certificate of Existence, will trigger a rejection.

What Goes in the Application

The form asks for your legal name, your state or country of formation, the date of formation, the New York county where your office will be located, and a designation of the Secretary of State as your agent for service of process. You can also name a registered agent within New York if you prefer a specific person or company to receive legal papers on your behalf.6New York State Senate. If your legal name is already taken in New York, you don’t have to abandon the filing. You can designate a fictitious name on the application itself. Foreign professional service corporations, such as law firms, medical practices, and accounting firms, have an added prerequisite. They must obtain a Certificate of Good Standing from the appropriate Appellate Division, or a Certificate of Authority from the New York State Department of Education, before the Department of State will process the application.7New York Department of State. Payment can be made by check, money order, or credit card (Visa, MasterCard, or American Express). If you pay by check and the amount is over $500, the check has to be certified. Hand delivery matters if you’re trying for two-hour processing, since that tier requires the request to be delivered or faxed by 2:30 p.m.
Foreign LLCs: The Clock Doesn’t Stop at Approval
If you’re forming a foreign LLC rather than a foreign corporation, receiving the certificate is not the end of the timeline. Within 120 days of filing the Application for Authority, the LLC must publish a copy of the application, or a notice summarizing it, once a week for six consecutive weeks in two newspapers designated by the county clerk of the county where the LLC’s New York office is located. After the run is complete, you file a Certificate of Publication with the Department of State along with a $50 fee.9New York Department of State. Publication cost varies sharply by county. Upstate counties may total a few hundred dollars. In Manhattan or the Bronx, foreign LLC publication commonly runs well over $1,000. Contact the county clerk’s office for the designated newspaper names and request quotes before the 120-day window opens.
