How Much Does an LLC Cost in Pennsylvania: Fees & Taxes

An LLC in Pennsylvania costs $125 to form, plus a $7 annual report every year after that. A bare-bones single-member LLC with no employees can get through its first year for about $132 at the state level, but most owners should budget several hundred dollars more once optional filings, a business bank account, and taxes on profits enter the picture. Veterans and reservists who qualify can form for free.

What You’ll Pay in Year One

The unavoidable state costs are small:

  • $125 to file the Certificate of Organization
  • $7 for the annual report (starting in the first full year after formation)

Everything else depends on how you run the business. Sales tax registration is free but only relevant if you sell taxable goods. A registered office costs nothing if you already have a Pennsylvania street address. Federal and state income taxes apply to your profits, not to the act of forming the LLC.

The $125 Certificate of Organization Fee

The Certificate of Organization is the document that legally creates your LLC. You file it with the Pennsylvania Department of State and pay $125, whether you file online through the state’s business portal or mail in a paper form.1Pennsylvania Department of State. Fees and Payments2Pennsylvania Department of State. Certificate of Organization Domestic Limited Liability Company The fee is nonrefundable, so a rejected filing means paying it again to refile.

Standard online filing takes roughly a week to process. That’s the default path, and it’s what most new LLCs use.

Free Formation for Veterans and Reservists

Under Act 135 of 2016, veterans and reservists forming a small business in Pennsylvania are exempt from business filing fees, including the $125 Certificate of Organization fee.3Pennsylvania Department of State. Veteran-Owned Business Exemptions The business must be independently owned, employ 100 or fewer people, and be at least 51% owned by veterans or reservists. The exemption covers the cost of starting the business but not ongoing license renewals.

Paying More to File Faster

If you need the LLC active before standard processing finishes, Pennsylvania offers three expedited tiers on top of the $125 base fee:4Pennsylvania Department of State. Expedited Services

  • Same-day service: $100 additional, filing must be received before 10:00 a.m.
  • Three-hour service: $300 additional, filing must be received before 2:00 p.m.
  • One-hour service: $1,000 additional, filing must be received before 4:00 p.m.

Total cost for the fastest option is $1,125. Most owners don’t need any of these, but if you’re closing a deal or signing a lease that requires an active entity, same-day at $225 total is the reasonable rush choice.

The $7 Annual Report

Starting in 2025, every Pennsylvania LLC must file an annual report with the Department of State. The fee is $7, and LLCs organized for a not-for-profit purpose pay nothing.5Pennsylvania Department of State. Annual Reports The filing window for LLCs runs January 1 through September 30 each year. The report itself is short, mostly confirming the LLC’s name, registered office, and principal office. Missing the deadline can jeopardize your good standing.

Optional Filings You Might Need

Several filings each carry their own fee, and none are required at formation:1Pennsylvania Department of State. Fees and Payments

  • Name reservation: $70 to hold your LLC name for 120 days before filing
  • Fictitious name registration: $70 if you’ll operate under a name different from the registered one
  • Amendments to the Certificate of Organization: $70 each
  • Dissolution: $70 to formally close the LLC

If you’re operating under your LLC’s exact legal name and you’re ready to file, you can skip these entirely.

Registered Office, Not Registered Agent

Every Pennsylvania LLC must continuously maintain a registered office in the state. It has to be a real street address or rural route box number; a PO box alone doesn’t qualify.6Pennsylvania General Assembly. Pennsylvania Code Title 15 – Section 8825 Registered Office If you have a Pennsylvania address you can use, this costs nothing.

Pennsylvania differs from most states here: it does not require you to name a registered agent as a specific person. It only requires the office address.7Commonwealth of Pennsylvania Department of State. Commercial Registered Office Providers If you lack a Pennsylvania location, or you’d rather keep your home address off public records, you can designate a Commercial Registered Office Provider (CROP). Commercial CROP services typically run $50 to $300 per year. This is optional, not a universal requirement.

Taxes on Your LLC’s Profits

Taxes are the largest ongoing cost for most Pennsylvania LLCs, and they come from several directions.

Federal Self-Employment Tax

By default the IRS treats a single-member LLC as a disregarded entity and a multi-member LLC as a partnership, meaning profits pass through to the members’ personal returns.8Internal Revenue Service. Limited Liability Company (LLC) Those profits are subject to 15.3% self-employment tax: 12.4% for Social Security and 2.9% for Medicare.9Internal Revenue Service. Self-Employment Tax (Social Security and Medicare Taxes) This is the cost that catches most new owners off guard. On $80,000 of profit, self-employment tax alone runs about $11,300.

Pennsylvania Personal Income Tax

Pennsylvania applies a flat 3.07% personal income tax to each member’s share of the LLC’s profits.10Department of Revenue. Personal Income Tax Rates No brackets, same rate at any income level.

Local Earned Income Tax

Nearly every municipality and school district in Pennsylvania levies its own earned income tax. Rates run from about 0.5% in smaller communities to 3.75% in Philadelphia. This applies to your share of LLC profits and is filed separately, usually through your municipality’s designated tax collector.

Sales Tax

If your LLC sells taxable goods or services, you must collect and remit Pennsylvania’s 6% sales tax.11Pennsylvania Department of Revenue. Sales, Use and Hotel Occupancy Tax Philadelphia and Allegheny County add local surcharges. You’ll need a free Sales Tax License from the Department of Revenue before collecting, and you must file returns on your assigned schedule even in periods with no taxable sales.

If You Elect Corporate Tax Treatment

An LLC can elect to be taxed as a C-corporation by filing IRS Form 8832. If it does, Pennsylvania’s corporate net income tax applies at 7.49% for 2026.12Department of Revenue. Corporate Net Income Tax Most small LLCs keep pass-through treatment to avoid this. An S-corporation election is a separate path some owners use to reduce self-employment tax, and it’s worth discussing with a tax professional before filing.

Unemployment Compensation Tax

If your LLC has employees, you’ll pay quarterly unemployment contributions to the state. The rate varies by industry and claims history.

Philadelphia Adds Its Own Tax

LLCs doing business in Philadelphia owe the Business Income and Receipts Tax (BIRT) on top of everything above. BIRT has two pieces: 5.71% on net income and 1.415 mills ($1.415 per $1,000) on gross receipts.13City of Philadelphia. Business Income and Receipts Tax (BIRT) Because the gross receipts portion applies to revenue before expenses, even an LLC operating at a loss can owe something. Factor it into your projections from day one if you’ll be based in the city.

Other Startup Costs Worth Budgeting For

A few costs sit outside the state filing fees but come up for most new LLCs.

EIN: Free from the IRS, issued online in minutes.14Internal Revenue Service. Get an Employer Identification Number Never pay a third-party site for one. You’ll need it to open a business bank account and hire employees.

Operating agreement: Not filed with the state and not legally required, but skipping one is a mistake. It defines ownership shares, profit splits, and decision-making, and for a single-member LLC it helps show the business is a separate entity if liability is ever challenged. You can use a free template or hire an attorney.

Business bank account: Mixing personal and business funds is one of the fastest ways to weaken your LLC’s liability protection. Business checking fees typically run $10 to $30 per month, often waivable with a minimum balance.

Licenses: Pennsylvania has no general state-level business license.15PA Business One-Stop Shop. Regulated industries like food service, alcohol, healthcare, and construction do need specific licenses, and your municipality may add its own.
