To amend articles of incorporation in Illinois, the board of directors adopts a resolution proposing the change, the shareholders approve it (usually by at least two-thirds of the votes entitled to be cast), and the corporation files articles of amendment with the Secretary of State along with a $50 filing fee. The process sits in Article 10 of the Illinois Business Corporation Act of 1983 (805 ILCS 5), and the details matter: a miscounted vote or an omitted disclosure about paid-in capital is enough to get the filing rejected.1Justia Law. What You Can Change
The Act lets an Illinois corporation amend its articles at any time to add provisions, change them, or strike them, so long as the amended articles would be valid if filed fresh today. That covers essentially anything in the original articles: corporate name, stated purpose, number and classes of authorized shares, par values, shareholder rights, registered agent or office, and the corporation’s period of duration.
One boundary worth flagging. If your corporation’s stated duration has already expired, you can still amend to revive and extend it, but only within five years of the expiration date. After five years, amendment is not the fix.1Justia Law. Illinois Code 805 ILCS 5 – Article 10 – Amendments
Getting the Vote Right
Most amendments need action from both the board and the shareholders. The board starts things off with a resolution stating the proposed amendment and directing that it go to the shareholders at an annual or special meeting.
The default shareholder threshold is at least two-thirds of the votes of shares entitled to vote on the amendment. Your articles of incorporation can raise or lower that number, but they cannot set it below a simple majority.1Justia Law. Illinois Code 805 ILCS 5 – Article 10 – Amendments Check your own articles before you assume either number applies. This is where people trip up.
Written notice of the proposed amendment (or a summary of what it would change) must go to every shareholder of record, following the timing and method your bylaws and the Act require for meeting notices. If the amendment would give any class or series the right to dissent, the notice must also describe that right and how to exercise it. Shareholders who can’t attend can vote by proxy.2Justia Law. Illinois Code 805 ILCS 5 – Article 7 – Shareholders Multiple amendments can be voted on at the same meeting.
Some amendments also require a separate class vote. If the amendment would change the number of authorized shares of a class, reclassify or cancel shares, alter designations, voting rights, or preferences of a class, create a new class with equal or superior rights, limit preemptive or voting rights, or affect accumulated but undeclared dividends, the affected class votes as a group and must approve by the same two-thirds threshold (subject to any different number in the articles). If only some series within a class are affected, the vote is taken by those series rather than by the full class.1Justia Law. Illinois Code 805 ILCS 5 – Article 10 – Amendments
What Goes in the Articles of Amendment
The filing document is called the articles of amendment. It’s filed in duplicate with the Secretary of State and must include:
- The corporation’s current legal name.
- The exact text of each amendment being adopted.
- An adoption statement describing how the amendment was approved, including confirmation that the shareholder vote met or exceeded the required threshold. If directors adopted it without shareholder action (allowed in limited circumstances), that must be stated instead.
- If the amendment reclassifies, exchanges, or cancels issued shares, or reduces authorized shares below the number already issued, a statement of how the change will be carried out.
- If the amendment changes paid-in capital, a statement of how it changed and the new dollar amount.
- If you want a delayed effective date, the specific date, which cannot be more than 30 days after filing.
A wrong adoption statement is one of the most common rejection triggers. If your articles set a custom vote threshold, the adoption statement should reflect that threshold, not the statutory default.1Justia Law. Illinois Code 805 ILCS 5 – Article 10 – Amendments
If you’re making many changes at once, you can restate the entire articles of incorporation in the same filing, replacing the original and all prior amendments with a single clean document. The fee for a restatement is $150 rather than $50.3Justia Law. Illinois Code 805 ILCS 5 – Article 15 – Fees, Franchise Taxes and Charges
Filing and Fees
The standard filing fee for articles of amendment is $50.3Justia Law. Illinois Code 805 ILCS 5 – Article 15 – Fees, Franchise Taxes and Charges You can file by mail or in person at the Secretary of State’s office in Springfield. Online filing is currently available only for corporate name change amendments, not for other types of amendments.4Illinois Secretary of State. Corporation Name Change Amendment
Expedited service costs an additional $100 on top of the $50 statutory fee, and is available for name changes filed by mail or in person as well.5Illinois Secretary of State. Expedited Service
When the Amendment Takes Effect
An amendment is effective on the later of the date the Secretary of State files the articles of amendment or a future date specified in the filing. The delayed date cannot be more than 30 days after filing.1Justia Law. Illinois Code 805 ILCS 5 – Article 10 – Amendments Leave the future date blank and the amendment takes effect immediately on filing. A delayed date can help when you need to line the amendment up with a financing round or a contract that references the current structure.
If You’re Changing the Corporate Name
Name changes are the most common amendment, and Illinois has specific naming rules. The new name must:
- Include a corporate identifier such as “Corporation,” “Company,” “Incorporated,” or “Limited” (or an abbreviation like “Corp.” or “Inc.”) as a separate word.
- Be distinguishable on the Secretary of State’s records from every existing domestic corporation, LLC, registered foreign entity, and any name currently reserved or registered.
- Not imply the corporation is in insurance, banking, or trust business unless it actually holds the appropriate regulatory authorization.
The distinguishable standard is stricter than it sounds; a name that is the same as or not meaningfully different from an existing entity’s name will be rejected.6Illinois General Assembly. Illinois Code 805 ILCS 5/4.05 You can check availability on the Secretary of State’s website before filing, and reserve a name for 90 days if you need to lock it in while you prepare the paperwork.
A name change ripples outward. Contracts, bank accounts, business licenses, and tax registrations all reference the legal name and each one needs updating after filing.
Franchise Tax When Paid-in Capital Goes Up
Illinois has been phasing out its corporate franchise tax, but it is not fully repealed yet. During the transition, an amendment that discloses an increase in paid-in capital over the amount last reported to the Secretary of State (other than through an annual report) can still trigger an additional franchise tax at the time of filing.
The phaseout exempts increasing amounts of liability: the first $10,000 is exempt in 2025 and 2026, the first $100,000 becomes exempt starting in 2027, and the tax is set for full repeal effective January 1, 2028. If your amendment significantly increases authorized shares or paid-in capital, run the math before you file.
After the Secretary of State Approves It
The state filing handles the state side. If the amendment changed the corporation’s legal name, you also need to update federal records. The IRS gives you two options:
- Check the “Name change” box on your next tax return: line E, box 3 on Form 1120 for C corporations, or line H, box 2 on Form 1120-S for S corporations, and enter the new name.
- If you have already filed this year’s return, write to the IRS at the address where you filed, stating the EIN, old name, and new name. A corporate officer must sign the letter.
If the amendment also changed the corporation’s responsible party or principal officer, notify the IRS within 60 days using Form 8822-B.7Internal Revenue Service. Business Name Change
Beyond the IRS, plan to update state tax agencies, licensing boards, banks, and any local jurisdictions where you hold permits. The Secretary of State filing does not cascade to other agencies on its own.
What Happens If You Skip a Step
Operating on articles that don’t match the corporation’s actual structure creates real exposure. If an amendment wasn’t properly approved or filed, the change can be legally void, and contracts signed under an unauthorized name or shares issued under an unapproved structure can be challenged.
The bigger risk is loss of good standing. A corporation that falls behind on annual reports, loses its registered agent, or misses required fees can face administrative dissolution. The state must give notice and a grace period first, but many owners don’t discover the problem until a filing, closing, or lawsuit runs into it. A corporation out of good standing may lose the liability shield that protects its owners, and can struggle to sign contracts, obtain financing, or complete transactions that require proof of active status. Even after the issue is cured, the period of non-compliance can be used against the corporation in later litigation.
