To apply for an LLC in Wisconsin, file Articles of Organization (Form 502) with the Wisconsin Department of Financial Institutions and pay $131 online through the One Stop Business Portal or $170 by mail. Before you file, lock down a compliant business name, line up a registered agent with a Wisconsin street address, and decide whether the LLC will be member-managed or manager-managed. Online filings are usually reviewed within a few business days.
Pick a Name That Meets Wisconsin’s Rules
Your LLC’s name has to be distinguishable from every other entity already on file with the DFI, and it must include “Limited Liability Company,” “Limited Liability Co.,” “L.L.C.,” or “LLC.”1Wisconsin State Legislature. Wisconsin Code 183 – Limited Liability Companies – Section 183.0103 Name Search the DFI’s online records before you commit. A name too close to an existing filing will get your articles rejected.
Not ready to file? You can hold a name for 120 days by submitting a Name Reservation Application (Form Corp1) with a $15 fee.2Wisconsin Department of Financial Institutions. Name Reservation Application – Form Corp1
Appoint a Registered Agent
Every Wisconsin LLC needs a registered agent with a physical street address in the state. A P.O. box, mailbox service, or telephone answering service won’t cut it, and the agent must have an email address on file.3Wisconsin State Legislature. Wisconsin Statutes 183.0115 – Registered Agent and Registered Office The agent receives lawsuits, government notices, and official correspondence for the company.
You can serve as your own agent, or appoint any Wisconsin resident whose business office matches the registered office address. Domestic entities in good standing and authorized foreign entities can also fill the role.3Wisconsin State Legislature. Wisconsin Statutes 183.0115 – Registered Agent and Registered Office Commercial registered agent services generally run $100 to $300 a year. They guarantee someone is available during business hours to accept legal documents, and they keep your home address off public records.
Fill Out the Articles of Organization
Form 502 is what actually creates the LLC. State law requires four pieces of information: a statement that the company is organized under Chapter 183, the LLC’s name, the street and mailing addresses of the principal office, and the name plus the street, mailing, and email addresses of the initial registered agent.4Wisconsin State Legislature. Wisconsin Statutes 183.0201 – Formation of Limited Liability Company A fillable version is on the DFI website.5Wisconsin Department of Financial Institutions. Articles of Organization – Form Corp502
You’ll also pick a management structure. In a member-managed LLC, all owners share day-to-day decisions. A manager-managed LLC designates one or more people to run operations, which fits better when some owners are passive investors.6Wisconsin State Legislature. Wisconsin Code 183.0407 – Management of Limited Liability Company The articles must state your choice. If you want a future effective date instead of immediate formation, you can specify that on the form.
File with the Department of Financial Institutions
Wisconsin gives you two filing methods. Filing online through the One Stop Business Portal costs $130 plus a $1 portal fee, for $131 total, payable by credit card, debit card, or electronic check.7Wisconsin One Stop Business Portal. Opening Your Business Filing a paper Form 502 by mail costs $170, payable by check or money order to the Department of Financial Institutions.5Wisconsin Department of Financial Institutions. Processing Times and Expedited Options
Online filings are typically reviewed within a few business days, though volume can stretch that. Paper filings take longer because of mail time and manual handling. Three expedited tiers are available for an added fee:8Wisconsin Department of Financial Institutions. Business Entity Forms
- Next business day: $25
- Four-hour, in person at the Madison office: $250
- One-hour, in person at the Madison office: $500
Once the DFI approves your filing, you get a confirmation notice that serves as proof the LLC exists. If there’s an error, the state sends a notice explaining what to fix. Correct any deficiency quickly to preserve your intended effective date.
Get an EIN from the IRS
After the state approves your LLC, apply for an Employer Identification Number from the IRS. This nine-digit tax ID lets you open a business bank account, hire employees, and file federal taxes. The IRS recommends forming your state entity first, since applying before the LLC exists can delay processing.9Internal Revenue Service. Get an Employer Identification Number The online application is free and usually issues the number right away.
Write an Operating Agreement
Wisconsin doesn’t require you to file an operating agreement with any state agency, but writing one is the best step you can take to head off disputes among owners. Under state law, the operating agreement governs the relationships among members, the rights and duties of managers, and how the company runs its activities.10Wisconsin State Legislature. Wisconsin Statutes 183.0105 – Operating Agreement Scope, Function, and Limitations It typically covers ownership percentages, profit sharing, voting, and what happens when a member leaves.
Whatever the agreement doesn’t address, Wisconsin’s Chapter 183 defaults fill in. Those defaults may not match what you and your co-owners actually want, which is why writing your own terms matters. Even single-member LLCs benefit, because the agreement helps show the LLC is separate from you personally. Keep the signed copy at your principal place of business.
Register for State Taxes and Local Licenses
If your LLC will sell taxable goods or services, you need a seller’s permit from the Wisconsin Department of Revenue. The One Stop portal can handle that registration alongside your articles if you file online. You’ll also register for income tax withholding through the Department of Revenue if you plan to hire employees. Businesses that pay $1,500 or more in wages in any calendar quarter, or that have at least one employee during 20 or more weeks in a year, are subject to federal unemployment tax and must file Form 940 annually.11Internal Revenue Service. Depending on where you operate, a local business license or permit from your city or county may also apply. Fees and requirements vary, so check with your local clerk’s office. Some industries, including food service, construction, and professional services, carry additional state licensing requirements on top of LLC formation.
File the Annual Report to Stay in Good Standing
After formation, you have to file an annual report with the DFI every year. It’s due during the calendar quarter that contains your original formation anniversary.12Wisconsin State Legislature. Wisconsin Statutes 183.0212 – Annual Report for Department If your LLC was approved on March 15, for example, the report is due by March 31 each following year.
Online filing costs $25; paper filing runs $40.13Wisconsin Department of Financial Institutions. DFI Corporation Fees The report updates your registered agent, business address, and basic company details. Missing the deadline is a common and costly mistake: the DFI will administratively dissolve the company, stripping its legal existence and liability protections.14Wisconsin Department of Financial Institutions. DFI Administrative Dissolutions You can reinstate by filing the overdue report, but operating without active status leaves your personal assets exposed in the meantime.
Beneficial Ownership Reporting Under the Corporate Transparency Act
You may have read about the federal beneficial ownership reporting rule administered by the Financial Crimes Enforcement Network. As of March 2025, FinCEN issued a rule exempting all U.S.-formed companies from that reporting obligation. Only entities formed under the laws of a foreign country and registered to do business in the U.S. are currently required to file.15Financial Crimes Enforcement Network.
