To become a legal document preparer in Florida, you do not apply for a license, because the state does not issue one. You register a business entity, learn exactly where the line between clerical help and legal advice falls, and put the required nonlawyer disclosures in front of every customer before you touch their paperwork. The work itself is tightly limited by the Florida Supreme Court, and crossing the line is a felony, so most of the setup is about building habits and paperwork that keep you on the clerical side.
What the Role Actually Is in Florida
Florida regulates nonlawyer document assistance through the Rules Regulating the Florida Bar rather than through a licensing board. Rule 10-2.1 defines a nonlawyer as anyone who is not a member of the Florida Bar.1Florida Courts. Summary of Unlicensed Practice of Law Cases You can legally help the public fill in standard court-approved forms for matters like divorce, eviction, or a name change. You cannot call yourself a paralegal when working directly with the public, because that title implies attorney supervision you do not have.
Think of the role as typing. The customer walks in knowing which form they need and what they want it to say. You transcribe their information into the blank fields. You do not choose the form, explain what it means, or suggest how to answer its questions. The Florida Supreme Court has held that even helping a customer pick the right form for their situation crosses into legal advice.1Florida Courts. Summary of Unlicensed Practice of Law Cases
The UPL Line You Cannot Cross
Unauthorized practice of law in Florida is a third-degree felony carrying up to five years in state prison and a $5,000 fine.2The Florida Bar. UPL Now Buys a Felony Charge The penalty is not reserved for people pretending to be attorneys. Subtler missteps draw complaints too, and the Florida Bar’s Unlicensed Practice of Law Committee can seek civil injunctions or contempt proceedings even when prosecutors never get involved.
The behaviors that most reliably trigger an investigation:
- Recommending a form. A customer says “I want to evict my tenant” and you reach for the right form. That is legal advice.
- Explaining consequences. Telling a customer that filing a particular motion will extend their deadline is a legal judgment.
- Drafting custom language. Any text that did not come from the customer’s own notes or a pre-approved template.
If the customer did not tell you what to type, it should not be on the document. “I can’t advise you on that” is the most important sentence in this profession; use it the moment a customer asks which form to use or what a term means.
One boundary worth stating plainly: immigration filings sit under federal regulation. Non-attorneys who prepare them outside a recognized legal services organization risk violating federal law, so most Florida document preparers avoid immigration work entirely unless they hold specific DOJ accreditation.
Set Up the Business
You need a registered Florida business entity before you take a customer. Most preparers form a limited liability company through the Florida Division of Corporations. An LLC gives you personal liability protection with less administrative overhead than a corporation, though your tax situation may push you toward a different choice.
Before you file, line up three things:
- A unique business name. Search the Sunbiz database at the Division of Corporations to confirm it is available.3Florida Department of State. Division of Corporations
- A registered agent with a physical Florida street address, not a P.O. box, who can accept legal notices during business hours. You can serve as your own agent if you meet the address requirement.4Florida Department of State. Instructions for Articles of Organization (FL LLC)5The Florida Legislature. - A Federal Employer Identification Number from the IRS, which you need to open a business bank account and file taxes. Form your entity with the state first; the IRS may delay processing if the entity is not yet on file.6Internal Revenue Service. Get an Employer Identification Number
You file through the Sunbiz online portal. An LLC submits Articles of Organization; a corporation submits Articles of Incorporation. The total filing fee for a new Florida LLC is $125, which includes a $100 filing fee and a $25 registered agent designation fee.7Florida Department of State. Mandatory Disclosures and Document Marking
Before any work begins, Florida law requires you to give the customer a written disclosure stating that you are not an attorney. For family law matters, that is Florida Supreme Court Approved Family Law Form 12.900(a), “Disclosure from Nonlawyer.”9Florida Courts. Disclosure from Nonlawyer The customer must receive a copy before you provide any assistance.10Florida Law Weekly. The disclosure must say three things: you are not a lawyer, your services are limited to clerical tasks, and the customer is representing themselves and bears responsibility for the legal outcome. Build it into a written contract the customer signs before you begin, and include a refund policy and a clear description of what you will and will not do.
Every document you help complete must carry your name, address, and telephone number at the bottom of the last page.10Florida Law Weekly. Keep a signed copy of the disclosure for every customer and hold onto it for at least as long as Florida’s statute of limitations for contract claims.
Ongoing Compliance After You Open
Registration is the start of the obligations, not the end of them. Three recurring items trip up newcomers.
Annual Report
Every Florida LLC and profit corporation must file an annual report with the Division of Corporations. For LLCs, the fee is $138.75.7Florida Department of State. LLC Fees Filing after May 1 adds a $400 late fee. Miss the third Friday in September and the state administratively dissolves your entity.11Florida Department of State. Local Business Tax Receipt
Florida has no state-level professional license fee, but most counties require a local business tax receipt (formerly called an occupational license) for anyone operating a business. Under Chapter 205 of the Florida Statutes, tax collectors begin selling receipts on July 1 and payment is due by September 30.12Florida Senate. Florida Statutes Chapter 205 Section 053 Fees vary by county and classification, from roughly $40 to several hundred dollars a year for professional services. Call your county tax collector’s office for the exact amount.
Tangible Personal Property Tax
If you own business equipment, computers, printers, or furniture as of January 1, you must file a tangible personal property tax return with your county property appraiser by April 1. Filing on time qualifies you for an exemption on the first $25,000 in assessed value, which covers most small document preparation offices. If your equipment value stays at or below $25,000 after the initial filing, you may qualify for a waiver from filing in subsequent years.13Florida Dept. of Revenue. Tangible Personal Property
Add-Ons That Make the Business Workable
A notary commission is not required, but most successful preparers get one. Many of the forms you help complete need notarization before filing, and handling it in-house keeps the customer in your office instead of sending them out. First-time applicants complete a three-hour notary education course and submit the certificate with the application. You also need a $7,500 surety bond, which you buy from a bonding company; the premium typically runs $25 to $100 for the four-year commission term.14Florida Department of State. Notary Public Commission Application
Professional liability insurance, sometimes called errors and omissions coverage, protects you if a customer claims a clerical error of yours caused them financial harm. Policies for small document preparation businesses generally run $500 to $1,500 a year depending on coverage limits and volume. It is not legally required. Experienced preparers carry it anyway, because one botched filing that delays a divorce or eviction can produce a claim that dwarfs anything you earned from the customer.
If You Want to Prepare Bankruptcy Petitions
Bankruptcy work sits under a separate federal regime. Under 11 U.S.C. ยง 110, a “bankruptcy petition preparer” is anyone other than the debtor’s attorney who prepares bankruptcy documents for compensation, and the requirements go beyond anything in Florida state rules.15Office of the Law Revision Counsel. 11 USC 110 – Penalty for Persons Who Negligently or Fraudulently Prepare Bankruptcy Petitions You must sign and identify yourself on every document, disclose fees in a sworn declaration, and notify the debtor of any court-set fee cap before you begin. You cannot collect the court’s filing fee from the debtor; the debtor pays the court directly. Violations draw fines, disgorgement, and injunctions. The work can be profitable, but the compliance load is heavier than standard state-court preparation, so most preparers either specialize in bankruptcy or avoid it.
