To become a Registered Investment Advisor in Florida, you file Form ADV electronically through the Investment Adviser Registration Depository (IARD), register your firm with the Florida Office of Financial Regulation (OFR), pass the Series 65 exam (or qualify for a waiver), and meet the state’s minimum net capital requirements. The firm registration fee is $200, and each individual Investment Adviser Representative (IAR) pays $50. The filings are straightforward; the compliance program you have to build around them is where the real work sits.
Do You Actually Need to Register in Florida
Florida’s Securities and Investor Protection Act treats you as an investment adviser if you receive compensation for advising others about the value of securities or whether to buy or sell them.1Florida Senate. Florida Code Chapter 517 – Section 021 Compensation is the trigger. A fee, a commission, or any indirect payment for securities advice puts you inside the statute.
Some people are carved out. Licensed attorneys and CPAs whose investment advice is incidental to their main practice don’t need to register, nor do banks and trust companies authorized to operate in Florida, nor advisers whose only clients are insurance companies or investment companies. There is also an exception for anyone who doesn’t hold out publicly as an adviser and has no more than 15 clients in any 12-month period in Florida.1Florida Senate. Florida Code Chapter 517 – Section 021
If you’re already registered in another state, the de minimis exemption may keep you out of Florida registration entirely. An adviser with no place of business in Florida and fewer than six Florida clients in the preceding 12 months is generally exempt. The exemption applies to investment advisers and their representatives, not to broker-dealers.
Florida OFR or the SEC
Whether you file with Florida or federally depends on assets under management. You may register with the SEC once AUM reaches $100 million and must register with the SEC at $110 million.2eCFR. 17 CFR 275.203A-1 – Eligibility for SEC Registration Once SEC-registered, you don’t drop back to state registration unless AUM falls below $90 million. Everyone below the $100 million threshold registers with the Florida OFR.
Being SEC-registered doesn’t make Florida disappear. A federal covered adviser with a physical office in the state or Florida resident clients must still file a notice with the OFR and pay the $200 notice-filing fee.3Florida Office of Financial Regulation. Registering the Firm With the OFR
All filings go through IARD, the electronic system FINRA operates.5Investment Adviser Registration Depository. Investment Adviser Registration Depository There is no paper option. The system handles the initial application, annual renewals, amendments, and fee payments.
Prepare Form ADV
Form ADV is the core filing. Part 1A collects information about the firm: ownership, business practices, client types, and disciplinary history. Part 2A is the firm brochure, a narrative that describes your services, fee structure, investment strategies, and conflicts of interest. Part 2B is the brochure supplement for each individual representative.6Securities and Exchange Commission. Form ADV General Instructions Part 2A is the document prospective clients receive before signing an advisory agreement, and regulators read it closely during examinations.
Pay the Fees
The firm pays $200 to register and $200 at each annual renewal. Each Florida branch office adds $100.7Florida Senate. Florida Code Chapter 517 – Section 12 Registration expires on December 31 every year. Miss the renewal and you can request reinstatement by January 31, but you’ll owe a late fee equal to the original registration fee.
Meet the Net Capital Requirement
Florida sets minimum net capital so firms have some financial cushion. Advisers that don’t take custody of client funds or collect fees far in advance generally must keep at least $2,500 in net capital. Firms that hold client assets or require prepayment of advisory fees six months or more in advance face a $25,000 threshold. If the firm falls below the required level, Florida may require it to post a surety bond instead. Annual premiums on a $25,000 surety bond generally run between a few hundred and a couple thousand dollars, depending on credit and financial history.
Licensing Yourself as an Investment Adviser Representative
The firm registers as the RIA, but every person who sits across from clients and gives advice must be individually licensed as an IAR.
Pass the Series 65 (or Qualify for a Waiver)
The standard qualifying exam is the Series 65, formally the Uniform Investment Adviser Law Examination. It covers securities regulations, ethical practices, economic factors, and investment strategies, with 130 scored questions. You need 92 correct to pass. The exam fee is $187.8NASAA. Exam FAQs If you already hold a Series 7, you can take the shorter Series 66 instead, which covers only the state law and ethics portion the Series 7 doesn’t address.9FINRA. Several professional designations waive the exam entirely, provided the credential is current and in good standing:
- Certified Financial Planner (CFP), from the CFP Board of Standards
- Chartered Financial Analyst (CFA), from the CFA Institute
- Chartered Financial Consultant (ChFC), from The American College of Financial Services
- Personal Financial Specialist (PFS), from the AICPA
- Certified Investment Management Analyst (CIMA), from the Investment & Wealth Institute10NASAA. Examination Requirements for Investment Adviser Representatives
File Form U4
Each IAR registers by filing Form U4, the Uniform Application for Securities Industry Registration or Transfer, electronically through the Central Registration Depository (CRD). The firm’s Super Account Administrator submits the form on the representative’s behalf.11Florida Office of Financial Regulation. State Registered Advisers Associated Person The IAR pays a $50 registration fee plus a fingerprint processing charge. Like the firm’s registration, IAR registration expires on December 31 and renews annually at the same $50 fee.7Florida Senate. Florida Code Chapter 517 – Section 12
How Long It Takes
At the federal level, the SEC generally has 45 days after receiving a Form ADV to declare registration effective.12U.S. Securities and Exchange Commission. How To Register With the SEC as an Investment Adviser Florida state registration can move faster or slower depending on the completeness of the application and the OFR’s workload. Incomplete filings and unresolved disclosure items on Form U4 are the most common causes of delay.
What Changes the Day Your Registration Is Approved
Registration is a gate, not a finish line. The compliance program starts the moment you’re approved.
Deliver the Brochure to Every Client
You must give each client your Form ADV Part 2A brochure before or at the time you enter into the advisory agreement.13U.S. Securities and Exchange Commission. Form ADV Part 2 – Uniform Requirements for the Investment Adviser Brochure and Brochure Supplements After that, within 120 days of your fiscal year end, you must either deliver an updated brochure with a summary of material changes or send the summary itself along with an offer to provide the full updated brochure. A mid-year amendment that adds disciplinary information must go to clients promptly.
SEC-registered advisers with retail clients must also prepare and deliver Form CRS, a plain-English relationship summary capped at two pages that explains the advisory relationship, fees, conflicts, and standards of conduct.14U.S. Securities and Exchange Commission. Form CRS Relationship Summary Instructions A firm with no retail investors doesn’t prepare one.
Amend Form ADV at Least Annually
Every registered adviser updates Form ADV at least once a year, within 90 days of the firm’s fiscal year end.15eCFR. 17 CFR 275.204-1 – Amendments to Form ADV For calendar-year firms that’s March 31. Material changes to business operations, ownership, or disciplinary events get filed as amendments when they happen, not saved for the annual update.
Keep the Books Florida Requires
Florida’s administrative rules require detailed records across the advisory business: financial statements and trial balances, a list of client accounts, every written client agreement, communications sent to two or more persons, records showing how advisory fees are calculated and billed, and the written information about each client that supports any recommendation.16Legal Information Institute. Florida Administrative Code 69W-600.014 – Books and Records The firm must also maintain written supervisory procedures designed to keep it in compliance with securities laws, plus copies of all litigation-related communications involving the firm or its employees.
Expect Unannounced OFR Examinations
The OFR examines state-registered advisers, and visits are typically unannounced. Examiners can arrive at the office without warning or request document production in writing.17Florida Office of Financial Regulation. Investment Adviser Guide They review financial and accounting records, client account documentation, advertising materials, discretionary authority documentation, compliance policies, and your delivery records for disclosure documents. Failing to promptly produce requested records can bring a summary suspension of your registration. The OFR’s authority to deny, revoke, restrict, or suspend a registration under Section 517.161 also covers false statements on a registration application, fraud in connection with investment advice, failure to account for client money or property, and operating through unregistered associated persons.18Florida Senate. Florida Code Chapter 517 – Securities Transactions
Protect Client Data
For 2026, the SEC has identified cybersecurity and operational resiliency as a priority examination area, with expanded expectations around data protection, incident response, and oversight of third-party technology vendors. State-registered firms should expect questions about access controls, how client information is stored and transmitted, and what happens after a breach. A written information security policy is practically expected even where no single rule dictates its contents.
What It Really Costs to Launch
The filing fees are modest; the operating costs are not. Errors and omissions (E&O) insurance, which protects the firm against malpractice claims, typically runs from a few hundred to several thousand dollars a year depending on the firm’s size, services, and claims history. Many custodians and compliance frameworks effectively require it even where Florida doesn’t mandate a specific policy.
Hiring a compliance consultant to prepare the initial registration and build out the compliance manual ranges from roughly $4,000 to $25,000, depending on the business model. Doing everything in-house saves money upfront and often costs more later when examiners find gaps. On top of that, budget for portfolio management software, client relationship management tools, and cybersecurity infrastructure. The recurring costs add up faster than the one-time filing fees.
