Do You Actually Need a Full Name Change?

Before filing anything, decide whether you want to replace your legal name or just operate under a different one. Check That the New Name Is Available

Your new name also has to meet the naming rules for your entity type. LLC names generally need to include “Limited Liability Company” or an abbreviation like “LLC.” Corporate names typically need “Incorporated,” “Corporation,” or a similar designator. Restricted words such as “bank” or “insurance” may require sign-off from the relevant state agency before you file.

Changing an LLC’s Name

LLCs file a Certificate of Amendment, Form L-102, with the Division of Revenue and Enterprise Services. The amendment has to state the LLC’s current name, the date the original certificate of formation was filed, and the specific changes being made. Changing a Corporation’s Name

If you’re the sole shareholder, you can approve the change in a written consent and move straight to filing. With multiple shareholders, you have to schedule a meeting, give proper notice, hold the vote, and document the result before the state paperwork goes in. That’s where corporate name changes usually take longer than LLC name changes.

Changing a Sole Proprietorship or Partnership Name

Sole proprietors and general partnerships don’t file with the state. You cancel your existing trade name registration and file a new Trade Name Certificate with the county clerk in the county where the business operates. Applications need to be notarized, and fees vary by county but generally run about $50 to $55. Call your county clerk’s office for the exact fee and the number of copies required.

Tell the IRS About the New Name

  • Corporations: if you haven’t filed the current-year return, check the name change box on Form 1120 (Page 1, Line E, Box 3) or Form 1120-S (Page 1, Line H, Box 2). If the return is already filed, write to the IRS at the address where you sent it. A corporate officer signs.
  • Partnerships: check the name change box on Form 1065 (Page 1, Line G, Box 3) when filing the current-year return, or write to the IRS if it’s already filed. A partner signs.
  • Sole proprietors: write to the IRS at the address where you file your return. The owner or an authorized representative signs.

Update Your New Jersey Tax Registration

Separately from the charter amendment, update your business name on your state tax and employer registration records through New Jersey’s online Registration Change and Amendment Filing service.12State of New Jersey Department of the Treasury. Skip it and your filings won’t match your amended business records, which causes processing delays.

Update Everywhere Else the Old Name Appears

The state filing and tax updates are the legal minimum. A name change also touches almost every part of daily operations.

  • Bank accounts: your bank will need a copy of the approved amendment or the new trade name certificate. Until accounts are updated, checks and payments under the new name may not clear.
  • Licenses and permits: contact every local, state, and federal agency that issued you a license. Some accept a letter with a copy of the amendment; others require a new application under the new name.
  • Contracts and leases: some agreements require written notice of a name change. Even where they don’t, notifying counterparties in writing avoids disputes over enforceability.
  • Insurance policies: notify your insurer promptly. A claim filed under a name that doesn’t match the policy can be delayed or denied.
