How to Change an LLC Name in Colorado: Amendment, IRS, and Banks

To change an LLC name in Colorado, file an amendment to your articles of organization online with the Secretary of State. The fee is $25, and the change takes effect immediately once the filing processes. The state paperwork is the easy part. The work that surrounds it — confirming the new name qualifies, getting member approval, and updating every agency and account that has your old name — is where most owners run into trouble.

Confirm the New Name Is Available

Colorado requires every LLC name to be “distinguishable on the records of the secretary of state” from every other registered entity name and every name currently reserved.1Justia. The name also has to carry an approved LLC designator. Colorado accepts more variants than most owners realize: “limited liability company,” “LLC,” “L.L.C.,” “ltd. liability company,” “limited liability co.,” “ltd. liability co.,” “limited,” or “ltd.”3Colorado Secretary of State. Designators

Get Member Approval

Skip this and your filing can be invalidated. Under Colorado law, an amendment to an LLC’s articles of organization is invalid unless approved by all members, or through whatever alternative approval process the operating agreement establishes.4Justia. Colorado Code 7-80-209 – Amendment of Articles of Organization Sole members can move on. Multi-member LLCs should check the operating agreement for a voting threshold; if the agreement is silent, unanimous consent is required.

Put the approval in writing. A signed resolution or set of meeting minutes recording the vote goes into your LLC records alongside the operating agreement, and it protects you if the amendment is ever questioned.

File the Amendment Online

Colorado processes LLC amendments only through the Secretary of State’s website. There is no paper option; the fee schedule marks the paper filing as “n/a.”5Colorado Secretary of State. Business Organizations Fee Schedule

Search for your LLC’s existing record on the Secretary of State’s portal, then select the option to amend the articles of organization. The form asks for your current legal name, your Colorado business ID number, and the new name. The fee is $25, paid by credit card, debit card, or prepaid account. Unless you set a delayed effective date, the change takes effect the moment payment processes.6Colorado Secretary of State. Amendment Checklist The delayed-date option is useful if you need lead time to coordinate the name across your accounts, branding, and contracts before it becomes official.

Notify the IRS

Once the state filing is done, report the new name to the IRS. How you do it depends on timing. If you haven’t yet filed your federal return for the current year, check the name-change box on the return: Line G, Box 3 on Form 1065 for partnerships, or Line H, Box 2 on Form 1120-S for S corporations.7Internal Revenue Service. Business Name Change If you’ve already filed, send a written notice signed by a member or manager to the IRS address where you filed.

A name change on its own does not require a new Employer Identification Number. Certain structural changes bundled with a name change, such as adding members or changing how the LLC is taxed, can trigger one. IRS Publication 1635 covers those scenarios.7Internal Revenue Service. One trap worth flagging: Form 8822-B is not the right form for a name change. It handles address changes and responsible-party updates only.8Internal Revenue Service. Form 8822-B – Change of Address or Responsible Party – Business

Update Your Colorado Tax Accounts

The Colorado Department of Revenue is a separate update from the Secretary of State. File Form DR 1102, the Address or Name Change Form, through Revenue Online or by mail.9Colorado Department of Revenue. Need to Update Your Address or Name If your LLC holds a sales tax license, the same DR 1102 or a Revenue Online update handles the mailing address.10Colorado Department of Revenue. Update Banks, Licenses, Insurance, and Contracts

The state and federal filings are what the law requires. The rest is practical, and skipping it causes real problems.

Your bank will want a copy of the filed amendment before updating the account. Until it’s updated, checks and wire transfers can bounce or get flagged. Some banks take a week or more, so start early.

Any business licenses or permits, whether local, state, or federal, need to be amended to reflect the new name. Contact each issuing agency, since the process and fees vary. Your operating agreement should also be formally amended to reference the name change, signed by all members.

If your LLC carries commercial insurance, tell your carrier. A mismatch between your legal name and the name on the policy can delay claim payments or create coverage disputes. Insurers often ask for the IRS confirmation before updating their records, so handle the IRS step first.

What Happens to Existing Contracts

Changing the name does not create a new legal entity. Your LLC keeps all of its contracts, debts, liabilities, and legal obligations under the new name, and existing agreements generally remain valid and enforceable without any formal amendment. Even so, counterparties sometimes ask for a short written confirmation, and providing one proactively avoids confusion over invoicing, payment instructions, and account access.

Send a brief notice to clients, vendors, landlords, and anyone else with an active contract. Include both the old and new name, the effective date, and your Colorado business ID number so they can verify the change through the Secretary of State’s records.

When a Trade Name Is the Better Route

If you want to operate under a different name without changing your LLC’s legal name, Colorado lets you register a trade name (a DBA) through the Secretary of State’s online portal under your existing business record.11Colorado Secretary of State. A trade name avoids the cascade of updates a legal change triggers: no IRS notification, no new bank paperwork, no contract notices. The trade-off is that your legal name on official documents stays the same. A trade name also cannot be converted into a formal entity later; if you eventually want the new name as the LLC’s legal name, you’d have to withdraw the trade name and file the amendment described above.11Colorado Secretary of State.
