Figure Out Which Address Is Changing

Pennsylvania law recognizes two addresses for an LLC, and only one of them is changed by the Statement of Change of Registered Office.

The registered office is the address on file with the Department of State where the LLC can be served with lawsuits and government notices. It must be a physical street address in Pennsylvania; P.O. boxes are not accepted.2Pennsylvania Department of State. For most small LLCs they’re the same location, but if you use a commercial registered office provider, they’re separate.

The Statement of Change of Registered Office updates only the registered office. If your principal office address has also changed, you update that on your annual report. Since 2025, Pennsylvania requires all domestic LLCs to file an annual report, which replaced the old decennial report.3Commonwealth of Pennsylvania. What You Need Before You File

The form is short, but the Department of State will reject it if anything is off. Have these ready:

  • The exact LLC name as it appears on the Department of State’s record, character for character. A missing comma or an abbreviated “LLC” when the record says “Limited Liability Company” will get the filing kicked back.
  • The entity number assigned when the LLC was formed or registered.
  • The current registered office address, or the name of your current commercial registered office provider.
  • The new registered office address, including the Pennsylvania county, or the name of the new commercial registered office provider.

The county field trips people up. Pennsylvania needs it because county jurisdiction determines where lawsuits are filed and how legal documents get served. Verify the county if you’re anywhere near a county line. And again, no P.O. boxes.

Update Your Tax Accounts Separately

The Department of State filing does not tell the tax authorities anything. They keep separate records.

It covers your business mailing address and business location for federal employment, excise, and income tax purposes.5Internal Revenue Service. Update Everywhere Else Your Address Lives

Operating Agreement

Your operating agreement almost certainly lists a principal business address. Update it by amendment or by a resolution signed by the members. If ownership ever transfers or members disagree, outdated governance documents create confusion about which version controls.

Business Insurance

Call your insurance carrier before or immediately after the move. Commercial policies are priced on the specific risks at your current location โ€” building construction, neighborhood crime, proximity to fire stations. Moving without notifying your insurer can void coverage, leaving you uninsured at the new address. A move to a lower-risk area may reduce your premium instead.

Banks and Contracts

Update the address with every financial institution where the LLC holds accounts. Banks often use the address on file for fraud verification, and a mismatch can trigger holds or flags on transactions.

Then review your vendor and client contracts for notice provisions. Many specify that formal notices, including breach or termination notices, go to a designated address. An outdated address means you could miss a cure period or a renewal deadline. Most contracts require written notice of an address change, and the change takes effect only when the other party actually receives it.

Local Licenses and Permits

If the LLC holds local business licenses, zoning permits, or professional licenses tied to a physical location, check with the issuing authority. Pennsylvania municipalities handle relocations differently. Some require a new license when the business relocates within the same jurisdiction; others accept a change-of-address notification. A move to a different municipality almost always means applying for new local permits.

What Happens If You Don’t Update

An outdated registered office is where cheap paperwork turns into an expensive problem. Legal papers, including lawsuits, get sent to a place you no longer occupy. If a plaintiff serves your LLC at the old address and you never receive it, a court can enter a default judgment against you. You lose the case without knowing it was filed.

Pennsylvania can also administratively dissolve an LLC that fails to maintain a valid registered office. A dissolved LLC loses its authority to conduct business in the state, and reinstating it takes additional filings and fees.
