To change your LLC name in California, file Form LLC-2 (Amendment to Articles of Organization) with the California Secretary of State and pay the $30 filing fee. Before you file, pick a name that meets California’s naming rules, confirm it’s available, and get your members’ approval under whatever threshold your operating agreement sets. After the state approves the change, notify the IRS and update your bank, contracts, and licenses.
Pick a Name That Meets California’s Rules
Your new name has to be distinguishable from every other LLC, every foreign LLC authorized to do business in California, and any name already reserved with the Secretary of State.1California Legislative Information. California Corporations Code 17701.08 “Distinguishable” means meaningfully different. Swapping punctuation or changing the business designator isn’t enough.
The name also has to carry a phrase identifying the business structure. Any of these works:
- “Limited Liability Company” spelled out in full
- “LLC” or “L.L.C.”
- Abbreviated forms like “Ltd. Liability Co.” (shortening “Limited” to “Ltd.” and “Company” to “Co.”)
Certain words are flatly off limits for California LLCs: “bank,” “trust,” “trustee,” “incorporated,” “inc.,” “corporation,” “corp.,” “insurer,” and “insurance company.” Unlike corporations, which can sometimes clear restricted words with regulatory approval, LLCs cannot use these under any circumstances.2California Secretary of State. Business Entity Name Regulations and Additional Statutory Restrictions A proposed name containing any of them will be rejected.
Confirm the Name Is Available
Search the Secretary of State’s business database through the bizfile Online portal at bizfileonline.sos.ca.gov to make sure your proposed name isn’t already taken.3California Secretary of State. bizfile Online Account Setup and User Access Guide The search covers all active and reserved entity names on file.
If the name is open and you aren’t ready to file right away, you can reserve it for 60 days through the same portal, which blocks another business from grabbing it while you prepare your amendment.4California Secretary of State. Name Reservations You can’t renew a reservation back-to-back; at least one day has to pass between consecutive reservation periods.
A clean result in the state database only clears you for state registration. It doesn’t address federal trademarks. Running a separate search of the U.S. Patent and Trademark Office database is worth the time, since a conflict with a registered trademark could force you to change names again later.5United States Patent and Trademark Office. Get Your Members to Approve the Change
Before anything goes to the state, authorize the name change inside the LLC. Start with your operating agreement, which should state the voting threshold needed to amend the Articles of Organization. California law lets operating agreements set their own approval requirements, including requiring consent from people who aren’t members of the LLC.6California Legislative Information. California Corporations Code 17701.12 If the agreement calls for a supermajority or unanimous vote, a simple majority won’t do.
If your agreement is silent on amendment procedures specifically, use whatever default rule it sets for major decisions. Once the vote carries, document it in a written resolution signed by the approving members. That record protects you later if anyone questions whether the change was properly authorized.
Fill Out Form LLC-2
The filing is Form LLC-2, “Amendment to Articles of Organization of a Limited Liability Company.”7California Secretary of State. LLC Name Change Form LLC-2 A blank copy is available on the Secretary of State’s website, or you can complete it inside the bizfile Online portal.
Under California Corporations Code Section 17702.02, the amendment has to include three things:8California Legislative Information. California Corporations Code Title 2.6 – Article 2
- Your current LLC name, exactly as it appears in the Secretary of State’s records
- Your Secretary of State file number (newer LLCs have a 12-character ID starting with “B”; older entities may have a different format)
- The specific change, meaning your proposed new name
At least one manager signs for a manager-managed LLC, or at least one member signs for a member-managed LLC. Check every field against your existing records. Small spelling or punctuation errors can send the filing back for corrections.
File the Amendment and Pay the Fee
You can submit Form LLC-2 online through bizfileonline.sos.ca.gov or by mailing a printed copy to the Secretary of State’s Sacramento office. Online filing is faster, but it requires setting up an account and obtaining access to your entity record before you can submit anything.3California Secretary of State. bizfile Online Account Setup and User Access Guide
The filing fee is $30 either way.9California Secretary of State. Business Entities Fee Schedule Online payments go on a credit card; mailed filings need a check or money order. A certified copy of the filed amendment, which banks often ask for, costs extra.
Processing times move around based on the Secretary of State’s current workload. The office posts current processing dates for each filing method, so check there rather than relying on an estimate.10California Secretary of State. Current Processing Dates Once the state files the amendment, the new name takes legal effect.
Expedited Options
If you’re working against a deadline, several expedited tiers are available on top of the $30 base fee:11California Secretary of State. Service Options – Business Entities

Notify the IRS
A name change doesn’t require a new Employer Identification Number. The IRS states that changing your LLC’s name or location by itself doesn’t trigger the need for a new EIN.12Internal Revenue Service. When to Get a New EIN Your existing EIN stays with the LLC under the new name.
You do have to tell the IRS about the change. The easiest route is checking the name-change box on your next annual return. On Form 1065 for a multi-member LLC, that’s Page 1, Line G, Box 3. If you’ve already filed for the year, send a letter to the IRS at the address where you mailed the return, signed by a partner.13Internal Revenue Service. Business Name Change Single-member LLCs that report on Schedule C should follow the sole proprietorship instructions on the same IRS page.
Update Your Other Records
Once the amendment is approved, the Secretary of State forwards the new name to the California Franchise Tax Board, so no separate FTB filing is needed. Everything else is on you:
- Bank accounts: bring a certified copy of the filed amendment to update the account name. Most banks require it before issuing new checks or cards.
- Contracts and vendors: notify clients, suppliers, and active counterparties. The name change doesn’t alter existing contractual rights or obligations, but it keeps invoicing and payments from getting tangled.
- Local business licenses and permits: check with each issuing city or county. Requirements vary.
- Statement of Information: your next biennial Statement of Information should carry the new name.
- Fictitious business names: if a DBA is tied to your old LLC name, you may need to file an updated fictitious business name statement with your county clerk.
- Website, social media, email, and printed materials: update everything to the new legal name.
Handling these updates soon after the state approves the amendment keeps your legal name consistent across your accounts, filings, and contracts.
