DC Form FR-120 is the extension request that gives your corporation an extra six months to file the D-20 Corporation Franchise Tax Return, or seven months if you file on a combined reporting basis. File it by the original D-20 due date and include full payment of your estimated franchise tax liability. The extension covers filing only, not payment, and the Office of Tax and Revenue (OTR) will deny the request if the payment submitted with the form falls short.1Office of Tax and Revenue. When FR-120 Is Due
The form must reach OTR by the D-20’s original due date. Calendar-year filers have until April 15. Fiscal-year filers have the 15th day of the fourth month after their tax year closes.2Office of Tax and Revenue. Corporate Business Franchise Tax Forms Miss that date and the extension is invalid; the D-20 is treated as late from the original deadline forward.
Filling Out the Form
FR-120 is a single page. The top section asks for your Taxpayer Identification Number, business name (or designated agent), full mailing address with ZIP+4, and the tax period ending date in MMDDYYYY format.
Three checkboxes sit below the address block. Check Combined Report if your business files combined, which stretches the extension from six months to seven. Check Living or Traveling Outside the U.S. only if the responsible party is outside the continental United States and needs additional time beyond the standard extension. Check 52-53 Week Filer if your fiscal year runs on a 52-53 week cycle.1Office of Tax and Revenue. FR-120 Extension of Time to File a DC Corporation Franchise Tax Return
The Payment Worksheet
The bottom of the form is a five-line worksheet. Line 1 is your total estimated franchise tax for the period. DC’s franchise tax rate is 8.25 percent of taxable income, with a minimum tax of $250 if DC gross receipts are $1 million or less and $1,000 if they exceed $1 million.3Office of Tax and Revenue. DC Business Franchise Tax Rates Line 2 is estimated franchise tax payments already made during the year, including any overpayment credit carried forward. Line 3 captures any other payments applied to the period. Add Lines 2 and 3 on Line 4. Subtract Line 4 from Line 1 on Line 5 — that is your balance due.
If Line 5 is zero or negative, you owe nothing with the form but should still file it to lock in the extended deadline. If Line 5 is positive, send the full amount with the form. Underpayment is the single most common reason OTR denies an extension.1Office of Tax and Revenue. FR-120 Extension of Time to File a DC Corporation Franchise Tax Return
How to Submit It
You can mail the form or file electronically. Businesses whose tax payment exceeds $5,000 in any period must pay electronically through MyTax.DC.gov; paper checks are not accepted at that threshold.4Office of Tax and Revenue. Electronic Funds Transfer Payment Guide
If you mail it, send the form with a check or money order payable to the DC Treasurer to:

What You Get After Filing
A properly completed FR-120 with full payment is automatically approved. You do not need to wait for a confirmation letter to treat the deadline as extended. Calendar-year filers with the standard six-month extension have until October 15 to file the D-20. Combined reporting filers have until November 15. When you file the D-20, attach a copy of the FR-120.2Office of Tax and Revenue. Corporate Business Franchise Tax Forms
No additional extension beyond six or seven months is available unless the responsible party is outside the continental United States. In that case you can request up to six more months, but the total extension can never exceed one year from the original due date.1Office of Tax and Revenue. Penalties if You Underpay or File Late
Because the extension covers only paperwork, underpaying or skipping payment triggers a failure-to-pay penalty of 5 percent of the unpaid tax for the first month, with another 5 percent for each additional month or partial month the balance remains, up to a 25 percent ceiling. Interest also accrues on the unpaid balance.6D.C. Law Library. District of Columbia Code 47-4213 – Failure to File Return or to Pay Tax
A separate failure-to-file penalty applies if you miss the extended D-20 deadline, also at 5 percent per month and capped at 25 percent. When both penalties apply in the same month, the failure-to-file amount is reduced by the failure-to-pay amount for that month, so the same period is not penalized twice.6D.C. Law Library. District of Columbia Code 47-4213 – Failure to File Return or to Pay Tax
OTR charges a $65 returned-payment fee if a check or electronic payment bounces. If the bounced payment was the one submitted with the FR-120, the extension itself can be denied on top of the fee.1Office of Tax and Revenue. FR-120 Extension of Time to File a DC Corporation Franchise Tax Return
