Massachusetts Form M-3 is the annual reconciliation every employer files with the Department of Revenue to match the state income tax withheld from employee wages during the year against what was reported on quarterly or monthly Form M-941 returns. For tax year 2025, the return is due February 2, 2026, because the usual January 31 deadline falls on a Saturday.1Mass.gov. Massachusetts Form W-2 Responsibilities for Employers You submit it with Copy 1 of every W-2 you issued.
Who Has to File
Any employer that deducted Massachusetts income tax from employee wages at any point in the year owes a Form M-3. That covers businesses, nonprofits, government agencies, and household employers alike.2General Court of Massachusetts. Massachusetts General Laws Chapter 62B Section 5 If you stopped paying wages partway through the year or shut the business down, you still owe a final M-3 for the period you were active.
Using a payroll service does not shift the legal responsibility. Withheld taxes are held in trust for the Commonwealth, and individual officers or LLC members can be held personally liable if the business fails to remit them.2General Court of Massachusetts. What to Gather Before You Start
- Your Massachusetts withholding account ID number from MassTaxConnect.
- Copy 1 of every W-2 you issued for the year, showing each employee’s wages and Massachusetts tax withheld.
- The totals you reported on Line 1 of each Form M-941 you filed during the year, quarterly or monthly.
- Your business name and address exactly as they appear on your withholding account.
How the Reconciliation Works
Form M-3 is one page. The top collects your business name, account ID, and the calendar year being reported. The body compares two numbers: total Massachusetts withholding reported across all your M-941 returns for the year, and total Massachusetts withholding shown on all the W-2s you issued for the same year.
Add up Line 1 from every M-941 you filed and enter that figure. Then enter the sum of state tax withheld from all W-2s. The two should match. If they don’t, you either owe additional tax or have an overpayment to apply forward.
Mismatches usually trace back to one of two causes: a quarterly return was corrected but the annual reconciliation wasn’t adjusted, or a W-2 was issued with the wrong withholding amount. Check your M-941s against your payroll records before you submit. Finding a discrepancy yourself is faster and cheaper than having DOR find it.
Filing Electronically Through MassTaxConnect
Electronic filing is mandatory if you issued 50 or more W-2s for the year.1Mass.gov. Massachusetts Form W-2 Responsibilities for Employers It’s also mandatory if your combined annual tax liability across withholding, sales and use tax, room occupancy excise, and several other tax types reaches $5,000 or more, and for any business registering with DOR for the first time regardless of W-2 count. Payroll providers filing on behalf of clients must also file electronically.3Mass.gov. Withholding Taxes on Wages
Log in to MassTaxConnect, open your withholding account, and upload your W-2 data for the year. The system reconciles the annual wage totals against your periodic M-941 returns, which is effectively what Form M-3 is doing on paper.4Mass.gov. Filing Returns in MassTaxConnect You’ll get a confirmation number when the submission goes through. Keep it as your proof of filing.
Filing on Paper
If you issued 49 or fewer W-2s and don’t otherwise trigger the electronic requirement, you can file on paper.1Mass.gov. Massachusetts Form W-2 Responsibilities for Employers The form is available on the DOR withholding tax forms page.5Mass.gov. Standard mail doesn’t give you a receipt. If you’re mailing close to the deadline, use certified mail or a tracked delivery service.
Fixing a W-2 After You’ve Filed
If you find an error on a W-2 after submitting, issue a corrected W-2 using federal Form W-2c and send it on paper, even if the original filing was electronic. The correction goes to a different PO box than the original return:

If the correction changes a withholding amount, it will no longer match the Form M-3 you already filed. Reach out to DOR or resolve the mismatch through MassTaxConnect rather than waiting for a notice.
Penalties for Late or Missing Filings
Late-filing and late-payment penalties are separate and can both apply to the same return.
- Late filing runs 1% of the unpaid tax per month or partial month, capped at 25%.7Mass.gov. Massachusetts Penalties and Interest Assessed by DOR
- Late payment adds another 1% per month on the unpaid balance, also capped at 25%.7Mass.gov. Massachusetts Penalties and Interest Assessed by DOR
- Failing to file or pay electronically when required carries a penalty of up to $100 per instance.7Mass.gov. Massachusetts Penalties and Interest Assessed by DOR
- Willful failure to withhold, file, or remit withheld tax can bring a fine of $100 to $5,000, up to a year in jail, or both.7Mass.gov. Massachusetts Penalties and Interest Assessed by DOR
Interest also accrues on any unpaid balance from the original due date. Criminal exposure is reserved for willful conduct; an honest error you address promptly is a different situation from ignoring DOR notices.
Final M-3 When You Close the Business
If you stop employing workers in Massachusetts or shut the business down, file a final Form M-3 covering the period from January 1 through your last payroll. Terminated employees must receive their W-2 within 30 days of the final wage payment.2General Court of Massachusetts. Massachusetts General Laws Chapter 62B Section 5 After all final returns are in, close the withholding registration through MassTaxConnect so DOR stops expecting returns for periods when you had no employees.8Mass.gov.
