How to Complete and File Ohio Form 610: LLC Articles of Organization

To file Ohio Form 610, the Articles of Organization for a limited liability company, submit the completed form to the Ohio Secretary of State with a $99 filing fee, either online through OhioBusinessCentral.gov or by mail. What to Have Ready Before You Start

Form 610 is short, but the Secretary of State will reject it if anything required is missing. Ohio Revised Code Section 1706.16 asks for only a few things: the LLC’s name, the name and street address of a statutory agent along with the agent’s signed acceptance, and any optional provisions you want to include.2Ohio Legislative Service Commission. A Compliant LLC Name

Your name must include one of these designators: “limited liability company,” “L.L.C.,” “LLC,” “limited,” “ltd.,” or “ltd.” Without one, the filing is rejected. The name also has to be distinguishable from every existing LLC, corporation, limited partnership, limited liability partnership, and registered trade name already on file.3Ohio Legislative Service Commission. A Statutory Agent With a Signed Acceptance

Every Ohio LLC must maintain a statutory agent, meaning a person or business designated to accept legal papers on the company’s behalf. The Secretary of State will not file your articles without both a written appointment (signed by an authorized representative of the LLC) and a written acceptance (signed by the agent).5Ohio Legislative Service Commission. The agent must be an individual who lives in Ohio or a business entity with a business address in Ohio. The address has to be a street address where someone is present during normal business hours and authorized to accept service of process. Post office boxes do not qualify, even if they have an associated street address; the statute says so explicitly.5Ohio Legislative Service Commission. Many organizers serve as their own statutory agent, which costs nothing but puts a home address on the public record. Commercial registered agent services handle the role for roughly $49 to $300 per year. Either way, confirm your agent’s willingness and get the signed acceptance before you start the form.

A Choice on Management Structure

Form 610 lets you state whether the LLC will be member-managed or manager-managed. In a member-managed LLC, every owner participates in running the business. In a manager-managed LLC, one or more designated managers handle daily operations while other members stay passive. If you don’t specify, Ohio defaults to member-management. For single-owner LLCs the distinction rarely matters in practice; for multi-member companies, settle it before filing.

An Optional Delayed Effective Date

You can specify a future date for the LLC to take effect rather than the day the filing is processed. Ohio caps this at ninety days after the Secretary of State receives your articles.6Ohio Legislative Service Commission. Filling Out Form 610

File online through OhioBusinessCentral.gov or download the PDF from the Secretary of State’s business filing forms page.4Ohio Secretary of State. Business Filing Forms and Fee Schedule Online filing is faster and has a lower rejection rate because the system catches formatting errors as you go.

The form asks for the LLC’s exact name, including the designator. Capitalization, punctuation, and spacing all matter, because whatever you type becomes the legal name on the state record. Next comes the statutory agent’s full legal name and Ohio street address. The agent signs the acceptance section: electronically on the online portal, in ink on the paper form.

Leave the effective date blank if you want the LLC effective immediately; otherwise enter a date no more than ninety days out. The optional provisions section gives you space to add anything you want in your articles, such as a specific business purpose. Most organizers leave it blank because Ohio defaults to allowing any lawful purpose. Finally, at least one authorized representative signs as organizer. That can be any person forming the LLC, not necessarily a future member.

Compare the LLC name against your availability search one more time before submitting. A typo becomes your legal name, and fixing it later means filing an amendment with another fee.

Submitting the Form and What It Costs

  • Regular service: no additional fee, three to seven business days.
  • Expedite Service 1: additional $100, processed within two business days after receipt.
  • Expedite Service 2: additional $200, processed within one business day after receipt.
  • Expedite Service 3: additional $300 and requires in-person delivery, processed within four hours if received by 1:00 p.m. Eastern. Documents received after 1:00 p.m. are processed by noon the following business day.

Online filers pay by credit card through OhioBusinessCentral.gov. If you file by mail, include a check or money order payable to “Ohio Secretary of State” and send the form to the Secretary of State’s office in Columbus.1Ohio Secretary of State. What Happens After You File

Once the filing is processed, you receive a stamped copy of the Articles of Organization showing the official filing date. Keep it. Banks require it to open a business account, and you’ll need it for local permits and licenses.

Two immediate follow-ups are worth handling right away. First, apply for a federal Employer Identification Number through the IRS. The application is free, takes about fifteen minutes online, and issues the number immediately on approval. You’ll need the Social Security number or ITIN of the LLC’s responsible party, and the tool cannot save progress mid-application.7Internal Revenue Service. Ohio does not require you to file one with the state, but the statute makes the operating agreement the document that governs how members deal with each other and the company.8Ohio Legislative Service Commission. Even single-member LLCs benefit, because banks sometimes ask to see one.

Ongoing, Ohio requires LLCs to file a biennial report with the Secretary of State. The fee is $25 through OhioBusinessCentral.gov or by mailing Form 520.4Ohio Secretary of State.
