To change your Florida LLC’s name or any other provision in its Articles of Organization, file an Articles of Amendment with the Division of Corporations. The Florida LLC amendment form is CR2E049, available as a PDF on Sunbiz or submitted through the Division’s online portal, and the filing fee is $25. Before you download anything, though, make sure you actually need this form: several common updates are handled through simpler filings.
When You Need This Form
Articles of Amendment cover changes to the provisions in your original Articles of Organization. The most common reason to file one is a name change, because that’s the one update you can’t make any other way. The annual report lets you update officer and manager names, addresses, registered agent information, and your federal EIN, but it does not let you change the business name.1Florida Department of State. Beyond name changes, the amendment form handles additions or deletions to the articles themselves: modifying the LLC’s purpose clause, changing management structure from member-managed to manager-managed (or the reverse), or adding provisions about member voting rights. If the change alters the text of your articles, this is the form.
Several common updates don’t require an amendment:
- Registered agent or office changes go on a Statement of Registered Agent/Registered Office Change (form INHS18). This matters beyond paperwork: failing to update your registered agent within 30 days of a change is one of the statutory grounds for administrative dissolution.2Florida Senate. - Address, manager, or member name updates can typically be handled through the annual report e-filing on Sunbiz, which posts updates within minutes.
- Member or manager resignation uses a separate Resignation or Dissociation form (CR2E079).

What the Amendment Must Include

- The LLC’s current legal name, exactly as it appears in the Sunbiz database. Run a free entity search at sunbiz.org to confirm.
- The original filing date of your Articles of Organization. This appears on your original acknowledgment and on the Sunbiz entity detail page.
- The specific text of the amendment. For a name change, state the new name. For a structural change, include the revised provision language.
- An optional delayed effective date. The amendment takes effect when the Division files it unless you specify otherwise; you can pick a date up to five business days before delivery or up to 90 days after.
A member of a member-managed LLC or a manager of a manager-managed LLC must sign the form. The statute also imposes an affirmative obligation: if a member or manager knows that filed information has become inaccurate, they must promptly file an amendment or correction.
Check Name Availability First
If you’re changing the LLC’s name, search the Sunbiz database before you file. A name that’s indistinguishable from an existing entity on file will be rejected, and the filing fee is non-refundable. The search tool is free and lives on the Sunbiz homepage.
How to File and What It Costs
The faster route is Sunbiz e-filing. Locate your LLC in the system, enter the amendment details, and pay by credit card. Save the confirmation number the system returns.

- Certified copy: $30. Useful when a bank or business partner wants official proof of the change.
- Certificate of status: $5. Confirms the LLC is active and in good standing.
All fees are non-refundable once processing begins.
Processing Times
Expectations need adjusting here. The Division publishes current processing dates on Sunbiz, and the backlog for LLC amendments can be substantial. As of early June 2026, the Division was processing LLC amendments received in late December 2025, a wait of roughly five to six months.7Florida Department of State. Annual reports filed online with a credit card were processing within days by comparison. If your change can go on the annual report rather than a formal amendment, that route is much faster. Check the processing dates page before you file so you know what you’re in for; it’s updated regularly and breaks out timelines by filing type. Once the Division approves the amendment, the Sunbiz record updates and that entry becomes the official public record of the change.
After the Amendment Is Approved
The state filing is the legal step, but a few follow-up tasks keep the rest of your records in sync.
Tell the IRS
A name change does not require a new EIN. Your existing number stays valid.8Internal Revenue Service. When to Get a New EIN You do need to notify the IRS, and how you notify depends on how the LLC is taxed. Multi-member LLCs filing Form 1065 check the name change box on the next return; LLCs taxed as corporations check the equivalent box on Form 1120 or 1120-S; single-member LLCs write to the IRS at the address where they file. Update the Operating Agreement
Your operating agreement should match whatever you just changed at the state level. Draft an amendment that identifies the section being modified, states the new language, and confirms the rest of the agreement remains in effect. Every member should sign it. These amendments aren’t filed with the state, but a court resolving a dispute will look to the written agreement rather than informal practice.
Update Banks, Licenses, and Contracts
A name change triggers a cascade of downstream updates: business bank accounts, state and local business licenses, professional permits, insurance policies, and contracts that name the LLC. Banks typically want to see a certified copy of the filed amendment before updating account records, which is why ordering one at filing time (for $30) can save you a return trip.
Don’t Let the LLC Lapse While You’re At It
Filing an amendment won’t protect an LLC that’s behind on its annual report or has let its registered agent lapse. Florida can administratively dissolve an LLC for missing the annual report deadline (5:00 p.m. Eastern on the third Friday of September), for unpaid fees, for failing to maintain a registered agent, or for not updating registered agent information within 30 days of a change.2Florida Senate.
