What to Gather Before You Start
The portal will flag blank required fields before it lets you submit, but it can’t tell whether the information you typed is correct. Have the following in front of you.
The Debtor’s Exact Legal Name
If the debtor is an individual, use the name exactly as it appears on their current, unexpired New Jersey driver’s license. If the debtor is a registered organization (a corporation, LLC, or limited partnership), use the exact name shown on the organization’s most recent public organic record on file with DORES, including suffixes like “Inc.” or “LLC.”2Justia. A financing statement that fails to match under these rules is considered “seriously misleading” and ineffective, unless a search under the correct name using the filing office’s standard search logic would still find your filing.3Justia. New Jersey Code 12A:9-506 – Effect of Errors or Omissions Don’t rely on that exception. A misspelling that slips through today’s search algorithm can fail if the algorithm changes. Type the name character for character.
Debtor’s Address and Organization Details
The filing must include the debtor’s mailing address and indicate whether the debtor is an individual or an organization. For an organizational debtor, add the type of entity (corporation, LLC, etc.), the jurisdiction of organization, and the organizational identification number that jurisdiction assigned, or an indication that no such number exists. Missing any of these gives the filing office grounds to reject the submission.
Secured Party’s Name and Mailing Address

Describing the Collateral
On the UCC-1 itself, a broad indication that the filing covers “all assets” or “all personal property” of the debtor is legally sufficient.5Justia. New Jersey Code 12A:9-504 – Indication of Collateral Many lenders use that shortcut when they want a blanket lien.
The security agreement between you and the debtor cannot use the same shortcut. It must “reasonably identify” the collateral, either by listing specific items, by using a UCC-defined category (equipment, inventory, accounts, and so on), or by some other method that makes the property objectively determinable.6Legal Information Institute. UCC 9-108 – Sufficiency of Description If your financing statement says “all assets,” your underlying security agreement had better say something more specific.
Many filers describe collateral by category on the financing statement itself, listing items like “all equipment, inventory, accounts receivable, and general intangibles.” It gives clearer notice to anyone searching the records, and it keeps the two documents aligned.
Filing Through the Online Portal
New Jersey handles UCC filings almost exclusively at njportal.com/UCC.7New Jersey Division of Revenue and Enterprise Services. Select “New Filing (UCC-1)” from the portal menu. The system walks through debtor information, secured party information, and collateral description, flagging any incomplete required fields before submission. Pay by credit card or through a Payment Management Services (PMS) account. Frequent filers can set up a PMS account at no cost to store payment details and pull activity reports. Once you submit, the portal processes the filing immediately, assigns a unique file number, records the exact date and time, and generates a downloadable confirmation. Priority among competing secured parties runs from that timestamp, so instant processing eliminates the gap that paper filings used to create.
Paper Filings
Paper is not a general option. Paper UCC filings are accepted only under a specific exception granted under N.J.A.C. 17:33-2.9.9Legal Information Institute. When to File With the County Instead
Not every UCC-1 goes to DORES. If the collateral is goods that are or will become fixtures attached to real property, file the financing statement as a “fixture filing” in the office that records mortgages for that county, typically the county clerk or register of deeds. A fixture filing needs everything a standard UCC-1 needs, plus a description of the related real property sufficient for the county’s real estate records, and the name of the property owner if that person is not the debtor. HVAC systems bolted to a commercial building or industrial equipment installed in a manufacturing facility are the typical examples. Everything else — accounts, inventory, unattached equipment, general intangibles — belongs at DORES.
Why UCC-1 Filings Get Rejected
The filing office must refuse a UCC-1 that fails to meet minimum content requirements. A filing will be rejected if it:
- Omits the debtor’s name. The form must name at least one debtor, and if the debtor is an individual, it must separately identify the last name.
- Omits the secured party’s name or mailing address.
- Omits any part of the debtor’s mailing address, individual-or-organization indicator, or (for organizations) type, jurisdiction, and identification number.
- Comes in through an unauthorized method, which in practice means a paper filing without an approved exception.
- Arrives with less than the full $30 fee.

The portal catches most of these before submission by flagging blank required fields. What it won’t catch is a misspelled debtor name or a collateral description that drifts from the security agreement. Those errors sail through the filing office and only surface later, usually when priority is contested.
The Five-Year Clock
A filed UCC-1 is effective for five years from the filing date.12Justia. New Jersey Code 12A:9-515 – Duration and Effectiveness of Financing Statement If nothing is done, the filing lapses automatically at the anniversary. A lapsed financing statement is treated as though the security interest was never perfected against purchasers for value, and that treatment applies retroactively. Other creditors and a bankruptcy trustee can leapfrog a lender who let the filing lapse, even one who filed first years earlier.
To keep the filing alive, file a UCC-3 continuation statement within the six-month window before the five-year anniversary. Filed too early, it’s ineffective. Filed after the anniversary, the original is already gone.12Justia. Calendar the renewal deadline the day you file the original UCC-1. Missed continuations, not clerical errors on the form, are where secured parties most often lose priority.
Amending and Terminating a Filing
Changes to a filed UCC-1 run through a UCC-3, also filed on the DORES portal. Common uses include adding or removing collateral, changing a debtor or secured party name, and recording an assignment to a new lender.8New Jersey Government Services. When the underlying obligation is paid off, file a UCC-3 termination to clear the lien from the debtor’s record. For consumer-goods transactions, the secured party must send or file a termination within 20 days of receiving an authenticated demand from the debtor, or within one month after the obligation is satisfied, whichever is earlier. For commercial collateral, the 20-day clock starts when the secured party receives the debtor’s demand.13Legal Information Institute.
