Virginia Form LLC-1050, the articles of cancellation, is the filing you submit to the State Corporation Commission to formally end your LLC’s legal existence. It costs $25, runs one page, and can only be filed after your LLC has dissolved and finished winding up its affairs. The SCC will not issue the certificate of cancellation until every required fee — the $25 filing fee plus any unpaid annual registration fees and late penalties — has been paid.1State Corporation Commission. What Has to Happen Before You File
You cannot file the articles of cancellation until the LLC has dissolved and the winding-up process is complete. The form itself contains a sworn statement to that effect, so treating it as a formality creates real legal exposure.2Virginia Code Commission. Virginia Code 13.1-1050 – Articles of Cancellation
Dissolution most often comes from unanimous written consent of all members, though it can also be triggered by a date or event fixed in your articles of organization or operating agreement, or by court decree.3Virginia Code Commission. Virginia Code 13.1-1046 – Dissolution; Generally Follow whatever procedure your operating agreement lays out. If it’s silent, you need every member to sign a written consent recording the decision and the date. The SCC does not ask for this document, but keep it permanently — it’s your proof that dissolution was properly authorized.
Notifying Known Creditors
After dissolution takes effect, send written notice to every known creditor. Each notice must give a reasonable description of the claim, state whether the LLC admits or denies it (or admits it only in part), provide a mailing address for the creditor’s response, set a deadline of at least 120 days from receipt, and warn that any unadmitted claim will be barred if the creditor doesn’t confirm it by the deadline.4Virginia Code Commission. For creditors you don’t know about, you can publish a one-time notice in a newspaper of general circulation where the LLC’s principal or registered office sits. That publication bars unknown claims unless the creditor sues before the earlier of the applicable statute of limitations or three years after publication.5Virginia Code Commission. Paying and Distributing in the Right Order
Virginia law fixes the order of distribution: creditors first (including any member who’s also a creditor), then members and former members owed distributions under the operating agreement, then members for return of capital contributions and finally in proportion to ownership.6Virginia Code Commission. Virginia Code 13.1-1049 – Distribution of Assets Upon Dissolution Your operating agreement can rearrange the second and third tiers, but creditors always come first. Paying members before creditors exposes those members to personal liability for the unpaid debts.
Filling Out the Form
You can download Form LLC-1050 from the SCC’s website or complete it directly through the Clerk’s Information System at cis.scc.virginia.gov.1State Corporation Commission. - The LLC’s full legal name, exactly as it appears in SCC records. A missing comma or “LLC” instead of “L.L.C.” can cause rejection. Check the exact name in CIS before you type it.
- The SCC identification number assigned when the LLC was organized. It appears in CIS search results.
- The effective date of the original certificate of organization (or the delayed effective date if you specified one at formation).
- A statement that the LLC has completed winding up its affairs. This is the legal attestation.
You can add the reason for cancellation or other details, but nothing beyond those four items is required. The form also asks for an effective date for the cancellation itself; you can set a future date to line up with the end of a tax year or the close of a final contract, or leave it blank so cancellation takes effect when the SCC issues its order. An authorized member or manager signs, based on your operating agreement’s signing authority.
Fees You Have to Clear First
The SCC will not issue the certificate of cancellation until every required fee is paid. Two separate obligations are in play:
- The $25 cancellation filing fee, paid when you submit the form.
- Every unpaid annual registration fee, plus penalties. Virginia LLCs owe $50 each year, due by the last day of the month that falls 12 months after the LLC was organized. Back fees add up. An LLC four years delinquent would owe $300 ($200 in fees plus $100 in penalties) before the SCC will process the cancellation. Look up your current balance in CIS or call the Clerk’s Office; the SCC won’t compute it for you automatically.8State Corporation Commission. Annual Registration Fees
One timing point can save you $50: if the SCC issues the certificate of cancellation before the current year’s annual fee due date, you don’t owe that year’s fee. Filing early in your registration cycle is worth it.
How to Submit
Three options are available:9State Corporation Commission. Business Home
- Online through CIS at cis.scc.virginia.gov. This is the fastest route and the only one eligible for expedited processing.
- By mail: send the signed form with a $25 check payable to the State Corporation Commission to Office of the Clerk, P.O. Box 1197, Richmond, VA 23218.
- In person: drop the form at 1300 E. Main St., 1st floor, Richmond, VA 23219, between 8:15 a.m. and 5:00 p.m., Monday through Friday.
Online filings can be expedited. Next-business-day service costs $50 or $100 if submitted by 2:00 p.m. EST, with a response by 4:00 p.m. the next business day. Same-day service costs $200 if submitted by 10:00 a.m. EST, with a response by 4:00 p.m. that day.10State Corporation Commission. Online Expedited Services Expedite fees are nonrefundable, and if your filing is rejected and you resubmit, you pay the expedite fee again. Paper filings cannot be expedited at all. Standard online processing without expediting is generally faster than paper, but the SCC does not publish a guaranteed timeline; allow at least a few business days.
After the SCC Accepts the Filing
Once the SCC confirms the articles comply with the law and every fee is paid, it issues a certificate of cancellation by order, ending the LLC’s legal existence.2Virginia Code Commission. What Form LLC-1050 Does Not Cover
Cancellation with the SCC ends the LLC under Virginia corporate law. It does not close your federal or state tax accounts, and it does not release you from filing final returns.
Federal Filings
The IRS requires final returns based on how your LLC was taxed:12Internal Revenue Service. Closing a Business
- Multi-member LLCs taxed as partnerships: file a final Form 1065 for the year of closure, check the “final return” box, and mark each member’s Schedule K-1 as final.
- Single-member LLCs: report final business income and expenses on Schedule C with your personal Form 1040 for the year of closure.
- LLCs taxed as corporations: file a final Form 1120 (C corp) or Form 1120-S (S corp) for the year of closure and Form 966 to report the plan of dissolution or liquidation.
If the LLC had employees, file a final Form 941 (or Form 944) for the quarter of your last wage payments and a final Form 940 for federal unemployment tax for that calendar year. Check the “final” box on each form and attach a statement identifying who is keeping the payroll records and where they’ll be stored.
To close your IRS business account, send a letter to the IRS at Cincinnati, OH 45999 giving the LLC’s legal name, EIN, address, and reason for closing. The IRS cannot technically cancel an EIN — the number remains assigned to the entity — but it will close the account so no further returns are expected.
Virginia State Tax
Notify the Virginia Department of Taxation separately so it marks your account inactive. You can report the closure through your online Virginia Tax account or by contacting the department directly.13Virginia Tax. Business Account FAQs If your LLC collected sales tax or withheld payroll tax, file final returns covering the period through your last day of business. Canceling with the SCC does not automatically notify the tax department; they are separate agencies with separate records.
Records to Keep After Cancellation
The IRS can audit returns for three years after filing, or six years if income was underreported by more than 25 percent. Most tax professionals suggest holding tax-related records for at least seven years. Keep your formation documents, operating agreement, the certificate of cancellation, and the written consent authorizing dissolution permanently, along with your winding-up records: creditor notices, proof of debt payments, and asset distribution records. If a former creditor or partner raises a claim after cancellation, those documents are your defense.
