How to Complete and Submit Form NJ-REG: Filing, Certificate, and Updates

To complete a New Jersey business registration, file Form NJ-REG with the Division of Revenue and Enterprise Services, the state’s combined tax and employer registration application. The state advises submitting it at least 15 business days before you begin doing business in New Jersey. One thing to settle first: NJ-REG is the tax and employer registration, not the document that creates your entity. If you’re forming an LLC, corporation, or limited partnership, file your certificate of formation, incorporation, or limited partnership through the Division of Revenue first, then register with NJ-REG.2Division of Revenue and Enterprise Services. What to Have Ready Before You Start

The online application cannot be saved mid-session, so pull everything together before you open the portal.

  • Your Federal Employer Identification Number (EIN). Corporations, LLCs, and limited partnerships must register using both their New Jersey Business Entity ID and their EIN. Partnerships and sole proprietorships can use either an EIN or the owner’s Social Security number, which then becomes the business tax ID in New Jersey.1State of New Jersey Online Tax/Employer Registration.   • Your New Jersey Business Entity ID, issued when your formation documents were approved.

  • The exact date operations began in New Jersey, which fixes your tax liability timeline.

If you still need an EIN, apply through the IRS online tool first. That application also must be completed in one sitting, works only if your principal business is in the United States, and is limited to one EIN per responsible party per day.4Internal Revenue Service. Filing NJ-REG Online

The Division of Revenue’s online portal is the faster route. You work through screens covering entity type, identification numbers, NAICS code, and the date you began New Jersey operations. A review screen appears before final submission. When you certify the application, you affirm that the information is accurate and acknowledge that knowingly reporting inaccurate or misleading information can carry penalties.1State of New Jersey Online Tax/Employer Registration. Paper filing is still available by mail to Client Registration, PO Box 252, Trenton, NJ 08646-0252, but processing runs several weeks instead of days. Use the portal unless you have a specific reason not to.

Displaying the Certificate You Receive

Approval gives you a Business Registration Certificate (BRC) and, if you are authorized to collect sales tax, a separate Certificate of Authority. New Jersey requires both to be displayed at all times, at your place of business and at any event where you sell goods or services, including events tied to online or off-site sales.5NJ Division of Taxation. Post the certificate somewhere a customer or state inspector can see it without asking. A wall near the register, a front window, or a reception area works. A filing cabinet does not. Failure to register and keep the certificate visible results in penalties and fees on taxes owed.

Replacing a Lost Certificate

A lost or damaged BRC doesn’t require re-registering. The Division of Revenue’s online verification portal lets you look up your status and generate a printable Business Registration Certificate on demand. You’ll need your Name Control (usually the first four characters of your business name) and either your Taxpayer Identification Number or Business Entity Identification Number. Keeping Your Registration Current

Routine changes go through Form REG-C-L, not a new NJ-REG. You can file REG-C-L online to report a new mailing address, change filing status (available online for partnerships and sole proprietorships), add or end tax or employer obligations, switch between year-round and seasonal filing, or add or update electronic fund transfer registrations.

Two changes require a paper REG-C-L: registering a new location for an existing business, and reporting a change in ownership through a purchase or sale.8Division of Revenue and Enterprise Services. Change Tax/Employer Registration Records If your legal structure changes entirely, such as converting a sole proprietorship to an LLC, that counts as a new entity for state purposes. You file a fresh formation document and a new NJ-REG rather than amending the old one.

Every business in New Jersey must also file an annual report to stay in good standing. It confirms your registered agent and address and carries a $75 filing fee. A structural change may also force a new federal EIN, which then triggers a fresh NJ-REG. You need a new EIN if you incorporate a sole proprietorship, convert a partnership to a corporation, or terminate an LLC to form a new entity. If You Bid on Public Contracts

The BRC carries added weight when you do work for a New Jersey government body. Under N.J.S.A. 52:32-44, every contractor and subcontractor must provide a Business Registration Certificate before a public contract, purchase order, or other contracting document can be awarded. Subcontractors named in a bid supply their BRC to the general contractor, who passes it to the contracting agency.11Justia. New Jersey Revised Statutes Section 52-32-44

In an emergency, an agency can enter a contract before receiving the BRC, but the business has two weeks to provide proof of registration, and the agency cannot pay for goods or services until the certificate arrives. Keeping a current, printable BRC on file prevents delays when you bid.
