How to Complete and Submit the Nevada State Business License Renewal Form

To complete a Nevada state business license renewal, file through the Secretary of State’s SilverFlume portal at nvsilverflume.gov by the last day of your entity’s anniversary month and pay $200 (or $500 if you’re a corporation). Online filings process the same business day. Most entities file the annual list of officers or managers at the same time, in a single transaction.

When Your Renewal Is Due

Nevada runs on an anniversary month system. The renewal is due on the last day of the month you originally filed your formation or qualification documents with the Secretary of State. Form on March 15 and you owe every March 31. Form on October 22 and you owe every October 31.1Nevada Legislature. Nevada Code 76.130 – Annual Renewal of State Business License: Fee; Notice; Penalty for Late Payment; Waiver of Fees and Penalties

Corporations, LLCs, and limited partnerships also file an annual list of officers or managers, and it shares the same due date as the license renewal. You handle both in one filing.

Don’t count on a reminder. The state does not always send physical notices, and tracking the date is your responsibility. One more trap for paper filers: the postmark date does not count. The form has to be in the Secretary of State’s possession by the last day of the due month, not just dropped in the mail by then.

What It Costs

The business license fee is set by statute and depends on your entity type:

Most entities also owe a separate annual list filing fee at the same time. For LLCs, that fee is $150.2Nevada Legislature. Nevada Code 86.263 – Filing Requirements For corporations, the list fee starts at $150 and scales with the total value of authorized shares in the articles of incorporation, up to $11,125.3Nevada Legislature. Nevada Code 78 – Private Corporations

A typical LLC therefore owes $350 total each year ($200 license plus $150 list). A small corporation owes at least $650 ($500 license plus $150 list), with more due if authorized share value pushes the list fee higher.

Miss the deadline and a $100 late penalty is added to the business license fee.4Nevada Secretary of State. What You Need Before You Start

Whether you file online or by mail, have these ready:

The renewal is the time to update anything that’s shifted since last year: new officer, new business address, new agent. The annual list is the state’s official record of who runs your company.

What Happens If You Miss the Deadline

Missing the deadline sets off a chain of consequences that get worse the longer you wait.

Your entity is immediately placed in “Default” on the Secretary of State’s public record. That status is visible to anyone searching your business and can block you from obtaining other state or local permits.

After one year in default, the entity’s charter or right to transact business in Nevada is revoked.4Nevada Secretary of State. State Business License – FAQ

Reinstatement then requires paying all back fees and penalties for every year the entity was in default, plus a $300 reinstatement fee. For an LLC, one missed year costs at minimum $300 (reinstatement) + $150 (annual list) + $75 (list late fee) + $200 (business license) + $100 (license late penalty). Multiple missed years compound. Reinstatement also requires a completed annual list, confirmation of your registered agent, and additional paperwork if another business claimed your name during the revocation period.

Who Doesn’t Need to Renew

Some entities are exempt from the license requirement entirely and don’t owe a renewal fee, though they may still need to file a Declaration of Eligibility for Exemption to keep their record from showing default:4Nevada Secretary of State. State Business License – FAQ

  • Organizations tax-exempt under 26 U.S.C. § 501(c), entities organized under NRS Chapter 82 (nonprofit corporations) or Chapter 84 (title companies), and nonprofit unit-owners’ associations under Chapter 81
  • A person operating from home whose net earnings do not exceed 66⅔ percent of the average annual wage as computed under NRS Chapter 612
  • A natural person whose only business activity is renting four or fewer dwelling units
  • Federal, state, and local governmental bodies

Deducting the Fee on Your Federal Return

The annual license fee is generally deductible as an ordinary and necessary business expense on your federal income tax return. Because the Nevada license renews annually and the term does not exceed one year, you can deduct the full amount in the year you pay it rather than amortizing it. Report it under taxes and licenses on your applicable return: Schedule C for sole proprietors, or the corresponding line on Form 1065, 1120, or 1120-S.
