To update your Oregon business registration, file the Oregon Information Change form with the Secretary of State. It’s free, it covers changes to your registered agent, registered office, principal business or mailing address, and officer, member, or manager information, and online submissions typically process within one to three business days.1Oregon Secretary of State. What the Form Covers
The Information Change form handles updates that don’t alter your business’s legal name or entity structure. Use it to report:
- A new registered agent
- A different registered office street address
- A new principal place of business or mailing address
- Updated names or addresses for officers, members, or managers1Oregon Secretary of State. Update Registration
Changing the business’s legal name is different. That requires a separate amendment filing with its own fee, and the Information Change form won’t do the job.2Oregon Secretary of State. Annual Report or Renewal
You can also report many of these same updates when you file your annual report on the anniversary of your original registration. If something changes mid-year, though, don’t wait. Oregon law requires the information to be current at all times, not refreshed once a year.
What to Gather Before You Start
Pull these together first so the filing goes in one pass:
- Your Oregon Registry Number. The Business Name Search on the Secretary of State’s website will return it if you’ve misplaced it.
- Your entity’s exact legal name as it appears in state records. Not a trade name, not an abbreviation. A mismatch will delay processing.
- The specific new information you’re reporting: agent name, office address, officer or member names and addresses, principal address.
- Internal authorization. Whoever signs must be authorized to act for the entity, so check the update against your corporate minutes, operating agreement, or a board resolution.
Filling Out the Form
The paper version is a single-page PDF on the Secretary of State’s business forms page. It must be legible, in English, and completed in the format the Secretary of State prescribes; any attached document in another language needs a reasonably authenticated English translation.3Oregon Public Law. Oregon Code 60.004 – Filing Requirements
Enter your Oregon Registry Number and the exact legal name at the top. From there, complete only the sections that apply. You don’t need to fill every field if only one thing changed.
Registered Agent
Enter the full name of the new agent. This can be an individual or a business entity authorized to accept legal documents on your behalf.
Registered Office Address
This must be a physical street address in Oregon where the agent can be personally served with legal papers. A P.O. box doesn’t satisfy the requirement, and neither does a commercial mail receiving agency, a mail forwarding service, or a virtual office.4Oregon Public Law. Oregon Code 60.111 – Registered Office and Registered Agent
Officers, Members, or Managers
List the names and current mailing addresses of anyone whose role or contact information has changed.
Principal Business or Mailing Address
Update either or both if your business has relocated or changed where it receives mail.
Signature
The execution section needs a signature and printed name of an authorized representative. For corporations, that’s typically an officer or director. For LLCs, it’s a member or a manager, depending on how the company is structured.

Processing and Confirmation
Online filings process within one to three business days, with many completed the same or next business day.7Oregon Secretary of State. Business Paper filings take longer because of mail transit. Once the Secretary of State accepts the submission, the updated information appears on the public registry and you receive an acknowledgment. Keep that confirmation with your corporate records; it’s the simplest proof the filing went through if a question comes up later.
Why Keeping This Current Matters
Oregon corporations must continuously maintain a registered agent and a physical registered office in the state.4Oregon Public Law. Oregon Code 60.111 – Registered Office and Registered Agent The same rule applies to LLCs.8Oregon State Legislature. Oregon Code 63.111 – Registered Office and Registered Agent The agent exists so there is always someone in Oregon who can accept lawsuits, government notices, and tax correspondence for the business.
When that information goes stale, lawsuits can be served on a former agent or at an old address and never reach you. Annual report reminders and state tax notices go missing the same way.
What Happens If You Don’t Update
The Secretary of State can begin proceedings to administratively dissolve a corporation that lacks a registered agent or office in the state, or that fails to report changes to either one. The state sends written notice first, and you get 45 days to fix the problem or show that the stated grounds don’t actually exist.9Oregon State Legislature. Oregon Code 60 – Private Corporations – Section: 60.651 If those 45 days pass without action, the entity is terminated.
Operating while dissolved creates real problems. You may lose the ability to enforce contracts, defend lawsuits, or access business bank accounts during the gap. Filing the Information Change form takes a few minutes; unwinding a dissolution takes months.
Federal Filings This Doesn’t Cover
Updating Oregon’s records doesn’t notify the IRS. If your business changes its mailing address, physical location, or the person responsible for the entity’s tax matters, file IRS Form 8822-B separately. Changes to the responsible party must be reported within 60 days.10Internal Revenue Service. About Form 8822-B, Change of Address or Responsible Party – Business A new EIN is generally not required unless the entity’s organizational structure itself has changed; simply swapping officers or managers doesn’t trigger one.
As of March 2025, domestic companies are exempt from Beneficial Ownership Information reporting to FinCEN under the Corporate Transparency Act. The reporting requirement now applies only to foreign entities registered to do business in the United States.11Financial Crimes Enforcement Network (FinCEN).
