How to Dissolve a Corporation in California: Vote, Taxes, and Filings

To dissolve a corporation in California, you need a shareholder vote to wind up, a winding-up period during which you pay creditors and settle every tax account, and a Certificate of Dissolution filed with the Secretary of State once the corporation has nothing left to settle. The sequence matters. Filing out of order, skipping the Franchise Tax Board clearance, or distributing money to shareholders before creditors are paid can leave directors personally liable and keep the $800 annual franchise tax running against the corporation indefinitely.

Here is the full process, in the order it actually happens.

Get the Vote and Document It

A California corporation cannot dissolve without a formal vote. If shares have been issued, shareholders holding at least 50 percent of the voting power must approve winding up and dissolving.1California Legislative Information. California Corporations Code Section 1900 Usually the board adopts a resolution recommending dissolution first, then puts it to shareholders at a noticed meeting or through written consent.

If shares were never issued, a majority of the directors or incorporators can authorize dissolution without shareholder involvement.2California Secretary of State. California Stock Corporation – Certificate of Election and Certificate of Dissolution Either way, the vote goes in the corporate minutes or a written consent. That record matters if anyone later challenges the dissolution.

Shareholders who vote against dissolution have a right to demand the corporation or the other shareholders buy their shares at fair value, and a price dispute can send the parties into a court-supervised appraisal.3California Legislative Information. File the Certificate of Election (Or Skip It)

What you file next depends on whether every shareholder voted yes.

If the vote was not unanimous, file a Certificate of Election to Wind Up and Dissolve (Form ELEC STK) with the Secretary of State promptly after the vote. If every shareholder voted to dissolve, skip the ELEC STK. You will note the unanimous vote on the Certificate of Dissolution (Form DISS STK) at the end of the process.2California Secretary of State. California Stock Corporation – Certificate of Election and Certificate of Dissolution

There is a shortcut for corporations that never really operated. A Short Form Dissolution Certificate (Form DSF STK) lets a corporation dissolve in a single filing if it has no outstanding debts, has not conducted business, and has returned any payments received from investors.5California Secretary of State. Short Form Dissolution Certificate – Form DSF STK If any of those statements would be untrue, you have to use the standard process.

Wind Up the Business

Between the vote and the final certificate, the corporation is in a winding-up period. The board keeps full authority, but the corporation must stop doing regular business. The only activity allowed is what is needed to close things out: collecting what’s owed, selling assets, and paying obligations.6California Legislative Information. Send written notice of the winding-up to every shareholder who did not vote in favor and to every known creditor.6California Legislative Information. California Corporations Code Section 1903 The creditor notice should identify the corporation, state that it is dissolving, and set a claim deadline of at least 120 days from the notice date. A creditor who receives proper notice and misses the deadline may be barred from collecting later.7Justia. California Corporations Code Section 12630-12637 – Chapter 16 Voluntary Dissolution

There is no fixed length to the winding-up period. It runs as long as it takes to clear debts, resolve claims, finish tax filings, and get to a final distribution. Cancel business licenses, permits, and fictitious business names with local agencies while you are at it; those keep generating renewal notices otherwise.

Clear California Taxes

This is where most dissolutions stall. No dissolution finishes until the Franchise Tax Board signs off.

Franchise Tax Board

File a final California Corporation Franchise or Income Tax Return (Form 100) covering the period from the start of the tax year through the date operations cease, and check the dissolution box on Form 100, Side 1, Question A. Even if the corporation earned nothing in its final year, it owes the $800 minimum franchise tax unless a specific exemption applies. After the final return, obtain a tax clearance certificate from the FTB. The Secretary of State will not accept the Certificate of Dissolution without it.9Cornell Law Institute. California Code of Regulations Title 18 Section 23334 – Tax Clearance Certificate The FTB will look at the corporation’s full filing history, so any past-due returns or balances have to be resolved first.

If the Corporation Is Suspended

A corporation that has been suspended by the FTB cannot legally dissolve until it returns to good standing. Revival requires filing all past-due returns, paying all outstanding balances and penalties, and submitting an Application for Certificate of Revivor (Form FTB 3557 BC).10Franchise Tax Board. Employment Development Department

If the corporation had employees, file a final payroll tax return, final wage report, and final payroll tax deposit with the EDD within 10 days of closing, regardless of when those reports would normally be due.11Employment Development Department. Sales and Use Tax

Corporations that collected sales tax file a final Sales and Use Tax Return with the California Department of Tax and Fee Administration. The final return has to include all sales through the closing date, any sale of furniture, fixtures, or equipment during the closure, and any inventory kept for personal use. Handle the Federal Filings

The IRS runs on its own timetable, and one of its deadlines is easy to miss.

Form 966 Within 30 Days of the Vote

Within 30 days of adopting the resolution to dissolve, file IRS Form 966, Corporate Dissolution or Liquidation, with a certified copy of the resolution attached. If the resolution is later amended, file another Form 966 within 30 days of the amendment.13Internal Revenue Service. Final Form 1120

File a final Form 1120 by the 15th day of the fourth month after the dissolution date, and check the “Final return” box.14Internal Revenue Service. Instructions for Form 1120 The return covers income and deductions through the dissolution date.

Deactivating the EIN

The IRS cannot cancel an EIN, but it will deactivate the account once all federal returns are filed and any balances paid. Send a letter with the corporation’s EIN, legal name, address, and the reason for closing. Pay Creditors, Then Distribute What’s Left

The order of payment during winding up is fixed:

  • Secured creditors get paid first from the collateral securing their claims.
  • Unsecured creditors come next: vendors, landlords, service providers, anyone else owed money without collateral.
  • Legal judgments and contingent obligations have to be resolved or adequately provided for.
  • Shareholders receive distributions only after all creditors are satisfied, based on ownership percentages and the rights attached to their share class.

If the corporation has multiple stock classes, distributions follow the liquidation preferences in the articles of incorporation. Preferred shareholders with liquidation rights typically receive their stated value before common shareholders see anything.

When a shareholder can’t be located or refuses a distribution, deposit the funds with the California State Controller in trust for the missing owner. File the Certificate of Dissolution

Only after winding up is done — debts paid or provided for, assets distributed, tax clearance in hand — do you file the Certificate of Dissolution (Form DISS STK) with the Secretary of State. A majority of the remaining directors must sign and verify it, confirming that all known debts have been paid or provided for and all known assets have been distributed.17California Legislative Information. There is no filing fee for the Certificate of Dissolution.2California Secretary of State. Once the filing is accepted, the corporation’s legal powers, rights, and privileges cease.17California Legislative Information. California Corporations Code Section 1905 Errors or omissions get the filing rejected and returned for correction.

Where Directors Get Personally Exposed

Distributing corporate assets to shareholders before all creditors are paid, or adequately provided for, can make every director who approved the distribution personally liable. The Certificate of Dissolution requires directors to certify under penalty of perjury that debts have been satisfied, so signing it with outstanding obligations is a real problem.17California Legislative Information. Creditors can also unwind transfers under California’s Uniform Voidable Transactions Act. A transfer is voidable if the corporation made it with intent to hinder or defraud creditors, or if the corporation received less than fair value and was insolvent at the time or became insolvent as a result.20California Legislative Information. Loose Ends After Dissolution

Records need to survive the corporation. Federal employment tax records must be kept for at least four years after the tax was due or paid.21Employment Development Department. Changes to Your Business Corporate books, financial statements, tax filings, shareholder minutes, contracts, and creditor settlement records are commonly held for at least seven years, aligning with typical statutes of limitations for tax and contract disputes.

Assign or transfer intellectual property (trademarks, patents, copyrights) before or during winding up. If you let those rights lapse without transferring them, they can become unenforceable or fall into the public domain. Designate a person, often a former officer, to store records and respond to post-dissolution inquiries from former employees, creditors, or government agencies.

If the corporation had 20 or more employees and a group health plan, COBRA rules apply to the termination. Notify the plan within 30 days of the qualifying event, and if the corporation stops maintaining any group health plan entirely, notify covered individuals as soon as practicable that COBRA coverage is terminating early, with the termination date and reason.22U.S. Department of Labor.
