How to File a DBA in Missouri: Corp 56 Form, Fees, and Penalties

To file a DBA in Missouri, submit Form Corp 56 (Registration of Fictitious Name) to the Secretary of State, either through the online business portal or by mail, with a $7.00 filing fee. Missouri law calls a DBA a “fictitious name,” and you must register within five days of starting to do business under it.1Missouri Revisor of Statutes. Another business can register the same or a similar name. Brand ownership comes from a federal trademark, not a Missouri DBA.

What the Corp 56 Form Asks For

The registration form requires three categories of information set by statute:1Missouri Revisor of Statutes. Missouri Revised Statutes 417.210 – Registration, When and How

  • The exact fictitious name you want to register.
  • The physical business address. A street address is required; a P.O. Box can supplement it but cannot replace it.4Missouri Secretary of State. Corp 56 – Registration of Fictitious Name

Ownership percentages are optional in most cases. The one situation where you must list exact percentages: if any owner wants to claim they are not jointly and severally liable for the business’s debts, the registration has to show every owner’s share.1Missouri Revisor of Statutes. What a Missouri DBA Does Not Do

A fictitious name registration is a transparency tool. It creates a public record linking a trade name to its actual owners. It does not give you ownership of the name or stop anyone else from using it. Brand protection comes from a federal trademark through the U.S. Patent and Trademark Office, which is a separate process.10USPTO. How Trademarks and Trade Names Differ It also cuts the other direction: if someone already holds a federal trademark on your chosen name, Missouri approving your DBA will not shield you from an infringement claim.11Office of the Law Revision Counsel. 15 USC 1125 – False Designations of Origin, False Descriptions, and Dilution Forbidden A quick search of the USPTO trademark database before filing is worth the time.

What the certificate does help with is banking. Federal banking rules let banks use your fictitious name certificate to verify the identity of a sole proprietorship when opening an account under the trade name.12FinCEN. FAQs: Final CIP Rule Without the certificate, most banks will refuse.

Penalty for Skipping Registration

Doing business under a fictitious name without registering it is a misdemeanor in Missouri.13Missouri Revisor of Statutes. Missouri Revised Statutes 417.230 – Penalty for Failure to Register Beyond the criminal classification, an unregistered business runs into practical problems: trouble enforcing contracts, no bank account in the business name, and no public record tying you to the brand. For $7.00 and a short form, the registration is the simpler path.
