When the Report Is Due

If your LLC was formed or authorized during the current calendar year, you owe nothing this year. Your first report is due between January 1 and May 1 of the following year. What It Costs

File on or after May 2 and a $400 penalty is added, bringing the total to $538.75. The Division of Corporations has no authority to waive or reduce this fee, even if you never received a notice.4Florida Department of State – Division of Corporations. Two optional charges to know about:
- A Certificate of Status, which is the state’s official confirmation your LLC is active and in good standing, can be added to your filing for $5. What to Gather Before You File
Have everything below in front of you before you log in. The whole filing takes about five minutes when you’re prepared.
Document number. The 6- or 12-digit number the Division of Corporations assigned when your LLC was formed or registered.6Division of Corporations – Florida Department of State. Registered agent. Every Florida LLC must maintain a registered agent with a physical street address in Florida. The report shows the current agent, and you can change agents through the filing. Manager or member names and addresses. The report must list current names and street addresses of all managers (if manager-managed) or members (if member-managed). Filing Online Through Sunbiz
The report is filed through the Sunbiz portal. Here’s how it goes:
- Open the Sunbiz Annual Report filing portal and enter your document number.
- The form loads with your existing information. Walk through every field and correct anything that’s changed since last year.
- Confirm the registered agent, or enter new agent details and get the required acceptance.
- Review the summary screen before paying. Corrections after submission cost $50.
- Pay and submit. The portal accepts Visa, Mastercard, American Express, and Discover credit cards; debit cards carrying a Visa or Mastercard logo; a pre-established Sunbiz E-file account; or check or money order. - Save the PDF confirmation as soon as it appears. An email confirmation also goes to the address on file once the report posts.

Fixing a Mistake After You Submit
If you catch a typo or wrong address after submitting, file an amended annual report through the same Sunbiz portal. The fee is $50, and the process mirrors the original filing: pull up your record, make the corrections, and pay. What Happens If You Miss the Deadline
The consequences escalate on a fixed timeline, and none of them are gentle.
After May 1. The $400 late fee attaches immediately. You can still file late and keep your LLC active, but you’ll pay $538.75 instead of $138.75.4Florida Department of State – Division of Corporations. Annual Report Overview and Filing Instructions
Third Friday of September. With no report filed, your LLC is flagged for administrative dissolution.1Florida Department of State. File Annual Report – Division of Corporations
Fourth Friday of September. The dissolution becomes effective at close of business. Your LLC is no longer in active status.
An administratively dissolved LLC can only perform activities tied to winding down: settling debts, distributing assets, notifying creditors. It cannot conduct normal business. It also loses the ability to file or defend any lawsuit in Florida courts until the report is filed and all outstanding fees are paid.2Florida Senate. Being sued and discovering your LLC can’t respond because it was dissolved over a missed $138.75 filing is not a position you want to be in.
Reinstating a Dissolved LLC
If your LLC has already been administratively dissolved, you can apply for reinstatement at any time. There’s no deadline that closes the door, but the cost grows each year you wait.

Two years dissolved runs $100 plus $277.50, or $377.50 total. Three years runs $516.25. The math is the reason filing the $138.75 report on time is the cheapest option every year.
Once the Division approves the application and payment clears, the reinstatement takes effect retroactively to the date of dissolution. Legally, it’s as if the dissolution never happened, and your LLC can resume normal business.10Florida Senate.
