To file an Oklahoma corporate income tax return, a C-corporation submits Form 512 electronically through the Oklahoma Taxpayer Access Point (OkTAP), pays a flat 4% on its Oklahoma taxable income, and meets a deadline that falls 30 days after the federal due date. For calendar-year filers, that puts the Oklahoma return at May 15 rather than April 15. If the expected tax liability for the year reaches $500 or more, quarterly estimated payments are required along the way.
Which Corporations Have to File
Any corporation doing business in Oklahoma or earning income from Oklahoma sources must file Form 512, even if no tax ends up owed.1Oklahoma Tax Commission. 2025 Oklahoma Corporation Income Tax Forms and Instructions That reaches corporations headquartered in other states if they have nexus here, typically through an office, employees, or property in Oklahoma. Having nexus triggers the filing obligation regardless of whether the Oklahoma activity produced a profit.
S-corporations file a different return, Form 512-S, and should not use Form 512.2Oklahoma Tax Commission. 2025 Oklahoma Small Business Corporation Income Tax Forms and Instructions S-corporations are generally not taxed at the entity level, with one catch: if a shareholder is a nonresident, the S-corporation owes tax on that shareholder’s portion of Oklahoma income unless the nonresident files an agreement to report and pay the tax individually.3Cornell Law Institute. Oklahoma Administrative Code 710:50-21-1 – Subchapter S Corporations and 512S Oklahoma Returns
One obligation that no longer exists: Oklahoma repealed its franchise tax effective for tax year 2024, so corporations do not file a franchise tax return for 2026 or pay that levy. Foreign corporations registered in the state still owe a $100 annual registered agent fee on Form FRX-200-R, due July 1.
What You Need Before You Start
Before opening Form 512, gather your Federal Employer Identification Number, your Oklahoma account number, the completed federal return, and the supporting schedules the state return will draw on, including depreciation schedules and the corporation’s balance sheet. Multi-state corporations should finish their apportionment calculations first, since the apportioned Oklahoma income flows directly into the main form.
Credit certificates and other supporting documentation stay in your files rather than going in with the return, but keep them accessible in case the Tax Commission asks for them later. The full Form 512 packet with line-by-line instructions is on the Oklahoma Tax Commission website.
Figuring the Tax
Oklahoma applies a flat 4% rate to the taxable income of every corporation doing business in or earning income from the state.4Justia. Oklahoma Code 68-2355 – Tax Imposed – Classes of Taxpayers That rate replaced the prior 6% for tax years beginning after December 31, 2021.
The starting point is federal taxable income from the corporation’s federal return, specifically the amount before the net operating loss deduction and special deductions line.5Cornell Law Institute. Oklahoma Administrative Code 710:50-17-50 – Computation of Income Attributable to Oklahoma From there, specific Oklahoma additions and subtractions apply. Some income excluded federally may need to be added back; some federally taxed amounts may be subtracted. Bonus depreciation requires its own Oklahoma reporting. The Form 512 instructions walk through each modification.
Apportionment for Multi-State Corporations
If the corporation operates in more than one state, only a share of total income is subject to Oklahoma tax. The state uses a three-factor formula averaging property, payroll, and sales within Oklahoma.6Cornell Law Institute. Oklahoma Administrative Code 710:50-17-71 – Apportionment Formula Factors When fewer than three factors are present (meaning a factor has no denominator), the formula drops to two factors or one.1Oklahoma Tax Commission. 2025 Oklahoma Corporation Income Tax Forms and Instructions A mistake here moves the entire Oklahoma liability, so it pays to work the apportionment schedules carefully before filling in the main form.
When the Return Is Due
Oklahoma corporate returns are due 30 days after the federal due date set by the Internal Revenue Code.1Oklahoma Tax Commission. 2025 Oklahoma Corporation Income Tax Forms and Instructions For a calendar-year C-corporation, the federal deadline is April 15, so the Oklahoma deadline is May 15. Fiscal-year filers use the same rule: take the federal deadline (the 15th day of the fourth month after year-end) and add 30 days.
When no Oklahoma tax is owed, an approved federal extension automatically extends the Oklahoma filing deadline; attach a copy of the federal extension to the Oklahoma return.1Oklahoma Tax Commission. 2025 Oklahoma Corporation Income Tax Forms and Instructions If additional Oklahoma tax is owed, or you have no federal extension, request more time on Form 504.7Oklahoma Tax Commission. Oklahoma Form 504 – Application for Extension of Time to File an Oklahoma Income Tax Return An extension buys time to file. It never extends the time to pay. Any balance owed must be paid by the original due date to avoid interest and penalties.
Estimated Tax Payments During the Year
Corporations expecting an Oklahoma income tax liability of $500 or more for the year must file a declaration and pay quarterly estimated tax.8Oklahoma Tax Commission. Oklahoma Corporate, Fiduciary and Partnership Estimated Tax If the expected liability is under $500, estimated payments are optional and the tax can be paid when the return is filed.
Calendar-year installments are due April 15, June 15, September 15, and January 15 of the following year. Fiscal-year filers follow the same pattern relative to their year-end. To avoid an underpayment interest charge, combined estimated payments and withholding have to equal the smaller of 70% of the current year’s tax or 100% of the prior year’s tax.9Oklahoma Tax Commission. Pay Taxes Falling short of both safe harbors triggers interest at 20% per year on the shortfall, calculated from each quarterly due date. No underpayment interest applies if the total tax on the return is less than $1,000.
Submitting the Return
Oklahoma requires corporation income tax returns to be filed electronically under Oklahoma Administrative Code Rule 710:50-17-1.1Oklahoma Tax Commission. 2025 Oklahoma Corporation Income Tax Forms and Instructions The Oklahoma Taxpayer Access Point (OkTAP) is the state’s online portal for filing returns and making payments.10Oklahoma Tax Commission. Help Center: OkTAP Most commercial tax preparation software also supports Oklahoma e-filing.
When mailing a payment separately, send it to the Oklahoma Tax Commission at PO Box 26890, Oklahoma City, OK 73126-0890, and do not include a copy of the return with the mailed payment. Electronic submissions produce a confirmation number worth saving. OkTAP also lets you track filing status and surface any follow-up correspondence from the Tax Commission.
Penalties for Filing or Paying Late
Tax that remains unpaid more than 30 days after becoming delinquent picks up a 10% penalty on the total delinquent amount.11Justia. Oklahoma Code 68-217 – Interest and Penalties on Delinquent Taxes The Tax Commission waives that penalty if the tax plus accrued interest is paid within 60 days of a proposed assessment, or if the corporation voluntarily pays through an amended return.
Ignoring a written demand from the Tax Commission is worse. Negligence or failure to file after a demand carries a 25% penalty on the assessment, and fraud brings a 50% penalty on top of the deficiency plus interest.11Justia. Oklahoma Code 68-217 – Interest and Penalties on Delinquent Taxes Filing on time and paying what you can is almost always cheaper than waiting for the state to act.
