How to File Articles of Dissolution in Oklahoma: Forms, Taxes, Wind-Up

To file Articles of Dissolution in Oklahoma, submit the correct form to the Secretary of State with the $50 filing fee: Form 0080 for an LLC, Form 0019 (Certificate of Dissolution) for a for-profit corporation, or Form 0007 for a nonprofit at a $25 fee.1Oklahoma Secretary of State. Business Forms The filing itself is straightforward. The work around it is where most owners trip.

Get the Entity in Good Standing First

The Secretary of State will not accept a dissolution filing from a delinquent entity. For corporations, that means annual certificate fees and franchise taxes have to be current. Clear any outstanding balances before you submit anything. The Oklahoma Tax Commission may also require tax clearance confirming no state tax liabilities are open.

Check for pending lawsuits and unresolved claims too. A court can block or reverse a dissolution if it looks like the entity is trying to dodge litigation. Outstanding leases or vendor contracts deserve the same attention; dissolving while still bound by them can create breach-of-contract exposure for owners personally.

Approve the Dissolution Internally

Corporations

Oklahoma corporations follow a two-step approval process under Title 18, Section 1096. The board of directors adopts a resolution by majority vote of the entire board at a meeting called for that purpose, then notifies each shareholder entitled to vote. At the shareholder meeting, dissolution passes if a majority of the outstanding stock entitled to vote approves it.2Justia. Oklahoma Code 18-1096 – Dissolution Procedure

There is a shortcut. If every shareholder entitled to vote consents in writing, the board resolution step can be skipped entirely.2Justia. Oklahoma Code 18-1096 – Dissolution Procedure Closely held corporations use this often. Either way, document the decision in formal minutes or a written consent. You need the paperwork for the filing and for your own records.

LLCs

LLC dissolution falls under Title 18, Section 2037, and the default rule surprises people: unless the operating agreement sets a different procedure, dissolution requires the written consent of all members. Unanimous, not a majority.3Justia. Oklahoma Code 18-2037 – Dissolution A well-drafted operating agreement can lower the threshold, so read yours first. A single-member LLC only needs the one member’s decision.

Complete and File the Correct Form

Form numbers vary by entity type, and the wrong form will be rejected.

  • For-profit corporations file a Certificate of Dissolution on Form 0019 with a $50 fee.
  • Nonprofit corporations file a Certificate of Dissolution on Form 0007 with a $25 fee.
  • LLCs file Articles of Dissolution on Form 0080 with a $50 fee.

All three forms are available as PDFs from the Secretary of State’s website and through the online filing portal.1Oklahoma Secretary of State. Business Forms

For a corporation, the certificate must include the corporation’s name, the date dissolution was authorized, a statement confirming board and shareholder approval (or that all shareholders consented in writing), the names and addresses of all directors and officers, and the date the original certificate of incorporation was filed with the Secretary of State.2Justia. Oklahoma Code 18-1096 – Dissolution Procedure Check the entity name against your original filing and confirm the formation date before you submit. Errors in any of these fields will get the filing bounced.

LLCs should indicate whether dissolution followed the operating agreement or came from member consent. The form also asks whether debts and liabilities have been settled or adequately provided for. Corporations that issued shares must address how remaining assets will be distributed.

How to Submit

You can file by mail, in person at the Oklahoma City office, or through the online filing system. Online submissions process faster and accept credit or debit card payment. Mail and in-person filings need a check or money order payable to “Oklahoma Secretary of State.”1Oklahoma Secretary of State. Business Forms All fees are non-refundable. Certified copies cost extra, and a Certificate of Good Standing confirming compliance at dissolution can be useful if a creditor or counterparty asks for proof.

Notify Creditors Before Distributing Anything

Oklahoma law gives dissolving entities a structured way to cut off creditor claims, and skipping it is one of the most common and costly mistakes. Under Title 18, Section 1100.1, a dissolved corporation or its successor must send written notice to known creditors with a deadline for submitting claims that is no earlier than 60 days from the date of the notice.4New York Codes, Rules and Regulations. Oklahoma Code 18-1100.1 – Notice to Claimants Filing of Claims Any known creditor who receives proper notice and does not file by the deadline is barred from collecting later.

Skip the formal notice procedure and former owners can face personal liability for debts that surface after dissolution. The entity cannot distribute remaining assets to shareholders until at least 150 days after the last notice of claim rejection is sent.5Justia. Oklahoma Code 18-1100.2 – Payment and Distribution to Claimants and Shareholders Dividing up cash before that window closes exposes everyone involved.

IRS Form 966

Beneficial Ownership Information

If your company existed as a legal entity at any point on or after January 1, 2024, it must file a Beneficial Ownership Information report with FinCEN, even if it has already dissolved. Companies created or registered in 2025 or later must file within 30 days of creation. Once the initial BOI report is in, a dissolved company has no obligation to file an update reporting its dissolution.10FinCEN. Frequently Asked Questions

Close Your Oklahoma Tax Accounts Separately

Filing with the Secretary of State does not close your tax accounts. The Oklahoma Tax Commission operates independently, and an open account means the state keeps expecting returns.

File final state returns for every tax your business collected or owed: sales tax, corporate income tax, withholding tax. For withholding specifically, mark the final return as “Final Return” and include a written statement with the date of the last wage payment, the address where records will be kept, the name of the person keeping them, and the name and address of any buyer if the business was sold.11Cornell Law Institute. Oklahoma Administrative Code 710-90-3-19 – Inactivating or Closing an Account Cancel sales tax permits by filing a final sales tax return and requesting cancellation.

State, county, and municipal licenses need their own cancellations. Alcoholic beverage licenses go back to the Oklahoma ABLE Commission. Professional licenses held by the entity go to the relevant board. Local business licenses and occupational permits typically run through the city clerk’s office or the county. Leave these open and you may keep getting renewal invoices and compliance notices at an address nobody is watching.

The Three-Year Wind-Up Period

A dissolved Oklahoma corporation continues to exist as a legal entity for three years after dissolution, for the limited purpose of settling its affairs. During that period it can prosecute and defend lawsuits, dispose of property, pay off liabilities, and distribute remaining assets. It cannot keep running the business.

Any lawsuit filed by or against the corporation before or within three years of dissolution survives beyond the window until fully resolved, without a special court order. If the affairs are complex enough to need more than three years, a district court can extend the wind-up at its discretion and can appoint directors as trustees or outside receivers to manage remaining property and debts.

Former owners and officers are not truly free of the entity’s legal exposure until this period runs out and all obligations are settled.

Employees and Records

If your business has 100 or more full-time employees, the federal WARN Act requires at least 60 calendar days’ advance written notice before a worksite closing that affects 50 or more workers.12U.S. Department of Labor. Worker Adjustment and Retraining Notification Act Frequently Asked Questions Smaller employers still need to meet Oklahoma wage-payment timing rules on final paychecks and issue W-2s for the final year.

Keep records after you close. The IRS can audit returns for three years after filing, six years if substantial income was underreported, and there is no time limit for fraud. Seven years of tax returns and supporting documents covers most situations. Employment and payroll records should be kept at least four years after the final payroll tax becomes due or is paid, whichever is later. Keep corporate governance records, including the articles of incorporation, meeting minutes, and the dissolution resolution, indefinitely. Name a records custodian and include that person’s name and address in your final withholding tax filing with the Tax Commission.11Cornell Law Institute.
