To file for an LLC in Oklahoma, you submit Articles of Organization (Form 0007) to the Oklahoma Secretary of State and pay a $100 filing fee. Online filing takes about 15 minutes and is usually processed within a few business days. After the state approves your formation, you still need a federal tax ID, possibly a state tax account, and an annual certificate every year to keep the company active.
Pick a Name That Will Clear the State’s Review
Your LLC’s name has to be distinguishable from every other business already on file with the Secretary of State, including corporations, limited partnerships, other LLCs, and registered trade names. Adding a word like “and” or a suffix like “Inc.” does not make a name distinguishable, and the state will reject a filing that only differs that way.1Justia Law. Oklahoma Code Title 18 Section 2008 – Name of Company – Restrictions
The name must end with “Limited Liability Company,” “L.L.C.,” or “LLC.” Terms that signal a different structure, such as “Corporation,” “Incorporated,” or “Ltd.,” are not allowed. Check availability through the Secretary of State’s online business database, by calling (405) 521-3912, or in person.
Not ready to file yet? You can reserve a cleared name for 60 days by submitting a name reservation and paying $10.
Appoint a Registered Agent
Every Oklahoma LLC needs a registered agent to receive lawsuits and official state notices. The agent must keep a physical Oklahoma office that is open during regular business hours. A P.O. box does not qualify.2Justia Law. Oklahoma Code Title 18 Section 2010 – Registered Office and Agent
An individual agent must be an Oklahoma resident. A business entity can serve if it is a domestic company or a foreign entity authorized to operate in the state. You can name yourself, a friend, or a family member, but the agent’s name and address go on the public record, and they must actually be reachable during the day.
Commercial registered agent services typically run $100 to $150 per year. They keep your home address off public filings, cover you when you travel, and make it easier to register the LLC in other states later.
File the Articles of Organization
The Articles of Organization is the document that creates your LLC. Oklahoma uses Form 0007, filed electronically through the Secretary of State’s online portal or on paper by mail or in person at the Oklahoma City office.3Oklahoma.gov. Register Your Business
The form asks for:
- The full legal name of the LLC, including the required “LLC” or “Limited Liability Company” designator.
- The name and physical Oklahoma address of your registered agent.
- The principal place of business. This does not have to be in Oklahoma, as long as your registered agent is.
- Duration. Most filers choose “perpetual,” meaning the company continues indefinitely.4Justia. Articles of Organization – Section: Procedures for Organizing an Oklahoma Limited Liability Company
- Management structure: whether members (owners) will run the company or appointed managers will.
- An email address. The state sends annual certificate reminders only by email, so use one you check.
At least one person signs as the organizer. The organizer handles the filing but does not automatically become a member or acquire any ownership in the LLC.4Justia. Articles of Organization – Section: Procedures for Organizing an Oklahoma Limited Liability Company
Fees and Processing Time
The filing fee is $100. Online filers also pay about $4 for the digital transaction.3Oklahoma.gov. Register Your Business For paper filings, include a check or money order payable to the Secretary of State. Online filings are generally processed within a few business days; mail takes longer. Once approved, you get a file-stamped copy or certificate of organization, which serves as proof of your LLC’s existence for banking, licensing, and other purposes.
A Note on Licensed Professions
If you are a licensed professional such as a lawyer, doctor, or accountant, Oklahoma may require a Professional Limited Liability Company (PLLC) instead of a standard LLC. A PLLC adds requirements, including a certification that each member holds the appropriate professional license. Check with your licensing board before filing.
Get an Employer Identification Number
Once the LLC exists, apply for an Employer Identification Number (EIN) from the IRS. It is the federal tax ID you will use to open a business bank account, hire employees, and file federal taxes.5Internal Revenue Service. Get an Employer Identification Number
Applying is free at IRS.gov. The online form takes a few minutes and issues your EIN immediately. The LLC must already be formed with the state, and you will need the Social Security number or Individual Taxpayer Identification Number of the person responsible for the business. Finish in one sitting: the session times out after 15 minutes of inactivity, and only one EIN per responsible party is issued per day.
By default, the IRS treats a single-member LLC as a “disregarded entity,” passing business income through to your personal return. A multi-member LLC is treated as a partnership. Either can elect corporate tax treatment by filing Form 8832, though most small-business owners stay with the default pass-through.6Internal Revenue Service. Single Member Limited Liability Companies
Write an Operating Agreement
Oklahoma does not require an operating agreement, and the state will not penalize you for skipping it. But operating without one can weaken the legal separation between you and your business, which puts your personal assets at greater risk.7U.S. Small Business Administration. Basic Information About Operating Agreements
A workable agreement covers ownership percentages, how profits and losses get distributed, voting rights, the duties of members or managers, and what happens when someone wants to leave or dies. Once every member signs, it functions as a binding contract among them. Even a single-member LLC benefits from one, because it documents that the business runs as a separate legal entity rather than an extension of the owner’s finances.
Register with the Oklahoma Tax Commission
Forming the LLC with the Secretary of State does not register you for state taxes. If the business will collect sales tax, hire employees, or owe other state-level taxes, register separately with the Oklahoma Tax Commission through its new business portal.8Oklahoma.gov. New Business Center
Common registrations:
- Sales and use tax permit, if you sell taxable goods or services in Oklahoma.
- Withholding tax account, if you have employees and need to withhold state income tax from wages.
Hiring employees also means registering for unemployment insurance with the Oklahoma Employment Security Commission. Depending on where you operate, you may need to contact the county assessor’s office for ad valorem (property) tax purposes.
File an Annual Certificate to Stay in Good Standing
Every Oklahoma LLC files an annual certificate with the Secretary of State and pays $25. The certificate is due each year on the anniversary of the date your Articles of Organization were filed. File on March 15, and every March 15 after is your due date.9Justia Law. Oklahoma Code Title 18 Section 2055.2 – Annual Certificate for Domestic Limited Liability Company and Foreign Limited Liability Company
The certificate confirms the LLC is still active and updates your principal place of business on file. The Secretary of State sends a single reminder to the email address listed in your Articles, so keep that address current.
Miss the deadline by more than 60 days and the LLC loses good standing. Continued noncompliance leads to administrative dissolution, which strips away the liability protection the LLC was supposed to provide. Reinstatement is available, but it means catching up on all missed filings and paying additional fees.
Federal Beneficial Ownership Reporting
You may have read that LLCs must report their beneficial owners to the U.S. Treasury’s Financial Crimes Enforcement Network (FinCEN) under the Corporate Transparency Act. A March 2025 interim final rule exempted all U.S.-formed entities, including Oklahoma LLCs, from that requirement. Only companies formed under foreign law and registered to do business in the United States currently have to file.10FinCEN. FinCEN Removes Beneficial Ownership Reporting Requirements for US Companies and US Persons Because this came through an interim rule rather than a permanent regulation, check FinCEN’s website periodically in case reporting is reinstated for domestic companies.
