When the Form Is Required
The Michigan Limited Liability Company Act lists the events that trigger an amendment. File CSCL/CD-715 when your LLC:2Michigan Legislature. Michigan Limited Liability Company Act
- Adopts a new legal name.
- Changes the purposes stated in its articles.
- Switches between member-managed and manager-managed.
- Alters a maximum duration that was specified in the original articles.
- Needs to correct any statement in the articles that has become false or inaccurate.
An amendment can only contain provisions that would be lawful if you were filing brand-new articles today. You cannot use the form to insert terms that current Michigan law would not allow in original articles.4Michigan Legislature. Michigan Limited Liability Company Act
One boundary worth knowing before you start: if the only thing you need to update is your registered agent or registered office address, CSCL/CD-715 is the wrong form. Those changes go on the Certificate of Change of Registered Office/Agent, form CSCL/CD-520.1Michigan Department of Licensing and Regulatory Affairs. Limited Liability Company Changes
What Goes on the Form
Download the PDF from the LARA website or complete the form directly in the MiBusiness Registry Portal at michigan.gov/corpfileonline. The information requested is the same either way.5Michigan Department of Licensing and Regulatory Affairs. CSCL/CD 715 – Certificate of Amendment to the Articles of Organization
Begin with your LLC’s current legal name exactly as it reads in state records. A missing comma or a misspelled word can cause the Bureau to reject the filing. Add the identification number LARA assigned when the LLC was formed; if you don’t have it handy, the field can be left blank for the Bureau to look up. Then fill in the date your original Articles of Organization were filed.
The form has an open text area for the amendment itself. Write the change plainly. If you are renaming the LLC, spell out the new name in full. If you are switching to manager-managed, say so in those words. Vague descriptions slow review and invite correction notices.
If the amendment is a name change, the new name must be distinguishable from any active corporation, limited partnership, or LLC already on file. It also cannot include “corporation,” “incorporated,” “corp.,” or “inc.,” which are reserved for corporations.6Michigan Department of Licensing and Regulatory Affairs. Naming a Limited Liability Company You can search existing entity names on the MiBusiness Registry Portal before you file to confirm the name is available.
Who Signs
The right signer depends on how your LLC is managed. In a manager-managed LLC, a manager signs. In a member-managed LLC, a member signs. An authorized agent of the company may also sign on its behalf.5Michigan Department of Licensing and Regulatory Affairs. Expedited processing is useful when a closing, financing, or other transaction depends on proof of the amendment. For routine updates, standard processing is usually enough.
After You File
LARA reviews the filing for compliance with the Limited Liability Company Act. If the Bureau accepts it, you receive a filed copy of the Certificate of Amendment as your official record. If something is wrong — wrong signer, missing fee, unclear amendment language — the Bureau issues a notice describing what needs to be corrected, and you resubmit.
One related obligation sits outside LARA. If your LLC has a federal Employer Identification Number and the amendment also changes the responsible party for the entity’s tax matters, the IRS expects Form 8822-B within 60 days of that change. That filing goes directly to the IRS and is separate from anything you send to Lansing.
