Illinois Form LLC-5.25 is the Articles of Amendment a domestic LLC files with the Secretary of State to change information in its Articles of Organization. One form handles almost every kind of change — name, registered agent, principal address, managers, dissolution date, series authority, or any other provision in the original filing. The standard fee is $50, paid to the Department of Business Services in Springfield. Name changes can also be filed online through a separate portal at a higher cost.
What You Can Change With This Form

- LLC name. The new name must still include a proper designator: “Limited Liability Company,” “L.L.C.,” or “LLC.”2Illinois Secretary of State. Guide for Organizing Domestic Limited Liability Companies
- Adding or removing a manager (or a member with manager-level authority).
- Principal place of business or records office. A P.O. Box alone is not accepted; a physical street address is required.
- Registered agent or registered office.
- Setting, removing, or changing a dissolution date, or switching to perpetual duration.
- Establishing authority to issue series. This one carries a $300 fee instead of $50.
- Anything else in the Articles — a change to stated purpose, added governance provisions — filed under the “Other” box with written amendment language.
Filling Out the Form Section by Section
The form is a single page available as a PDF from the Secretary of State’s LLC publications page. It has five numbered sections.
Section 1: Current LLC Name
Enter the LLC’s name exactly as it appears on file. Search the Secretary of State’s business database first if you’re not sure how it’s recorded. A typo here can cause the amendment to hit the wrong record or get rejected.
Section 2: Effective Date
Either the amendment takes effect on the filing date, or on a specific later date you write in. A delayed effective date cannot be more than 30 days after the Secretary of State files the document.3Illinois General Assembly. 805 ILCS 180/5-25 – Articles of Amendment Most filers use the file date.
Section 3: The Amendment
Check the box that fits your change and fill in the details.
- Name change: write the new name (with designator) on the line provided.
- Manager change: full name, and a street address for a new manager.
- Address, registered agent, or registered office change: the new physical address, no P.O. Box or care-of.
- Other: draft the amendment language yourself in the blank space. What you write replaces or supplements the corresponding language in your original Articles, so be precise.
Section 4: Approval Statement
This is a pre-printed declaration that the amendment was approved under Section 5-25 of the Illinois Limited Liability Company Act.3Illinois General Assembly. 805 ILCS 180/5-25 – Articles of Amendment You don’t write anything, but the underlying vote or written consent — whatever your operating agreement requires — has to have happened before you sign.
Section 5: Signature
Sign, print your name, and state your title. The signer must be a manager, or if the LLC has no managers, a member.4Secretary of State. If another entity is a member or manager and you’re signing on its behalf, write that entity’s name on the line provided.
Filing Fees
The standard fee is $50, printed on the form. Two exceptions:

The statute requires filing in duplicate, so include two signed copies.3Illinois General Assembly. 805 ILCS 180/5-25 – Articles of Amendment Standard mail can take several weeks during busy periods.
In Person
You can hand-deliver the form to the same Springfield office. This is the usual route when you’re paying for expedited service on a paper filing, since expedited requests are reviewed within 24 hours of receipt, excluding weekends and holidays.
Online (Name Changes Only)
If the only change is the LLC’s name, you can file electronically through the Secretary of State’s online portal. Every other type of amendment still requires the paper form.4Secretary of State. After the State Approves the Filing
Once the Department of Business Services approves the filing, you’ll receive a stamped copy marked “filed.” Keep it with the LLC’s permanent records. Banks, lenders, and licensing agencies will ask to see it.
If You Changed the Name, Tell the IRS
A name change doesn’t require a new Employer Identification Number.7Internal Revenue Service. When to Get a New EIN You do have to notify the IRS. The easiest way is to check the “name change” box on your next tax return — Form 1065 for partnerships, or the relevant 1120 variant for LLCs taxed as corporations. If you’ve already filed for the year, send a written notice signed by an authorized representative to the IRS address where you filed.8Internal Revenue Service. Business Name Change
Update Everything Else
The state’s records don’t automatically sync with your bank, your contract counterparties, or your licensing agencies. Bring the stamped copy to your bank branch, revise invoices and payment instructions, and update any state or local licenses and permits that carry the old information. Existing contracts remain valid after a name change because the LLC is the same legal entity, though counterparties sometimes ask for a short written confirmation for their own files.
