To file Massachusetts Form 355U, the corporate combined report, the principal reporting corporation submits the return and its supporting U-series schedules electronically through MassTaxConnect. Paper submissions are not processed.1Massachusetts Department of Revenue. DOR E-filing and Payment Requirements The return reports the combined income of every corporation in a unitary business under common ownership, apportions that income to Massachusetts using a single sales factor, and calculates each member’s share of the tax.
Confirm the Group Has to File
A corporation is pulled into a combined report when two tests are both met: common ownership and a unitary business relationship with one or more other corporations.2Legal Information Institute. 830 CMR 63.32B.2 – Combined Reporting
Common ownership means more than 50 percent of the voting control of each member is directly or indirectly held by a shared owner, corporate or non-corporate, whether or not that owner is itself in the group.3General Court of Massachusetts. Massachusetts General Laws Chapter 63 Section 32B A parent with majority voting control over several subsidiaries is the usual pattern, but indirect chains count.
Unitary business is defined broadly. Two or more commonly owned corporations are unitary when their activities are sufficiently interdependent, integrated, or interrelated that they produce a significant sharing or flow of value between them, and the statute instructs the term be read as broadly as the U.S. Constitution allows.3General Court of Massachusetts. Massachusetts General Laws Chapter 63 Section 32B Centralized management, functional integration, and shared resources all point toward a unitary relationship.
Only one member of the group needs Massachusetts nexus to trigger a filing obligation. Business corporations, security corporations, and certain utilities can all be members. Partnership income flows through to a corporate partner’s share. Life insurance companies under IRC §816 and insurance companies taxed under IRC §831 are excluded, as are entities described in sections 38B and 38Y of Chapter 63 and certain entities taxed under sections 20 through 29E.3General Court of Massachusetts. Gather Your Data and Schedules
Form 355U is a shell. The work lives in the U-series schedules the Department of Revenue publishes each year with the form instructions.4Massachusetts Department of Revenue. 2025 Massachusetts Corporate Excise Tax Forms and Instructions Expect to prepare at least the following:
- Schedule U-M, reporting each member’s individual income and expenses. One per entity.
- Schedule U-CI, combining group income after eliminating intercompany transactions.
- Schedule U-E, calculating total Massachusetts unitary or affiliated group income.
- Schedule U-MSI, apportioning each member’s share.
- Schedule U-ST, computing each member’s tax separately.
- Schedule U-TM, totaling tax owed by all members.
- Schedules U-IC and U-CS, for individual and shared credits.
- Schedule U-NOLS, for net operating loss carryovers shared among members.
- Schedule U-MTI, for member income from sources outside the unitary business.
- Schedule CG, the combined reporting allocation schedule.
- Schedule DRE, disclosing disregarded entities.
- Schedules FE and TTP, for foreign entities and tax treaty positions.
- Schedule U-INS, documenting payments to insurance companies under common ownership.
Before you open the portal, pull together each member’s Federal Employer Identification Number, its federal Form 1120, and detailed records of every intercompany transaction: dividends, management fees, royalties, interest, and transfers of goods or services between members. The statute requires that all intercompany items be eliminated from combined income so the group does not report inflated or deflated profits from internal transfers.3General Court of Massachusetts. Massachusetts General Laws Chapter 63 Section 32B Collect each member’s net operating loss carryforwards and available credits too, since those feed member-specific schedules.
Calculate the Tax
The Massachusetts corporate excise has two parts: 8 percent of net income apportioned to Massachusetts, plus a property measure of $2.60 per $1,000 of the greater of taxable Massachusetts tangible personal property or taxable net worth.5Massachusetts Taxpayers Foundation. Corporate Tax Every taxable member owes at least the $456 minimum excise, even with no Massachusetts income.
Single Sales Factor Apportionment
For tax years beginning on or after January 1, 2025, all industries apportion income using a single sales factor. The Massachusetts-taxable percentage of combined income equals the group’s Massachusetts sales divided by its sales everywhere. Narrow exceptions pull property and payroll factors back in when the sales fraction is zero on both sides or when the denominator falls below 10 percent of one-third of taxable net income, and the commissioner can override the sales factor if it produces an insignificant result. For most groups, the sales factor is the only apportionment input.
Water’s Edge or Worldwide
If the group includes non-U.S. corporations, the principal taxpayer chooses between a water’s edge filing (domestic entities and limited foreign income) and a worldwide filing (all global affiliates). The choice is made in the form’s initial setup. A worldwide election binds the group for the year of election and the following nine taxable years — a full 10-year commitment. After that period, the group can revoke or renew on an original, timely filed return; if revoked, no new election can be made for the next three taxable years.3General Court of Massachusetts. Massachusetts General Laws Chapter 63 Section 32B
Submit the Return Through MassTaxConnect
You need a registered MassTaxConnect account linked to the group’s corporate excise obligation. From the Summary tab, find the corporate excise account. The current period due appears on the right; select “File Now” to open it. For a different period, click “View Returns” and then the hyperlink for the period you want.6Massachusetts Department of Revenue. Filing Returns in MassTaxConnect
The portal walks through each schedule in sequence, prompting entries for member income, apportionment, credits, and intercompany eliminations. When supplemental documents are needed, such as federal Form 1120 copies or credit claim detail, upload them as PDFs when prompted. After the last schedule, the portal shows a summary of calculated tax. Reconcile it against your internal workpapers before submitting. Submission produces a confirmation number; save or print it as proof of filing.
Paper is not an option. A return mandated for e-filing that is submitted on paper will not be processed, and the failure to e-file can carry a penalty of up to $100 per return or document.6Massachusetts Department of Revenue. Filing Returns in MassTaxConnect The bigger consequence is that the return effectively does not exist, which triggers late-filing penalties on top.
Pay the Balance
MassTaxConnect accepts electronic funds transfer (ACH debit from a business bank account) or credit and debit card payments. Card payments carry a third-party convenience fee: 2.39 percent for credit, 2.09 percent for debit.7Massachusetts Department of Revenue. Making Payments in MassTaxConnect On a six-figure liability the fee is substantial, so ACH is almost always the cheaper route. You authorize the debit and choose the withdrawal date.
Make Estimated Payments During the Year
If the group’s total excise will exceed $1,000, it owes quarterly estimated payments. Massachusetts front-loads the installments rather than using equal quarters:8Legal Information Institute. 830 CMR 63B.2.2 – Payments of Estimated Corporate Excise
- 40 percent by the 15th day of the 3rd month.
- 25 percent by the 15th day of the 6th month.
- 25 percent by the 15th day of the 9th month.
- 10 percent by the 15th day of the 12th month.
For calendar-year groups, that works out to March 15, June 15, September 15, and December 15. To avoid an underpayment penalty, total estimated payments must equal or exceed the lesser of 90 percent of the current year’s tax or 100 percent of the prior year’s tax, provided the prior year covered a full 12 months.8Legal Information Institute. 830 CMR 63B.2.2 – Payments of Estimated Corporate Excise
Extensions Give Time to File, Not to Pay
Massachusetts grants an automatic extension of time to file Form 355U. To qualify, the group must pay the greater of 50 percent of the total tax ultimately due or the $456 minimum excise per taxable member by the original filing deadline. Zero-dollar extension requests are not accepted; a payment has to accompany the request.9Massachusetts Department of Revenue. Massachusetts DOR Tax Due Dates and Extensions Any balance still unpaid after the original due date accrues interest and potentially penalties while the extension runs.
What Late or Wrong Costs
Late filing and late payment each carry a penalty of 1 percent per month, or fraction of a month, on the unpaid tax, up to a 25 percent cap.10Massachusetts Department of Revenue. Massachusetts Tax Penalty Rates A return that is both late-filed and late-paid can incur both. Interest accrues on unpaid tax at the federal short-term rate plus four percentage points, compounding from the original due date until the balance is paid.11Massachusetts Department of Revenue. Interest on Your Massachusetts Tax Underpayment or Overpayment
Underpayment of estimated tax triggers an addition to tax at the rate set under M.G.L. c. 62C, §32, applied to the shortfall for the period it stayed unpaid.8Legal Information Institute. 830 CMR 63B.2.2 – Payments of Estimated Corporate Excise Because the first installment is 40 percent of the annual liability, missing March produces the largest exposure of the four quarters.
