Who Has to File Form 2643
Any business selling tangible goods at retail in Missouri, collecting use tax on out-of-state purchases, or employing workers subject to state income tax withholding needs to register. That covers corporations, LLCs, partnerships, and sole proprietorships. The same form handles new registrations, ownership changes, and requests to add a tax type to an existing account.
Remote sellers aren’t off the hook. If your gross receipts from taxable sales shipped into Missouri exceed $100,000 in a calendar year, you must collect and remit vendor’s use tax, which means registering with Form 2643.4Missouri Department of Revenue. What to Gather Before You Start
The Department won’t process an incomplete application, so pull these items together first:1Missouri Department of Revenue. Missouri Tax Registration Application
- Your Federal Employer Identification Number. If you don’t have one, apply with the IRS at irs.gov or by calling 1-800-829-4933 before starting the Missouri form.
- Social Security numbers, home addresses, and birthdates for every owner, officer, partner, or member.
- Your legal business name, matching Secretary of State or federal records exactly.
- Your NAICS code describing your primary business activity.
- Physical address for each business location, with the date activity started at each.
- Estimated monthly sales and estimated monthly wages. The Department uses these to set your filing frequency, so keep them realistic.
The form also has a “Reason for Application” section where you indicate whether you’re starting a new business, changing ownership, or adding a tax type, and then you check boxes for the specific tax accounts you need. Selecting the wrong reason is a common cause of rejection, so read the choices before marking one.
The Responsible Party Section
Read the responsible parties section carefully. The people named there are who Missouri will hold personally accountable if the business fails to pay. Sole proprietors and partners are individually liable for all taxes owed. For corporations and LLCs, any person who controls collected sales tax funds and fails to turn them over to the state can face personal liability. When officers change or ownership shifts, update this section promptly; outdated listings don’t excuse anyone from the obligation.
Whether You Need a Bond
Missouri law lets the Department of Revenue require a security bond from businesses getting a retail sales tax license.5Missouri Revisor of Statutes. Missouri Code 144.087 – Retail Sales Licensee, Bond Given, When The Department requests bonds case by case rather than from every applicant.6Missouri Department of Revenue. Sales and Use Tax and Transient Employer Bond Information One exception: itinerant or temporary businesses, such as vendors at fairs, festivals, or pop-up events, must always post a bond before selling at retail.
The bond amount is capped at three times your estimated average monthly tax liability for new applicants, or three times the actual twelve-month average for existing businesses.5Missouri Revisor of Statutes. What Happens After You File
Missouri law gives the Department ten working days to issue a retail sales license after it receives a properly completed application.3Missouri Revisor of Statutes. Missouri Code 144.083 – Retail Sales License Required for All Collectors of Tax Online submissions generally move faster than paper. If anything is missing or inconsistent, staff will contact you for clarification, and that resets the clock.
Once approved, you’ll get a Missouri Tax Identification Number to use for all future filings. Businesses registered for retail sales tax also receive a physical license, which the statute requires you to display prominently at your place of business.3Missouri Revisor of Statutes. Missouri Code 144.083 – Retail Sales License Required for All Collectors of Tax The license remains valid until the director revokes it or you voluntarily surrender it when you stop selling.
One trap for repeat business owners: if you owe outstanding sales tax or withholding tax from a prior business, you must pay that balance plus interest and penalties before the Department will issue your new license.3Missouri Revisor of Statutes. The Filing Frequency You’ll Be Assigned
The Department sets your sales tax filing frequency from the estimated monthly sales you put on the application, which is why that number matters beyond the form itself.1Missouri Department of Revenue. Missouri Tax Registration Application
- Monthly filing if you collect $500 or more per month in state sales tax.
- Quarterly filing if you collect $500 or less per month, with returns covering January–March, April–June, July–September, and October–December.
- Annual filing if you collect less than $200 per quarter.
Your frequency can change as your business grows. If quarterly collections climb past the monthly threshold, the Department will move you to monthly filing. Underestimating to get a lighter schedule creates problems when actual numbers come in higher.
Penalties for Operating Without a License or Filing Late
No business may make retail sales in Missouri without a valid license. If the license is revoked, which happens after 60 days of default on tax payments, the director can notify local law enforcement to shut down the sales operation, and revocation also voids any city or county occupation license tied to the business.3Missouri Revisor of Statutes. Missouri Code 144.083 – Retail Sales License Required for All Collectors of Tax
Late returns carry escalating penalties. The Department adds 5% of the tax owed for the first month late, plus 5% for each additional month, up to a 25% maximum.9Missouri Revisor of Statutes. Missouri Code 144.250 – Failure to File Return or Pay Tax, Monetary Penalty If you file on time but don’t pay in full, there’s a separate 5% penalty on the unpaid balance, and interest runs on top of all of it.
Monthly filers get one small break. If you’re required to file monthly because your collections exceed $250 in gross sales tax per month, Missouri waives the late penalty for the first month a return is due.9Missouri Revisor of Statutes. Missouri Code 144.250 – Failure to File Return or Pay Tax, Monetary Penalty After that, the standard schedule applies. The waiver only works once.
